Legal basis: Interim Provisions on the Review System of Legal Documents of China Construction Bank.
Article 1 These Provisions are formulated to meet the needs of commercial banks' operation and management, guard against the asset risks of China Construction Bank and ensure the legality and compliance of various legal documents.
Article 2 The audit system of legal documents of CCB means that the CCB has the right to sign and affix its official seal only after the legal documents are subject to legal audit by regulatory authorities (or specialized personnel) at all levels, and it is not allowed to sign (issue) legal documents without this procedure.
Article 3 These Provisions shall apply to legal documents signed (issued) by branches of China Construction Bank with domestic and foreign financial institutions, economic organizations and individuals and recognized by them, mainly including: (1) various economic contracts and subordinate contracts;
(2) Various agency agreements, bank acceptance agreements, joint venture agreements, cooperation agreements and transfer agreements. ; (3) various letters of guarantee; (4) Certificate of enterprise funds issued by foreign countries (letter); (5) Other legal documents that give rise to rights and obligations.
Article 4 The regulatory authorities at all levels shall be responsible for the review of legal documents of China Construction Bank.
Article 5 Scope of review: (1) The Legal Department of the Head Office is responsible for reviewing all kinds of economic contracts, agreements and other legal documents that are not in the standard format of the Head Office and signed (issued) by various departments and directly affiliated institutions of the Head Office; (2) The laws and regulations department of branches (branches) below the provincial level is responsible for auditing: 1. All kinds of economic contracts, agreements and other legal documents signed (exported) by the Bank and its directly affiliated institutions (except the standard form contract of the Head Office that has not been supplemented and modified); 2. Legal documents that the branches (branches) under their jurisdiction need to report to the Bank for approval according to relevant business management measures. (3) Foreign-related legal documents shall be uniformly examined by the regulatory authorities, or be examined by lawyers hired by the regulatory authorities.
