Chapter I General Principles

Article 1 The name of the organization is Shanxi Coking Industry Association (hereinafter referred to as the Association), and the English name is Shanxi Coking Industry Association (hereinafter referred to as SXCIA).

Article 2 The nature of this Association: it is composed of enterprises engaged in coke production, marketing and coke futures and related departments, enterprises and institutions in other related industries, scientific research, design units, universities and other organizations voluntarily according to law, and it is a non-profit and province-wide social group in the coking industry with the aim of safeguarding the overall interests of the coking industry and the interests of the members of the Association.

Article 3 Purpose of the Association: Under the guidance of Scientific Outlook on Development, conscientiously implement the national and Shanxi coking industry development policies, promote the structural optimization and technological progress of the coking industry in the whole province, promote the optimal allocation and comprehensive utilization of resources, protect the environment, ensure safety in production, and exercise strict self-discipline to achieve the unity of economic, environmental and social benefits. Abide by national laws, regulations and policies, pay attention to people's livelihood, provide sincere and all-round services to members, safeguard the legitimate rights and interests of members according to law, ensure fair competition in the industry, be honest and trustworthy, play the role of a bridge and link between the government and enterprises, and promote the healthy and orderly development of the coking industry in the province.

Article 4 The coking industry mentioned in this Association refers to the industry that produces and deals in coke and recovers and processes the associated organisms in the process of coke production.

Article 5 The development of coking industry shall adhere to the principles of unified planning, rational layout, total control, scientific and technological progress, optimized structure, comprehensive utilization, energy conservation and emission reduction, and environmental protection.

Article 6 When formulating government regulations, public policies, administrative measures and industry development plans involving the coking industry, the government and relevant departments shall listen to the opinions of the association in advance or organize a hearing attended by the association.

Article 7 This Association accepts the business guidance of Shanxi Economic and Information Technology Commission and the supervision and management of Shanxi Civil Affairs Department. Address: No.31Jinsong North Road, Taiyuan, Shanxi.

Chapter II Duties and Responsibilities

Article 8 The tasks of this Association are:

(a) the implementation of the provincial party committee and the provincial government coking industrial structure adjustment plan and implementation measures, with the "Regulations on the Administration of Coking Industry in Shanxi Province" as the criterion, to promote national laws and regulations and government policies to enterprises; Reflect the situation and put forward suggestions to the government, and communicate the relationship between the government and enterprises.

(2) Consolidate and improve China Coking Information Website, and carry out industry survey and statistics. Analyze the changes of coke market in time, inform the member units of market demand and coke market forecast, and provide decision-making basis for the production and operation of member units.

(three) to carry out investigation and study, establish enterprise files, and provide decision-making basis for the adjustment of government coke industry structure and the layout and technological transformation of coking enterprises in the province.

(five) planning industry development policies, making legislative suggestions, participating in legislative research, and providing legal advice and related legal services to members and member units.

(six) to promote the construction of industry integrity, establish industry integrity behavior norms, carry out industry integrity behavior evaluation and assessment, communicate the relationship between the government and enterprises, enterprises and enterprises, members and non-members, and create a good production and marketing environment for the coking industry.

(seven) the organization of industry training, technical consultation, technology trading, scientific and technological research, information exchange, exhibition investment, intellectual property protection and product promotion. (eleven) to undertake other duties authorized by laws and regulations, entrusted by the government and stipulated in the articles of association of this association.

(twelve) to assist the government in the merger and reorganization of coking enterprises, and gradually form a standardized and intensive large coking industry group.

Article 9 The business scope of this Association includes: policy consultation, information and technical consultation service, intermediary service, training enterprise talents, international exchange, safeguarding the legitimate rights and interests of coking enterprises and coke operators, providing financing guarantee, promoting economic and trade, standardizing market operation, ensuring fair competition and advertising.

Article 10 The activities of this Association shall conform to the requirements of laws and regulations and the overall interests of the industry, and shall not harm the public interests. The lawful activities of this Association are protected by law, and no organization or individual may illegally interfere.

Eleventh trade associations undertake public management affairs and business activities entrusted by the government and relevant departments. According to the relevant regulations of the state and the Ministry of Civil Affairs, the two sides signed a service agreement, and the government purchased the service from the association and paid the remuneration.

Article 12 This Association represents the overall interests of Shanxi coking industry, establishes an early warning mechanism and actively responds to international disputes in Shanxi coke export trade activities.

Thirteenth to carry out the coking industry appraisal and commendation activities, and regularly commend the "Top Ten" and "Top 50" enterprises and outstanding entrepreneurs in the coking industry, as well as the production and marketing enterprises operating in good faith.

Chapter III Members

Article 14 Members of this Association are divided into group members and individual members.

All enterprises, institutions and related personnel who are enthusiastic about the coking industry can join this association. Members who apply to join the association must voluntarily support the articles of association, pay their membership fees on time, and meet the following conditions.

(1) Group members: coke production enterprises, distribution enterprises and enterprises engaged in exporting coke registered in Shanxi Province in line with national industrial policies; Well-known related enterprises at home and abroad; Industry organizations, institutions, research institutes, colleges and universities and provincial offices with the qualifications of enterprises and coking industry in Shanxi.

(2) Individual members: scientific and technical personnel, managers, celebrities and all kinds of people who are enthusiastic about the coke industry.

Article 15 Procedures for members to apply for membership.

(a) should be recommended by two or more directors or units, and then fill in the application form for membership.

(2) After being audited by the secretariat of this Association, it shall be approved by the Standing Council.

(three) registered by the Secretariat, awarded the membership certificate.

Article 16 Members shall enjoy the following rights:

(a) have the right to vote, to be elected and to be elected.

(2) Participate in the activities organized by this Association.

Article 17 Members shall perform the following obligations:

(a) abide by the articles of association, implement the resolutions of the association, and safeguard the interests of the association.

(two) to support the work of this association and complete the tasks assigned by this association.

(3) Report the situation to this Council and provide relevant information.

(4) Pay membership dues according to regulations.

(five) to perform other obligations stipulated by the general meeting of members.

Article 18 If a member is under any of the following circumstances, it may be suggested to withdraw or be removed from the membership card after discussion and approval by the Council:

(1) If a member fails to fulfill his obligations and coordinate with the FSC, he still refuses to change after being advised.

(two) in violation of the articles of association, damage the interests and honor of the association.

(three) where more than two years do not pay the membership fee in accordance with the regulations, do not participate in the association meetings or activities.

Article 19 this association respects the business secrets of member units and the privacy rights of individual members, and keeps secrets for enterprises and individuals. Without the consent of the enterprise or individual, the production, operation and personal secrets of the enterprise and the individual concerned shall not be published.

Chapter IV Weaving

Article 20 The highest authority of this Association is the members' congress. When the congress is not in session, the Council is responsible for the work of the association. When the Council is not in session, the Standing Council shall exercise its functions and powers. Daily affairs are presided over by the secretariat.

Twenty-first members' congress is held every five years. The general meeting of members must be attended by more than half of the representatives. Under special circumstances, when more than half of the members think it is necessary, the meeting can be held in advance or postponed.

Article 22 The tasks of a member congress are:

(1) To discuss and decide on the development plan and major issues of the Association.

(two) to listen to and consider the work report and financial report of the Council.

(3) To formulate and revise the articles of association of this Association.

(4) To elect and recall members of the Council.

(5) Deciding to terminate.

(6) Other functions and powers entrusted by this Council.

Article 23 The board of directors consists of several directors elected by influential members who can represent the advantages of the industry through democratic consultation. The Council usually meets once a year.

The Council shall have a chairman and several vice-chairmen. The president is a provincial leader who has made outstanding contributions to the coking industry in this province. The vice-president shall be the legal representative of the member units with a certain scale and influence in the industry and the leader of the relevant functional departments of the provincial government, and shall be elected by the Standing Council. The Secretary-General is nominated by the Chairman and appointed by the Council.

Article 24 members of the board of directors: coking production enterprises that meet the coking industry policy; Coke production, transportation and marketing management enterprises at or above the municipal level; Coke production, transportation and marketing management enterprises in key coke-producing counties (cities); Key coke export foreign trade enterprises; Upstream and downstream enterprises of coke industry chain; Scientific research institutes and design units engaged in coking research and development and related institutions of higher learning; Financial institutions supporting the development of coking industry; Experts and scholars who have made special contributions to the coking cause.

Article 25 The duties of the Council are:

(1) to elect and recall the principal and vice-principal. To implement the resolutions of the members' congress.

(2) Discuss and approve new members, and vote to dissuade or recall members.

(3) Work report and work plan submitted to the Council.

(four) put forward and consider the opinions on amending the articles of association of this association.

(five) to review the annual financial budget and final accounts report of the Association.

(six) to determine and adjust the office of the association.

(seven) decided to commend members and member units that have made outstanding contributions.

(8) Other functions and powers entrusted by the general meeting of members.

Article 26 The Association shall have a standing council, which shall be elected by the council. When the Council is not in session, the staff of the Standing Council shall enjoy the functions and powers specified in Items (2), (3), (4), (5), (7), (8) and (9) of Article 25, and shall be responsible to the Council. The Standing Council shall meet at least once a year.

Article 27 The work of the Standing Council shall be presided over by the President. If the president is unable to preside over the meeting, the vice president or secretary general designated by the president shall preside over the meeting.

Article 28 The functions and powers of the chairman of the Council:

(a) to convene and preside over the Council and the Standing Council.

(two) to supervise and inspect the implementation of the resolutions of the members' congress, the Council and the Standing Council.

(3) Signing relevant important documents on behalf of this Council. When necessary, the vice-president and the Secretary-General may be authorized to sign documents.

(4) When the Council is not in session, major issues shall be voted by the Standing Council. Under special circumstances, the President shall exercise the power of special adjudication.

(five) have the right to entrust the Secretary General of the Standing Council or other members as the legal representative of the association.

(6) Other functions and powers entrusted by the Council.

Article 29 The president, vice-president and secretary-general of this Association must have good political quality, have great influence in the coking industry, be healthy and be able to stick to normal work. He has not been deprived of political rights and has full capacity for civil conduct.

Article 30 The Council and the Standing Council shall be the secretariat of the Council. The work of the Secretariat is presided over by the Secretary-General. When the Secretary-General is unable to preside over the meeting, the Deputy Secretary-General designated by the Secretary-General shall preside over the meeting. The work plan of the Secretariat shall be discussed and adopted by the Standing Council.

Article 31 The Association may, according to needs, set up trade and regional branches and professional committees, and the branches and professional committees shall work under the leadership of the Association.

Thirty-second according to the needs of the work, the association may set up several offices. According to the actual needs of the Association at present, the Association has temporarily set up "four departments and four committees", namely, comprehensive affairs department, policy information department, business development department, market trading department, coking expert committee, legal expert advisory committee, chemical products professional committee and waste heat recovery special committee.

Article 33 Functions and powers of the Secretary-General:

(1) is responsible to the board of directors and its chairman.

(two) to preside over the work of the secretariat, handle other daily affairs, and organize the implementation of the annual work plan.

(3) Coordinating the work of branches, representative offices, expert committees and economic entities.

(4) Nominating deputy secretaries-general and heads of offices, branches, representative offices, expert committees and economic entities, and submitting them to the Council or the Standing Council for decision.

(five) to decide on the employment of full-time staff in offices, branches, representative offices, expert committees and economic entities.

(6) Other functions and powers entrusted by the President of the Council.

Chapter V Industry Self-discipline

Article 34 Implementing industry self-discipline is an important form for coking enterprises in Shanxi Province to implement the Regulations on the Administration of Coking Industry in Shanxi Province, implement national and provincial industrial policies, adjust industrial structure, optimize resource allocation, develop circular economy and build a harmonious socialist society. It is an effective way for coking enterprises and member units to be honest and trustworthy, abide by rules and discipline, compete fairly and develop by themselves. This is also an important part of our activities.

Article 35: Main objectives of industry self-discipline

(1) Self-discipline of total production. According to the market demand and the production capacity of member units, organize and coordinate the production enterprises to regulate the production capacity on the premise that the production process allows, and reduce production in proportion to prevent the occurrence of coke overproduction.

(2) Price self-discipline. According to the needs of the market, hold regular or irregular price coordination meetings, organize production and operation enterprises to study and formulate a unified benchmark price for coke export and export industry, use modern information means, regularly publish coke price index in the name of coke alliance or large coking enterprises, and supervise and inspect the implementation.

(3) Environmental protection and self-discipline. Guide, organize and coordinate production enterprises to consciously abide by environmental protection laws and regulations and implement relevant government policies, introduce and develop advanced technologies, do a good job in energy conservation and emission reduction, and strive to achieve low emissions and less pollution.

(D) circular economy self-discipline. Coke production and operation enterprises should make the most effective use of resources and protect the environment, and organize economic activities into a closed-loop process of "resources-products-renewable resources". The principle is that resources are "reduced, reused and recyclable", and the industrial chain is extended, which is the source of each other, relying on each other and developing together.

(5) Social responsibility and self-discipline. Enterprises should bear the responsibilities of social security, national development, community building, labor rights and environmental protection while obtaining economic benefits. Coking enterprises should strictly implement the national labor protection laws and regulations, respect the legitimate rights of employees, protect their physical and mental health, care about their lives, and maximize their enthusiasm for production. We should care about and support the development of social welfare undertakings, abide by laws and regulations, pay taxes according to law, and make contributions to regional economic and social development.

(6) Marketing self-discipline. Maintain market order, prevent unfair business practices such as bidding and dumping, curb vicious competition, and dominate the market.

(7) Clean production self-discipline. Guide coke production enterprises to abide by national cleaner production laws and regulations; According to the national cleaner production standards for coking industry, organize and coordinate coke production enterprises to carry out cleaner production consciously and actively, minimize the generation, loss and treatment of pollutants, and make full use of resources.

In accordance with the national coke access standards and relevant provisions of cleaner production, advocate coke production enterprises to carry out self-inspection and audit of cleaner production.

(8) Self-discipline in production safety. Actively organize and coordinate coke production enterprises to strengthen safety production supervision and management, carry out safety production education activities, prevent and reduce production safety accidents, and ensure the safety of employees and people's lives and property; Cooperate with relevant administrative departments to regularly carry out supervision and inspection of production safety.

(9) Quality brand self-discipline. It is necessary to guide enterprises to strengthen quality management and expand the share of high-quality products in the international market through the formulation and evaluation of technical and product standards. Put an end to the impact of fake and shoddy products on domestic and foreign markets and speed up the creation of cola brands.

(10) Corporate image self-discipline. Guided by Scientific Outlook on Development, we will guide enterprises to further promote economic restructuring and embark on a new path with high scientific and technological content, good economic benefits, low resource consumption, less environmental pollution and full play of human resources. Gradually establish a good image of comprehensive, coordinated and sustainable development of enterprises.

Article 36: Ways to achieve self-discipline:

(1) According to the needs and national laws and regulations, the association will formulate special self-discipline norms for different activities in due course.

(2) The Association will play a coordinating role, timely adjust the frictions and disputes between coke production and operation enterprises, and promote individual actions of enterprises to become coordinated industry actions.

(3) The establishment of the self-discipline awareness of the chairman, general manager and senior managers and the conscious actions of all employees are the key to the implementation of self-discipline. In order to achieve the goal of self-discipline, publicity, education and special training should be carried out in various forms to speed up the cultivation of a high-quality enterprise management talent team with self-discipline awareness, so as to achieve the overall goal of self-discipline in the coking industry in the province quickly and efficiently.

Article 37: Incentive Mechanism:

For enterprises with good industry self-discipline, the following preferential policies should be implemented:

(1) The Association gives priority to "Top Ten" and "Top 50" enterprises.

(two) to give good credit support to enterprises with good industry self-discipline.

(three) give priority to the information, technology, financing guarantee and other services provided by this association.

(D) In case of international trade disputes, it is necessary to start the early warning mechanism to provide assistance.

Article 38: Constraint mechanism: Self-discipline order can be regarded as an extension of the order regulated by law. Production and operation enterprises should supervise each other and consciously abide by self-discipline norms. For serious violations, it is suggested that the government and relevant administrative departments impose different degrees of punishment on them in terms of transportation, investment, credit, export qualification, production and business license, and annual inspection of business license. , and suggested that the government or relevant departments in the media exposure. If you are a member, you should criticize the persuasion meeting until you cancel your membership.

Chapter VI Economic Expenses

Thirty-ninth sources of funds of the Association:

(1) Membership dues paid by members according to regulations.

(4) Income from paid services.

(5) Other lawful income.

Article 40 the funds of this association must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members. The expenses of the Association mainly include:

(1) expenditure of association activities.

(two) the salary, welfare, insurance and other expenses of the staff of the association.

(3) Remuneration and travel expenses of personnel and experts employed by this Association.

(4) Expenditure on office facilities and supplies of the Association.

(5) Other expenditures approved by the Council or the Standing Council.

Article 41 The Association shall be staffed with accountants with professional qualifications. The accountant and cashier must be held by two people or concurrently. Earnestly carry out financial accounting and conduct regular financial audits.

The financial activities of this Association shall strictly implement the national financial system and adhere to the principle of thrift and rational use. No unit or individual may occupy, privately divide or misappropriate.

Article 42 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Article 43 When a member withdraws from the club or is removed from the club, he shall not ask the club to return the membership fees, financial aid or donated property, so as to ensure the stability of the club's property and funds.

Chapter VII Supplementary Provisions

Article 44 If the Articles of Association need to be amended, the Board of Directors shall propose amendments, which shall take effect after being deliberated and adopted by the members' congress and reported to the civil affairs department for the record.

Article 45 If more than half of the members' representatives propose to dissolve or cancel the association due to merger or division, the Council shall propose a termination motion and immediately convene a member's congress for deliberation within 15 days. The motion for dissolution can only take effect if it is approved by more than two thirds of the delegates.

Before the termination of this association, a liquidation organization shall be established under the guidance of the competent business department and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. Activities other than liquidation shall not be carried out during the liquidation period. The remaining property after termination will be used to develop business related to the purpose of the association.

Article 46 The right to interpret the Articles of Association belongs to the Standing Council of the Association.

Article 47 The Articles of Association shall come into effect as of the date when it is adopted by the members' congress and approved by the management organization of the Association.
