Historical Development of Heren Charity Foundation
Heren Charity Foundation was initiated by Cao, the founder and chairman of Fuyao Glass Group, the first automobile glass manufacturer in China and the second largest in the world. It was registered and established in the Ministry of Civil Affairs of China on June 7, 20 10. At present, the fund is RMB 3.549 billion. It is the largest charitable foundation in China at present.

20 1 1 On May 5, 2008, at the inaugural meeting of Heren Charity Foundation, Mr. Cao and his wife officially announced that they would donate 300 million shares of Fuyao Group to Heren Charity Foundation, with a total value of 3.549 billion yuan.

The name of the foundation comes from Mr. Cao's father, Cao, which means "kindness is like water, morality carries things".

Since March 2009, Mr. Cao proposed to donate equity to set up a charitable foundation, which has been highly valued by the leaders of the State Council and the ministries and commissions of the central government, and has aroused the full cooperation of relevant government ministries and commissions in many policies and widespread public concern throughout the country. After more than two years' efforts, the first donation of China's equity was finally successful. Its establishment has made great contributions to the future of charity in China, and its significance goes far beyond the establishment of the Heren Charity Foundation itself. Heren Charity Foundation has donated a number of charitable projects to the society, involving education, poverty alleviation, disaster relief, public welfare communication, research and other fields.

Cao said at the conference on securities and futures supervision in Fujian's jurisdiction held by Fujian Securities Regulatory Bureau that he planned to donate some of Fuyao Glass shares held by his family to set up a charitable foundation.

● April 2009

Cao formally submitted an application to the Ministry of Civil Affairs. According to the current foundation management regulations, the original funds of non-public offering foundations must be the monetary funds received. He Ren Foundation faces many institutional obstacles such as registration, tax payment and controlling shareholder of listed companies.

● June 2009

Li Jiang, Vice Minister of the Ministry of Civil Affairs, led a joint research team composed of the Legislative Affairs Office of the State Council, the Overseas Chinese Affairs Office of the State Council, the Ministry of Finance, State Taxation Administration of The People's Republic of China and the China Securities Regulatory Commission, and made a special trip to Fuyao Glass to carry out special research on foundations, and inspected the operation of related foundations.

The Ministry of Finance issued the Notice on Financial Issues Related to Corporate Public Welfare Donation of Equity, stipulating that after the donation, the enterprise must go through the formalities of equity change, no longer exercise shareholder rights on the donated equity, and may not ask the donee to give economic returns. As a result, the door to sharing donations officially opened.
