Intermediary refers to a businessman who engages in activities to facilitate the conclusion of a contract in order to obtain commission, and the intermediary has the qualification of commercial subject.
Intermediary, as understood in China's Contract Law, means that the intermediary reports the opportunity to conclude a contract to the client or provides media services for concluding a contract, and the client pays remuneration.
Intermediaries stipulated in the commercial law of civil law countries have the following characteristics:
1. Brokers do not enter into contracts for others in their own or others' names, and brokers themselves are not obliged to actively make their own efforts for the success of such activities.
2. The broker is a complete businessman, and his activities are free and independent, and he is not bound by the employment contract like a business assistant.
3. Intermediaries shall not bear legal consequences for their commercial promotion activities and the results caused by such activities.
