Article 7 Packaging
The goods supplied must be properly packed by the seller, suitable for ocean and long-distance inland transportation, moisture-proof, moisture-proof, shock-proof, rust-proof and rough handling resistance, so as to ensure that the goods will not be damaged due to the above reasons and arrive at the installation or construction site in good condition and safety. Any loss caused by improper packaging shall be borne by the seller.
Article 8 marks and numbers
The seller shall print the package number, size, gross weight, net weight, lifting position, the words "This end is up", "Handle with care" and "Keep dry" on each package with indelible paint, and the following marks: _ _ _ _ _ _ _ _ _ _
Article 9 Insurance
Under CIF conditions:
The insurance shall be handled by the seller at the cost of 1 10% of the invoice value.
Under c&f terms: the insurance shall be borne by the buyer after shipment.
Article 10 payment terms
(1) The buyer shall open an irrevocable letter of credit in favor of the seller through the Bank of China 30 days before the shipment date, with the amount of _ _ _% of the total contract price, that is _ _ _ _ _. This letter of credit will be honored upon receipt of the following documents and examination by China Bank (in case of partial shipment, it will be honored in proportion to partial shipment).
Full set of negotiable on-board clean ocean bill of lading, plus two copies marked "freight prepaid", endorsed in blank, notifying the arrival at the port of _ _ _ _.
Commercial invoice in quintuplicate, indicating contract number, letter of credit number and shipping mark.
Packing list in quadruplicate indicating the quantity, gross weight and net weight of each package.
Quality certificate issued by the manufacturer and signed by the seller in triplicate.
E. confirmation of delivery of complete set of technical documents in duplicate.
F a copy of the cable/telex of the shipping advice sent to the buyer immediately after shipment.
G. under CIF conditions:
A complete set of insurance policies covering _ _ _ _ _ _ _ _ _, with the invoice amount of 1 10%.
(2) Within 10 days after shipment, the seller shall air three sets of the above documents (except F), one set for the buyer and two sets for the foreign trade transportation company at the destination port.
(3) Bank of China shall, within _ _ _ _ _ _ _ _ years.
(4) According to the provisions of Articles 15 and 18 of this contract, the buyer has the right to deduct the penalty for late delivery of the goods payable by the seller at the time of payment.
(5) All bank charges incurred in China shall be borne by the buyer, and all bank charges incurred outside China shall be borne by the seller.
Article 11 Conditions of shipment
(1) The seller must inform the buyer of the name of the ship booked and its transportation route forty days before shipment for the buyer's confirmation.
(2) The seller must inform the buyer of the estimated delivery time, contract number, invoice amount, shipment quantity and the weight and size of each item twenty days before shipment.
(3) The seller must inform the buyer of the name, quantity, gross weight, invoice amount, name of the ship and date of shipment by telegram/telex within 48 hours after the completion of loading.
(4) If the weight of any single piece of goods reaches or exceeds 20 tons, the length is12m, the width is 2.7m, and the height is 3m, the seller shall provide five detailed packaging drawings to the buyer 50 days before the shipment date, indicating the detailed size and weight, so that the buyer can arrange inland transportation.
(5) According to the terms of C&F:
If the buyer fails to insure the goods in time due to the seller's failure to comply with Article 1 1 (3) in time, the seller shall bear all the losses caused thereby.
(6) All unloading and inland transportation expenses at the port of destination shall be borne by the buyer.
Article 12 Technical documents
(1) Copies of the following complete set of English technical documents must be packed and shipped with each batch of goods:
A. basic design drawings.
B wiring description, circuit diagram and pneumatic/hydraulic connection diagram.
C. manufacturing drawings and descriptions of easily worn parts.
D. spare parts catalogue.
E. installation, operation and maintenance instructions.
(2) In addition, within 60 days after signing the contract, the seller must send the technical documents specified in this clause (1) to the buyer or end user by registered airmail. Otherwise, the buyer has the right to refuse to open a letter of credit or refuse to pay for the goods.
Article 13 Quality Assurance Clause
The seller must ensure that the goods provided are made of first-class materials and first-class technology, brand-new, unused, and conform to the quality, specifications and performance stipulated in the contract. Under the condition of correct installation, normal operation and maintenance of the goods, the seller must provide a _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _.
Article 14 Inspection
(1) The seller/manufacturer must accurately and comprehensively inspect the quality, specifications, performance and quantity of the goods before delivery, and issue a quality certificate to prove that the goods conform to the contract. This certificate is not the final basis for the quality, specification, performance and quantity of the goods. The seller or manufacturer must attach a written report recording the inspection details and results to the quality certificate.
(2) After the goods arrive at the port of destination, the buyer shall apply to the China Commodity Inspection Bureau (hereinafter referred to as the Commodity Inspection Bureau) for a preliminary inspection of the quality, specifications and quantity of the goods, and issue an inspection certificate. If it is found that the quality, specifications and quantity of the goods are not in conformity with the contract, the buyer has the right to reject the goods within _ _ _ _ _ _ days after the goods arrive at the port of destination, except for the liability of the insurance company or the ship.
Claim.
(3) If the quality and specifications of the goods are found to be not in conformity with the contract provisions or the goods are proved to be defective, including internal defects or improper use of raw materials, the buyer will arrange for the commodity inspection bureau to conduct inspection, and has the right to claim compensation from the seller according to the inspection certificate.
(4) If the inspection certificate cannot be completed within the validity period of the contract due to some unforeseeable reasons, the buyer shall cable the seller to extend the inspection period by _ _ _ _ _ _ _.
Claim in Article 15
(1) If the seller is responsible for the non-conformity of the goods to the contract, and the buyer makes a claim within the inspection and quality guarantee period specified in Articles 13 and 14 of this contract, the seller shall, with the consent of the buyer, make a claim in one or more of the following ways:
A agrees to the buyer's return, and repays the returned goods to the buyer in the currency stipulated in the contract, and bears all direct losses and expenses arising from the return, including: interest, bank charges, freight, insurance fees, inspection fees, warehousing, dock handling fees and supervision and protection of the returned goods.
