Article 1 Name of the Association: China Women's Development Foundation

Article 2 Nature of the Association: China Women's Foundation is a national non-profit social organization approved by the People's Bank of China and registered with the Ministry of Civil Affairs. It is an independent social group legal person. It raises funds and materials from domestic and foreign enterprises, institutions, social organizations and individuals to support women's development and women's career development.

Article 3 Purpose of this Association: This Association always abides by the Constitution, laws, regulations and national policies. In order to comprehensively improve women's quality,

Article 12 Use of funds:

Organization and function

Article 14 The highest authority of this Association is the Council. The Council is composed of chairman, vice-chairman, executive director, secretary-general and directors. Article 15 The Association shall have one president and several vice-presidents. The president presides over the Council and signs important documents.

Article 16 The Association shall have a full-time secretary-general. The Secretary-General is the legal representative of the Foundation and presides over its daily work. The Secretary-General shall not concurrently serve as the legal representative of other organizations.

Article 17 Functions and powers of the Council:

(1) To formulate and revise the articles of association of the Foundation.

(two) to listen to and consider the annual work report, the annual plan and the report on the use of funds.

(3) Electing the chairman, vice-chairman, secretary-general and executive director.

(4) Honorary directors, lifetime honorary directors and honorary directors shall be awarded to people from all walks of life at home and abroad who have made outstanding contributions to the Association.

Article 18 Rights and obligations of directors

Article 19 The Association shall establish a standing council. The executive director is elected by the Council, and when the Council is not in session, the executive director is elected.

The Council shall exercise its functions and powers.

Article 20 The Secretary-General shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan. Report to the Standing Council and the Council

(2) Nominate candidates for Deputy Secretary-General and employ full-time and part-time staff and office volunteers.

(3) handle other daily work.

Article 21 The board of directors shall set up an office to handle daily work.

Article 22 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented in accordance with relevant state regulations.

Procedures for amending the Articles of Association

Article 23 The amendment to the articles of association of this Association shall take effect after it is approved by the Council and reported to the All-China Women's Federation and the Ministry of Civil Affairs for the record within 15 days.

Termination procedure and property disposal

Article 24 If it is necessary to terminate the association due to irresistible circumstances or the completion of its mission, it shall be discussed by the board of directors, put forward the intention of termination, submitted to the All-China Women's Federation for examination and approval, and terminated after the cancellation of registration by the Ministry of Civil Affairs.

Twenty-fifth before the termination of this association, the All-China Women's Federation, the People's Bank of China, the Ministry of Civil Affairs and other institutions will form a liquidation group to clean up the creditor's rights and debts and deal with the aftermath. The remaining assets after termination shall be handled in accordance with the relevant provisions of the state.

Article 27 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 28 The Articles of Association shall come into effect as of the date of registration and approval by the Ministry of Civil Affairs.
