Articles of Association of the Chinese Xue Clan Association

Chapter I General Provisions
Article 1 The registered name of the Association is: Chinese Xue Clan Association; Abbreviation: Xue Zonghui. English name: China Surname Xue
Zongqin Association, abbreviated as CXA.
Article 2
The unit in charge of this Association: International Oriental Studies Association; Abbreviation: East Society. English name: international

article 3 the orientation of this association is: it is a worldwide non-profit social group with independent legal person status, which is formed voluntarily by people from all walks of life, enterprises and institutions who attach great importance to clan affection and homesickness and are enthusiastic about Xue's kinship.
Article 4 The purposes of this Association are: clan culture research, clan friendship activities, home and country history education, and the inheritance of Chinese civilization.
article 5 this association was successfully registered with the approval of the people's Republic of China and the government of hong kong special administrative region on June 19th, 213, and its office is located in Beijing. Abide by the Constitution, laws and regulations of the People's Republic of China and carry out activities in accordance with the articles of association.
Chapter II Tasks
Article 6 The main tasks of this Association are:
(1) Hold high the banner of patriotism, extensively contact and unite with Xue's clan members and all compatriots at home and abroad who support the peaceful reunification of China, promote the exchanges and contacts between Xue's clan members all over the world, and oppose activities to split China such as "Taiwan Province independence", "two China" and "one China, one Taiwan", so as to promote the early realization of China.
(2) to promote the economic, trade, cultural, educational, artistic, tourism and other aspects of the Xue clan's folk exchanges and exchanges at home and abroad, enhance friendship, enjoy resources, and show the good image of "the Xue clan in the world".
(3) Carry out various forms of publicity and education, and implement the eight resolutions adopted at the "July 14th Sponsor's Meeting" of the Chinese Xue Clan Association in 213: start compiling the Chinese Xue Clan's genealogy; Promote the "Yellow Emperor Family Xue Family Records"; Establish Chinese Xue's website; Editing and distributing the Journal of Chinese Xue Family; Prepare for the establishment of China Xue's Fund, China Xue's Enterprise Chamber of Commerce and China Xue's Cultural Fair; Build the Chinese Xue family ancestral hall. Carry forward family history, study hard, respect ancestors and educate heirs.
chapter iii membership
article 7 the association adopts a membership system. There are three levels of general members, directors and executive directors.
Article 8 A member must meet the following conditions to join the club:
(1) Last name is Xue;
(2)
support the articles of association of this association;
(3) Caring for and devoting to Xue's clan friendship;
(4) willingness to join this association;
(5) It has a certain social impact.
Article 9 Membership procedures:
(1) I fill in the membership registration form recommended by the directors or relevant units;
(2) discussed and approved by the standing Council;
(3) membership certificate will be awarded by this association.
Article 1 Members shall enjoy the following rights:
(1) The right to vote, to be elected and to vote;
(2) to participate in the activities of this association;
(3) to obtain the priority for the service of this association;
(4) the right to criticize, suggest and supervise the work of this association;
(5) voluntary membership and freedom of withdrawal.
Article 11 Members shall perform the following obligations:
(1) Implement the resolutions of this Association;
(2) to safeguard the legitimate rights and interests of this association;
(3) Complete the tasks assigned by this Association;
(4) reflect the situation and provide relevant information;
(5) Annual membership fee: 1 yuan for members; Director 1, yuan; The executive director is1, yuan.
Article 12 A member who withdraws from the meeting shall notify this Council in writing, report it to the Standing Council for the record, and return it to membership certificate.
Article 13 If a member seriously violates the Articles of Association, it shall be removed from the membership after being voted by the Standing Council.
article 14 the association shall have an honorary post.
Chapter IV Organization
Article 15 The Association shall have honorary advisers, honorary patriarchs and honorary presidents; One president, several vice presidents, one executive president and secretary general, and several deputy secretaries general.
article 16 the highest authority of this association is the general meeting of directors, and its functions and powers are:
(1) to formulate and amend the articles of association;
(2) to elect and recall the president, vice-president, secretary-general and executive director;
(3) to consider the work report of the Council;
(4) Deciding to terminate;
(5) to decide on other important matters.
Article 17 A general meeting of directors can only be held when more than half of the directors are present, and its resolution can only take effect when it is approved by more than two thirds of the directors present.
article 18 the board of directors shall hold a plenary meeting during the five-year term. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the Standing Council, or seek the opinions of the Standing Council by means of communication. The longest extension of the general election shall not exceed one year.
article 19 the association shall have a standing Council. When the Council is not in session, the Standing Council shall study and decide on major issues of the Council and be responsible to the Council. The Standing Council consists of the President, the Vice President, the Executive President and Secretary General and other executive directors.
Article 2 The functions and powers of the Standing Council are as follows:
(1) To implement the resolutions of the general meeting of directors;
(2) Review the annual work summary and work plan;
(3) Deciding to convene a general meeting of directors;
(4) Hiring consultants, deciding to add or remove directors, and approving directors who need to be changed due to job changes or other reasons;
(5) Deciding to set up offices, special committees, representative offices and entity institutions;
(6) to decide on the appointment of the Deputy Secretary-General and the principals of the special committees;
(7) to elect the president, vice-president, secretary-general and executive director when necessary;
(8) to decide on other important matters.
article 21 the standing Council shall be convened only when more than half of the standing directors are present, and its resolutions shall take effect only when more than two thirds of the standing directors present vote. When the executive director is unable to attend the meeting for some reason, he may express his opinions in writing.
article 22 in principle, the standing Council shall hold a meeting at least once a year, and it may be held by means of communication under special circumstances.
Article 23 The Executive President shall exercise the following functions and powers:
(1) Preside over the work of the Standing Council and convene and preside over meetings of the Standing Council;
(2) check the implementation of the resolutions of the board of directors and the executive board meeting;
(3) Signing relevant important documents on behalf of this Council;
(4) to decide on other important matters;
(5) the president may entrust the executive president to exercise the relevant functions and powers of the president.
Article 24 The Secretary-General shall exercise the following functions and powers:
(1) Preside over the daily work of offices and organize the implementation of annual work plans;
(2) reporting the work to the executive president, vice president and the standing Council;
(3) coordinating the work of the special committees, representative institutions and entity institutions of this Association;
(4) Nominating the principal responsible persons of offices, special committees, representative offices and entities, and submitting them to the Standing Council for decision;
(5) handle other daily work;
(6) The Secretary-General may entrust the Deputy Secretary-General to exercise the relevant functions and powers of the Secretary-General.
Chapter V Asset Management
Article 25 Sources of funds of the Association:
(1) Annual membership fees paid by members;
(2) donations from clansmen, enterprises and institutions from all walks of life at home and abroad;
(3) other lawful income such as Xue's enterprise chamber of commerce and cultural fair.
article 26 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and can also be used for special work according to the wishes of donors.
article 27 the association shall establish a strict financial management system to ensure that the accounting data are legal, true, accurate and complete.
article 28 this association is equipped with accountants with professional qualifications. An accountant may not concurrently serve as a cashier. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the receiver.
article 29 the asset management of this association must implement the financial management system stipulated by the state and accept the supervision of the financial department and audit institution of the competent business unit.
Article 3 Before changing the term or replacing the legal representative, the Association must accept the financial audit organized by the registration authority of the association and the competent business unit.
article 31 no unit or individual may occupy, privately divide or misappropriate the assets of this association.
article 32 the wages, insurance and welfare benefits of the full-time staff of this association shall be implemented with reference to the relevant provisions of the state.
Chapter VI Revision of Articles of Association
Article 33 The revision of the Articles of Association of this Association shall be submitted to the general meeting of directors for voting after deliberation and approval by the Standing Council.
article 34 the revised articles of association of this association shall come into effect after being approved by the competent business unit and reported to the association registration authority for approval within 15 days after being adopted by the general meeting of directors.
Chapter VII Termination Procedures
Article 35 When the Association completes its purpose or disbands itself, or needs to be cancelled due to separation or merger, the Standing Council shall put forward a termination proposal, which shall be voted by the general meeting of directors and submitted to the competent business unit for examination and approval.
article 36 before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
article 37 this association will be terminated after the cancellation of registration by the association registration authority.
article 38 the remaining property after the termination of the association shall be used for the development of undertakings related to the purpose of the association under the supervision of the competent business unit and the registration authority of the association in accordance with the relevant provisions of the state.
Chapter VIII Supplementary Provisions
Article 39 These Articles of Association were voted by the first general meeting of directors of the Chinese Xue Clan Association on October, 213.
article 4 the right to interpret these articles of association belongs to the standing Council of the Chinese Xue clan association.
