Article 2 This Foundation is a public offering foundation.
The geographical scope of the Foundation's fundraising for the public is: national and overseas.
Article 3 The purpose of the Foundation is to promote the development of audiology, rehabilitation, scientific research and education in China, so that more deaf people can recover their hearing.
article 4 the original fund amount of this foundation is RMB 8 million, which comes from social donations.
article 5 the registration administration organs of this foundation are the people's Republic of China and the Ministry of civil affairs, and the competent business units are the people's Republic of China and the Ministry of health.
Article 6 The domicile of the Foundation is Beijing, China.

(2) education and training of professionals in audiology;
(3) set up non-profit hearing rehabilitation medical institutions to serve all kinds of hearing impaired people.
(4) develop friendly exchanges with compatriots from Hong Kong, Macao and Taiwan, overseas Chinese, foreign friendly groups and people, as well as international academic organizations and IMF, enhance mutual understanding and strengthen mutual cooperation.
(5) organizing various activities beneficial to the development of audiology, rehabilitation and scientific research;
(6) Award outstanding talents in audiology and organizations and individuals who have made outstanding contributions to the cause of audiology;
chapter iii organization and person in charge
article 8 the foundation consists of 14 directors.
the term of office of the directors of this foundation is five years, and they can be re-elected if re-elected.
Article 9 Qualifications of directors:
(1) Abide by the Constitution of the People's Republic of China;
(2) support the articles of association of China Audiology Development Foundation;
(3) enthusiastic about charity and public welfare, full of love;
(4) celebrities from all walks of life who have made positive contributions to the development of audiology in China.
Article 1 Generation and removal of directors:
(1) The first directors shall be nominated by the competent business unit, major donors and promoters respectively and determined through consultation.
(2) when the board of directors is reelected, the competent business unit, the board of directors and major donors * * * nominate candidates and organize a leading group for the general election, and organize all candidates * * * to elect a new board of directors.
(3) The removal or addition of directors shall be approved by the board of directors and reported to the competent business unit for examination and approval;
(4) The results of election and recall of directors shall be reported to the registration authority for the record.
(5) those who are close relatives may not serve on the board of directors at the same time.
Article 11 Rights and obligations of directors:
(1) Electing the chairman, vice-chairman and secretary-general;
(2) Participate in relevant activities according to the purpose of China Audiology Development Foundation;
(3) To review the work of the China Audiology Development Foundation, which shall be decided by the current Council;
(4) Abide by the articles of association of China Audiology Development Foundation and implement the resolutions of the Council;
(5) Participate in the activities of the China Audiology Development Foundation, safeguard the legitimate rights and interests of the China Audiology Development Foundation, and make every effort to promote the development of the cause;
(6) Put forward opinions and suggestions on the work of China Audiology Development Foundation;
if the director of China audiology development foundation has seriously violated the articles of association, he will be removed from the board of directors by voting.
article 12 the decision-making body of this foundation is the board of directors. The board of directors shall exercise the following functions and powers:
(1) to formulate and amend the articles of association;
(2) to elect and recall the chairman, vice-chairman and secretary-general;
(3) to decide on plans for major business activities, including plans for raising, managing and using funds;
(4) Examination and approval of annual revenue and expenditure budget and final accounts;
(5) to formulate internal management system;
(6) Deciding to set up offices, branches and representative offices;
(7) to decide on the appointment of deputy secretaries-general nominated by the secretary-general and principal responsible persons of various institutions;
(8) Listen to and consider the work report of the Secretary-General and check the work of the Secretary-General;
(9) to decide on the division, merger or termination of the foundation;
(1) decide on other important matters.
Article 13 The Council shall meet twice a year. The meeting of the board of directors shall be convened and presided over by the chairman.

when convening a board meeting, the chairman or convener shall notify all directors and supervisors 5 days in advance.
Article 14 The meeting of the Board of Directors can only be held when more than two-thirds of the directors are present; The resolution of the board of directors shall be valid only if it is approved by more than half of the directors present.
The resolutions on the following important matters shall be valid only if they are passed by more than two thirds of the directors present:
(1) Amendment of the Articles of Association;
(2) to elect or recall the chairman, vice-chairman and secretary-general;
(3) major fund-raising and investment activities as stipulated in the articles of association;
(4) Division and merger of foundations.
article 15 minutes shall be made at the meeting of the Council. Where a resolution is made, minutes of the meeting shall be made on the spot, which shall be reviewed and signed by the directors present. If the resolution of the board of directors violates the laws, regulations or articles of association, causing losses to the foundation, the directors who participated in the resolution shall bear the responsibility. However, the director may be exempted from liability if it is proved that he opposed the voting and recorded in the minutes of the meeting.
article 16 the foundation has one supervisor. The term of office of the supervisor is the same as that of the director, and can be re-elected upon expiration.
article 17 directors, their close relatives and accountants of the foundation shall not serve as supervisors.
Article 18 The selection and removal of supervisors:
(1) Supervisors shall be selected by major donors and competent business units respectively;
(2) The registration administration organ shall select them according to the needs of work;
(3) The change of supervisors shall be in accordance with its production procedures.
Article 19 Rights and obligations of supervisors:
Supervisors shall check the financial and accounting materials of the Foundation according to the procedures stipulated in the Articles of Association, and supervise the compliance of the Board of Directors with laws and the Articles of Association

Article 2 Directors who receive remuneration from the Foundation shall not exceed 1/3 of the total number of directors. Supervisors and directors who do not hold full-time jobs in the foundation
shall not receive remuneration from the foundation.
Article 21 Directors of the Foundation shall not participate in the
decision-making of relevant matters when their personal interests are related to the interests of the Foundation; Directors, supervisors and their close relatives of the Foundation shall not engage in any transaction with the Foundation.
article 22 the board of directors shall have a chairman, a vice-chairman and a secretary-general, who shall be elected from among the directors.
article 23 the chairman, vice-chairman and secretary-general of the foundation must meet the following conditions:
(1) they have great influence in the business field of the foundation;
(2) The chairman, vice-chairman and secretary-general have a maximum working age of no more than 7 years, and the secretary-general is full-time;
(3) Being in good health and able to work normally;
(4) Having full capacity for civil conduct.
Article 24 A person who is under any of the following circumstances cannot serve as the chairman, vice-chairman and secretary-general of the Foundation:
(1) He belongs to the current national staff;
(2) being sentenced to public surveillance, criminal detention or fixed-term imprisonment for a crime, and less than five years have elapsed since the date of completion of the sentence;
(3) Being sentenced to deprivation of political rights for committing a crime, being in execution or having been sentenced to deprivation of political rights;
(4) having served as the chairman, vice-chairman or secretary-general of a foundation whose registration has been cancelled due to violation of laws, and being personally responsible for the illegal acts of the foundation, and less than five years have passed since the date of cancellation of the foundation.
Article 25 Hong Kong residents, Macao residents, Taiwan Province residents and foreigners who serve as the chairman, vice-chairman or secretary-general of the Foundation shall stay in China for at least three months each year.
article 26 the term of office of the chairman, vice-chairman and secretary-general of the foundation is five years, and the term of office shall not exceed two consecutive terms. If it is necessary to be re-elected beyond the previous term due to special circumstances, it shall be approved by the special procedures of the Council, reported to the competent business unit for review and approved by the registration authority before taking office.
article 27 the chairman of the foundation is the legal representative of the foundation. The legal representative of the Foundation does not concurrently serve as the legal representative of other organizations.
the legal representative of this foundation shall be a resident of mainland China.
during the term of office of the legal representative of the Foundation, if the Foundation violates the Regulations on the Administration of Foundations and the Articles of Association, the legal representative shall bear relevant responsibilities. If the legal representative neglects his duty, resulting in illegal acts or property losses of the Foundation, the legal representative shall bear personal responsibility.
article 28 the chairman of the foundation shall exercise the following functions and powers:
(1) to convene and preside over board meetings;
(2) check the implementation of the resolutions of the Council;
(3) Signing important documents on behalf of the Foundation;
The vice-chairman and the secretary-general of the Foundation work under the leadership of the chairman, and the secretary-general exercises the following powers:
① Preside over the daily work and organize the implementation of the resolutions of the Council;
② Organize and implement the annual public welfare activity plan of the Foundation;
③ draw up plans for raising, managing and using funds;
④ ④ To draft the internal management rules and regulations of the Foundation and submit them to the Council for approval;
⑤ ⑤ coordinate the work of various institutions;
⑥ it is decided by the board of directors to propose the appointment or dismissal of the Deputy Secretary-General and the financial controller;

Chapter IV Management and Use of Property
Article 29 The Foundation is a public offering foundation, and its income comes from:
(1) the income from organizing donations;
(2) voluntary donations by natural persons, legal persons or other organizations;
(3) investment income;
(4) other lawful income, etc.
article 3 when organizing fundraising and accepting donations, the foundation shall abide by laws and regulations and conform to the purpose stipulated in the articles of association and the business scope of public welfare activities.
article 31 when the foundation organizes fund-raising, it shall announce to the public the public welfare activities to be carried out after the funds are raised and the detailed plan for the use of the funds. Major fund-raising activities shall be reported to the competent business unit and the registration authority for the record.
The Foundation shall organize fund-raising and shall not apportion in any form or in disguised form.
Article 32 The property and other income of the Foundation shall be protected by law, and no unit or individual may occupy, privately divide or misappropriate it.
article 33 the foundation shall use the property according to the purpose stipulated in the articles of association and the business scope of public welfare activities; The donation agreement specifies the specific use of the donation, which shall be used according to the agreement of the donation agreement.
if the donated materials cannot be used for the purpose of the foundation, the foundation can auction or sell them according to law, and the income will be used for the purpose of donation.
article 34 the property of the foundation is mainly used for:
(1) setting up a special fund in line with the purpose of the association.
(2) funding the poor areas of the country to conduct a listening survey.
(3) funding the establishment of hearing rehabilitation medical institutions and hearing and language training institutions for deaf children.
(4) provide financial assistance to the deaf in poverty-stricken areas throughout the country who really can't afford medical and treatment fees for rehabilitation.
(5) funding the establishment of hearing medical research institutions to conduct relevant basic theoretical and clinical medical research.
(6) funding the establishment of audiology professionals training institutions to train audiology professionals in China.
(7) Establish the "China Audiology Development Fund Award" to commend those who have made outstanding contributions to the cause of audiology in China.
(8) used for publicity in line with the purpose of this foundation.
Article 35 The major fund-raising and investment activities of the Foundation refer to:
(1) National public offering activities and the establishment of special funds according to the purpose of the activities;
(2) the investment is more than 5, yuan;
article 36 the foundation shall maintain and increase the value of the fund in accordance with the principles of legality, safety and effectiveness.
article 37 the annual expenditure of the foundation for engaging in public welfare undertakings stipulated in the articles of association shall not be less than 7% of the total income of the previous year.
The salary, welfare and administrative expenses of the staff of the Foundation shall not exceed 1% of the total expenses of the current year.
article 38 the foundation shall disclose to the public the types of public welfare funded projects
and the application and evaluation procedures.
Article 39 Donors have the right to inquire about the use and management of donated property from the Foundation and put forward opinions and suggestions. The Foundation shall give a timely and truthful answer to the donor's inquiry.
if the foundation uses the donated property in violation of the donation agreement, the donor has the right to require the foundation to abide by the donation agreement or apply to the people's court to cancel the donation behavior or terminate the donation agreement.
Article 4 The Foundation may sign an agreement with the grantee to stipulate the mode and amount of funding, as well as the use and method of funds.
the foundation has the right to supervise the use of financial aid. If the recipient fails to use the grant according to the agreement or violates the agreement, the Foundation has the right to terminate the grant agreement.
article 41 the foundation shall implement the unified accounting system of the state, conduct accounting according to law, establish and improve the internal accounting supervision system, and ensure the legality, truthfulness, accuracy and completeness of accounting materials.
the foundation accepts the tax supervision and accounting supervision carried out by the competent tax and accounting departments according to law.
article 42 the foundation is equipped with accountants with professional qualifications. An accountant may not concurrently serve as a cashier. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the receiver.
Article 43 The Foundation's business and accounting year is from January 1st to December 31st every year, and before March 31st every year, the board of directors will examine and approve the following items:
(1) the business report and final accounts of the last year;
(2) the business plan and budget of funds for this year;
(3) inventory of property [current year's list of donors and relevant materials].
article 44 the annual inspection, change of appointment, change of legal representative and liquidation of the foundation shall be subject to financial audit.
article 45 the foundation shall accept the annual inspection organized by the registration authority in accordance with the regulations on the administration of foundations.
Article 46 After passing the annual inspection by the registration administration, the Foundation will publish the annual work report on the media designated by the registration administration, and accept the inquiry and supervision of the public.
Chapter V Termination and Disposal of Surplus Property
Article 47 The Foundation shall be terminated under any of the following circumstances:
(1) It has completed the purposes stipulated in the Articles of Association;
