Being disqualified from fund management according to law;
Dismissed by the fund share holders' meeting;
Dissolution, revocation or bankruptcy according to law;
Other circumstances stipulated by laws and regulations, China Securities Regulatory Commission and the Fund Contract.
Procedures for changing fund managers:
Nomination: the new fund manager is nominated by the fund custodian, or by the holders who individually or collectively hold more than 10% (including 10%) of the fund shares;
Resolution: The fund share holders' meeting shall form a resolution on the nominated fund manager within 6 months after the termination of the fund manager's post, which shall be passed by more than two thirds (including two thirds) of the voting rights held by the fund share holders present at the meeting, and the resolution shall take effect from the date of voting;
Temporary fund manager: Before the new fund manager comes into being, the China Securities Regulatory Commission will appoint a temporary fund manager;
Filing: The resolution of the fund share holders' meeting to replace the fund manager must be reported to the China Securities Regulatory Commission for filing;
Announcement: After the replacement of the fund manager, the fund custodian shall make an announcement in the designated media in accordance with the relevant provisions of the Information Disclosure Measures after the resolution of the fund share holders' meeting of the replacement fund manager takes effect;
Handover: If the fund manager's duties are terminated, the fund manager shall properly keep the fund management business data, and handle the fund management business handover formalities with the temporary fund manager or the new fund manager in time, and the temporary fund manager or the new fund manager shall receive it in time. The new fund manager or temporary fund manager shall check the total fund assets and the net fund share with the fund custodian;
Audit: If the duties of the fund manager are terminated, an accounting firm shall be hired to audit the fund property in accordance with the provisions of laws and regulations, and the audit results shall be announced and reported to the China Securities Regulatory Commission for the record, and the audit fees shall be paid from the fund property;
Fund name change: after the fund manager is replaced, if the original fund manager or the new fund manager requires it, the words related to the original fund manager in the fund name should be replaced or deleted according to their requirements.
