Goodwill usually refers to the value that an enterprise can obtain higher than the normal return on investment under the same conditions. This is because of the geographical advantages of enterprises, or because of various reasons such as high operating efficiency, long history and high quality of personnel, compared with peer enterprises, they can obtain excess profits. The potential economic value that can bring excess profits to the enterprise in the future, or the capitalization value that the expected profitability of the enterprise exceeds the normal profitability of the identifiable assets (such as the average social return on investment). Goodwill is an integral part of the overall value of an enterprise. In business combination, it is the difference between the investment cost of the purchased enterprise and the fair value of the net assets of the merged enterprise.

The trade name is the name of the manufacturer or enterprise. As the symbol of enterprise specialization, trade name is the expression of enterprise legal personality. After approval and registration, the firm can be used for plaques, contracts and commodity packaging. Its exclusive use right has no temporal characteristics and will only be terminated when the affiliated manufacturer dies. In some manufacturers, some words and graphics are both trade names and trademarks. But for most manufacturers, product names and trademarks are different. Generally speaking, a trademark must exist in association with a specific commodity to which it is attached, while a trade name must exist in association with a specific manufacturer that produces or operates the commodity.
