Channel Trademark License Agreement for Intel Logo and Intel Promotional Materials This license is mandatory and necessary and is intended to allow you to pass

Use and affix Intel logo labels and/or screen logos to all Eligible Licensee Products and/or Platform Compliant QLPs in a manner and in accordance with the terms and conditions of the CTLA specified in this Agreement. Any use by any person or company of Intel-provided logo labels

and/or screen logos is unauthorized and constitutes an infringement of Intel's proprietary rights in its trademarks, unless you, your reseller and/or system

The Integrator (hereinafter referred to as "You", "Your" and/or "Authorized Party") has accepted and acknowledged the following terms and has provided the required

contact information. This license is not valid unless you receive notification from Intel that you have accepted the Program. This Agreement may be printed

for storage.

All Boxed Processor Intel Inside Logo Trademark Agreements (i.e., BPTLA) and any amendments prior to this Agreement are terminated and superseded by the terms of this Agreement

and the CTLA Terms and Conditions.

1. Definition:

1.1. "Related Programs" means the Intel Channel Partner Program, Reseller Program and any other programs that Intel currently has or may implement in the future

Channel marketing plans associated with this Agreement.

1.2. "Computer Product" means a PC, laptop, mobile computing system, laptop, workstation, server or other computer product as specified in the CTLA

Terms and Conditions.

1.3. "CTLA Terms and Conditions" means the terms and conditions associated with this Agreement, which may be amended by Intel at any time in its sole discretion

. The parties acknowledge and agree that Intel has the right to periodically make changes to the CTLA terms and conditions when Intel introduces new products and new authorized logos that are the subject of this Agreement or as otherwise necessary

the terms and conditions of the CTLA set forth below and accessible on the Intel Reseller website. Your continued participation in the relevant program will be deemed

your acknowledgment and acceptance of the new modified CTLA terms and conditions.

1.4. "In-Store Promotional Materials" means promotional materials used by You to use and display the Authorized Marks in accordance with this Agreement and the CTLA terms and conditions

Specially for your use Stores and/or facilities, such as flyers, posters, demonstration stands and shelves used for Qualified Licensee products,

and store signage prepared and/or approved for use by Intel.

1.5. "Intel Trademarks" are Intel, Pentium, Pentium Inside(TM), Young, Celeron Inside(TM), Xeon,

Inside(TM), Itanium, Itanium Inside(TM), Intel Core(TM), Core(TM) Inside(TM), Intel Centrino(TM),

Intel(R) (R)

Viiv(TM) ) and the Intel vPro(TM) word mark and logo, licensing marks, screen marks, logo labels, and all other trademarks owned by Intel and that Intel may use in this Agreement and/or the CTLA Terms and Conditions all other tags.

1.6. "Intellectual Property Rights" means copyrights, trademarks, trade names and other similar intellectual property rights.

1.7. "Authorized Identity" means the Processor Identity and Platform Identity set forth in the CTLA Terms and Conditions.

1.8. "Authorized Materials" means all advertising, promotional and/or promotional materials and graphics prepared and provided by Intel to you. Authorized materials may or may not display Intel trademarks, and Intel may or may not provide these authorized materials to you at its sole discretion.

1.9. "Logo Label" means the sticker provided by Intel that displays the Authorization Logo.

1.10. "Screen Logo" means the Authorization Logo which can be affixed to the computer once the Qualified Licensor Product and/or the Platform-compliant Qualified Licensor Product is launched.

1.11. "Platform-compliant Qualified Licensee Product" or "Platform-compliant QLP" means complying with the provisions of "Required Platform Components" and

passing All Qualified Licensee products subject to relevant verification testing as set forth in the CTLA Terms and Conditions to ensure the use and/or display of the Platform Marks.

1.12. "Platform Identity" means the identification used specifically for a Platform-compliant QLP.

1.13. "Processor Mark" means the Intel trademarked mark, including the name, mark and/or brand, of a Qualified Intel Processor.

1.14. "Qualified Intel Processor" means all designated Intel processors manufactured by Intel that bear the original Intel branding

and factory markings, including Intel(R) ( R) (R) (R) (R)

Core(TM), Pentium, Celeron, Xeon and Itanium processors. Select Intel processors are available by visiting the Intel reseller website identified in the CTLA Terms and Conditions. Processors not manufactured by Intel, counterfeit processors, or Intel processors with Intel branding, speed designs, or other factory markings that are not modified (rebranded) by Intel (collectively, "non-

Qualified Processors") are not "Qualified Intel Processors."

1.15. "Qualified Licensee Products" means computer products that use only Qualified Intel processors and use your own brand, model or SKU.

For Qualified Intel For processors, all systems represented by their own make, model, or SKU name contain qualifying Intel processors.

1.16. "Required Platform Components" means the unique computing components and/or standards required for each Platform Identity, as detailed in the CTLA Terms and Conditions

1.17. "Usage Guidelines" means the rules and guidelines regarding the proper use of Intel Trademarks, including but not limited to the "Usage Guidelines" at the URL listed in the CTLA Terms and Conditions

"Golden Rules of Trademark" and "Guidelines for Trademark Usage," and all other guidelines set forth in this Agreement and/or the CTLA Terms and Conditions

2. License Grant: Intel Corporation hereby grants you a worldwide, non-exclusive, non-transferable, royalty-free and revocable license, and you

accept this license to Use and display the Licensed Marks to market Eligible Licensor's Products and Required Platform Components in advertising and promotional materials and on the Website in accordance with the terms set forth in this Agreement and the CTLA Terms and Conditions , advertising, promotion, sales and distribution activities. In addition, Intel grants you a worldwide, non-exclusive, non-transferable, royalty-free and revocable license to use and display

the Licensed Materials and promotional materials used by you that contain the Intel Trademarks, including under Intel provides instructions specifically for in-store communications advertising and promoting Qualified

licensor products and platform-compliant QLPs. No other right, title

or license is granted hereunder.

3. Restrictions on Permission and Proper Use of Logo Labels and Intel Trademarks:

3.1. Subject to Section 3 and all other usage guidelines that Intel may provide, including without limitation You agree to use the logo labels and Intel Trademarks in accordance with the "Trademark Usage

Guidelines" on Intel's website located at the URL listed in the CTLA Terms and Conditions.

3.2. You agree to always use the Intel trademark, which has a corresponding term in the "Trademark Usage Guidelines". In addition, you agree not to use any Intel Trademark as a noun, and not to refer to or refer to any Intel Trademark in the plural, possessive or abbreviated form.

Add other words, symbols, or numbers to use as a word or with a hyphen.

3.3. You should always use Intel Trademarks with the correct spelling and

trademark symbol in compliance with the Intel Trademark Usage Guidelines and/or the CTLA Terms and Conditions.

3.4. By using the TM, SM or (R) symbol (as described in the "Trademark Usage Guidelines") on all Qualified Licensee products and using shipping materials and user manuals For the following trademark attributes in , you shall attribute ownership of all Intel trademarks to Intel:

3.8. You may not use any Intel Trademark in any manner that is confusingly associated with the origin, sponsorship, or content of your products and/or sites or tools.

, or in any way represent that you are a division, subsidiary, chartered company, or otherwise affiliated with Intel. You may not use or display any Intel Trademarks on your invoices, billing statements, shipping memos, letterhead, and/or name tags/company emblems

and may not include any Intel Trademarks in any company name or product name. Intel trademark.

3.9. You may not manufacture, design, copy, relabel, copy,

modify, distribute or sell any identification labels except as expressly permitted by this Agreement or the CTLA terms and conditions. Or allow others to do the above, including transforming or modifying INTEL marks, logos, logo labels and/or formats and any other Intel trademarks. You may not reuse, copy, modify and/or imitate any packaging associated with Intel

products, nor may you relabel and/or imitate any Intel product. Otherwise, it will seriously violate the provisions of this Agreement and related programs

and Intel will have the right to terminate this Agreement and cancel your membership in related programs. In addition, due to your sale and/or production

of any relabeled, counterfeited, copied, reused and modified logo labels, Intel trademarks, Intel products and/or Intel products

Intel reserves all rights to pursue full compensation for losses caused by product packaging.

3.10. You may not use identification labels and/or screen identification obtained from sources other than Intel or Intel-approved processing processes.
