Party A: Yuheyuan Cosmetics (National Chain) Headquarters

Party B:

According to the relevant provisions of the "Contract Law of the People's Republic of China" , after friendly negotiation between Party A and Party B, the following agreement was reached on Party B joining the Yuheyuan cosmetics chain organization and selling related brands:

1. Franchise requirements: Party B must have a good social business circle, and the store must be in a prosperous area , the business area should not be less than 30 square meters, have a certain business philosophy and a positive development mentality.

2. Party A authorizes Party B to be the Yuheyuan_______________ regional chain franchise store from __month__, 20___ to __month__, 20__, during the contract period Priority can be given to renewing the contract after it is full.

3. Party A and Party B shall each bear civil liability within the term of the contract, and have property rights and ownership relationships with each other, but Party B must manage them according to Party A’s unified model. Party B can only operate rainy water in its franchise stores. Cosmetics of the brand approved by Heyuan headquarters. 4. Party A’s Rights and Obligations Party A provides Party B with a unified door head printing piece and some light box pieces of the brands operated indoors. 2 sets of beauty salon equipment, small trial, promotional color pages, manuals, image display racks, and several work badges. Long-term and multiple trainings for waiters, beauticians, required materials, event personnel, speakers, specials, inflatables, and vehicles on the opening day. (Franchise fee ____________ yuan) Party B should be provided with a unified business name, decoration design and management system. Party A shall not establish chain stores of the same level within Party B's area. Party A shall supply Party B to Party B at ____ of the unified retail price of the goods (Party A reserves the right to adjust the supply price accordingly due to material prices in the international market). Party A ensures the quality of the products provided. If there are any quality problems during the product shelf life, Party A will be responsible. If Party A launches new products, Party B should give priority to them as agents in this region. Provide Party B with a letter of authorization and trademark use certificate. The factory and Party A will place advertisements (mainly static advertisements) in the area where Party B is located from time to time and add Party B's address, and provide Party B with packaging agents, work clothes and other business consumables needed for operation for a fee. Party A regularly inspects, supervises and manages franchise stores, and has the right to punish illegal franchise stores and terminate the contract.

5. Party B’s rights and obligations Obtain the right to operate Yuheyuan products in the area and the right to use the trademark. Party B provides relevant documents approved for operation by the local industrial and commercial department and personal identity certificate. After signing the contract, Party B shall pay a one-time payment of RMB_______ as a legal operating deposit (this deposit will not be refunded if Party B defaults). Every year, Party A will receive a refund of interest on the goods based on ___ of the deposit. If the contract is not renewed at the end of the term, it will be fully refunded without dispute. The management fee __________ shall be paid annually starting from the second year. If Party B fails to purchase goods for 2 consecutive months, Party A will have the right to cancel Party B’s qualification to join. If Party B engages in cross-regional sales, once confirmed, Party A will take back the products and impose a fine. Party B is not allowed to operate other brands of cosmetics in the store. Violators will be fined 500 yuan and have the private brands returned within a time limit. In serious cases, all deposits will be confiscated and the franchise will be terminated. In order to protect regional interests, Party B shall not change the price without permission. It is strictly prohibited to use the Yuheyuan trademark outside the franchise area and outside the cosmetics business scope. If Party B purchases goods privately, abuses the trademark, is complained by customers more than twice or causes serious consequences, all losses will be borne by Party B. If the contract is not renewed, Party A shall be notified in writing one month in advance and items representing Party A's image shall be returned. After the contract is terminated, Party B shall not engage in any business activities in the name of Party A, otherwise it shall be held legally responsible. Party B's own debts and financial problems have nothing to do with Party A.

6. Product Receipt, Delivery and Fees Party A will deliver the goods upon payment and according to the order form and remittance order. The products are shipped by Party B on behalf of Party A, and Party B is responsible for the shipping costs. After Party B's first purchase, the circulating goods cannot be adapted to market sales and are not unopened. The internal and external packaging is not damaged and does not affect secondary sales. Similar goods can be exchanged within 30 days. If it is overdue, it will not be exchanged (allergy items are excluded). If the terminal brand represented by Party A cannot be adapted to market sales within 60 days, and the internal and external packaging is not damaged and does not affect secondary sales, it can be exchanged for similar products.

If Party B's business is not good within 10 months and cannot continue to operate normally, it shall inform Party A in writing one month in advance. Once confirmed to be true, Party B shall purchase Party A's agent terminal brand from Party A (in strict accordance with the above exchange requirements) Refund at 20% off purchase price. (Note: Party B must terminate the franchise contract after all matters have been resolved.) 7. Breach of contract and its responsibilities. Any violation of the above terms will be deemed a breach of contract: a party that unilaterally terminates the contract without a breach of contract by the partner will also be deemed to have breached the contract. In the event of a unilateral breach of contract by one party, the non-breaching party may immediately terminate the contract. Force majeure factors can be negotiated separately. 8. Unfinished Matters This contract will take effect upon signature by Party A and Party B. This contract is made in two copies, with each party holding one copy. If a dispute arises through negotiation between the two parties, and the negotiation fails, it may be arbitrated by the court where Party A is located.
