Article 3 Please be sure to ensure the authenticity of the relevant qualifications you provide during your application for settlement and subsequent operations (if the relevant qualifications you provide are provided by a third party, such as trademark registration certificate, authorization letter, etc., please be sure to Verify the authenticity and validity of the documents first), once false qualifications are discovered, your company will be included in the list of non-honest customers, and Tmall will no longer cooperate with you;

Article 4 Tmall will not It accepts applications from individual industrial and commercial households, and does not accept applications from non-mainland Chinese enterprises;

Article 5: Tmall temporarily does not accept trademark registration certificates or trademark acceptance notices issued by the State Trademark Administration. Brand store applications (except for some categories of imported goods), and applications for purely graphic trademarks are not accepted;

Chapter 2 Tmall store types and related requirements

Article 6 Flagship stores, merchants use their own brands (trademarks with R or TM status), or are exclusively authorized by the rights holder to open stores on Tmall.

(1) Flagship stores can have the following situations:

1. Operate a flagship store of its own brand products;

2. Operate multiple Private brand goods and each brand belongs to the same actual controller;

3. Flagship store opened by the owner of a store-type brand (service trademark);

(1) Specialty stores have the following situations:

1. Operate a specialty store authorized to sell branded goods;

2. Operate multiple authorized stores Specialty stores that sell branded goods and each brand is owned by the same actual controller;

The second point of the specialty store is only open to Tmall’s active invitation.

(2) The authorization document issued by the brand (trademark) right holder shall not have geographical restrictions, and the authorization validity period shall not be earlier than December 31, 2012;

Article 8 Specialized Stores , stores that operate products from two or more brands (trademarks with R or TM status) under the same Tmall investment category. Only one franchised store can apply for one investment category.

Specialized stores have the following situations:

1. Specialized stores that operate two or more other people’s brand goods;

2. They both operate other people’s brand goods. Also operates specialty stores with own brand products;

Chapter 4 Restrictions on Opening a Store

Article 10. Brand Settlement Restrictions,

(1) Identical or similar to existing brands, channels, businesses, categories, etc. on Taobao (including but not limited to Taobao, Tmall, Yitao, etc.);

Article 11 Cross-category business restrictions on stores,

(1) Flagship stores, specialty stores,

1. Holding Brands with a trademark registration certificate can apply for the first-level categories included in the goods approved on the trademark registration certificate;

2. Brands holding a trademark registration application acceptance notice are not allowed to operate across Tmall Categories. Under the same category, you can apply for Tmall's first-level category according to the corresponding trademark registration acceptance notice;

(2) Specialized stores are not allowed to operate across Tmall categories.

Article 12 Restrictions on the same entity opening multiple Tmall stores,

(1) Tmall has already had a store operating for more than three months when entering. , and meet the assessment standards for trial operation;

(2) Product overlap: it is required that the brands and products sold between stores must not be repeated;

(3) Specialized products under one investment category You can only apply for one store;

Article 13 Restrictions on the same entity re-entering Tmall,

(1) Those who have serious violations or falsified qualifications and are removed from Tmall will be permanently restricted from entering. ;

(2) If a merchant voluntarily withdraws twice within a calendar year, entry is restricted within 6 months;

Article 14 Renewal restrictions,

must be completed within 6 months The submission of the renewal application must be completed before 18:00 pm on December 20, 2011, and the payment of the annual fee and freezing of the security deposit must be completed before 18:00 pm on December 26, 2011. If the fees and information for the previous year and the next year have not been made up, The store will be supervised and withdraw from Tmall on December 31, 2011.

Chapter 5 Tmall Deposit/Annual Fee/Rate Standard

Article 15 Deposit:

Merchants must pay a deposit to operate on Tmall. It is mainly used to ensure that merchants operate in accordance with Tmall's rules, and is used to pay liquidated damages to Tmall and consumers in accordance with the "Tmall Service Agreement" and relevant rules when merchants violate regulations. The 2012 deposit for renewed merchants must be paid in one lump sum before December 26, 2011; the newly signed merchants must pay the 2012 deposit in one lump sum when their application for settlement is approved.

The deposit varies according to the nature of the store, and the amount is as follows:

(1) Brand flagship store and specialty store: 100,000 yuan for TM trademarks, 50,000 yuan for all R trademarks;

(2) Specialized stores: 150,000 yuan with TM trademark, 100,000 yuan with all R trademarks;

(3) Special category description,

2. For specialty stores that operate special commodities (such as fruits, imported goods, etc.) that have not applied for registered trademarks in mainland China, the deposit is 150,000 yuan;

4. Tmall operates a major category of "medicine", with a deposit of 300,000 yuan;

5. The deposit of "online games and QQ", "telephone communications" and "tourism" is 10,000 yuan;

Article 16 Annual technical service fee (hereinafter referred to as "annual fee"):

Merchant operating on Tmall must pay an annual fee. The annual fee amount is based on the first-level category, and is divided into two levels: 30,000 yuan or 60,000 yuan. For details of the annual fee standards corresponding to each first-level category, please refer to the "2012 Tmall Annual Fee List for Various Categories". Renewal merchants must pay the 2012 annual fee in one lump sum before December 26, 2011; newly signed merchants must pay the 2012 annual fee in one lump sum when their application is approved.

(1) Annual fee refund: In order to encourage merchants to improve service quality and expand business scale, Tmall will conditionally refund annual technical service fees to merchants. The return method refers to two indicators: store rating ("DSR") and annual sales (excluding shipping costs). The return ratio is 50% and 100%. The specific standard is that the average DSR during the agreement period (including termination within the period and termination before expiration, and the actual operating period is less than one year, shall be based on the actual operating period) is not less than 4.6 points; and it meets the requirements of Tmall’s various types of The annual sales amount corresponding to the annual technical service fee amount and the return ratio of each level in the "Project Rate and Annual Fee List". (2) Annual fee settlement,

1. Annual fees will not be refunded for those who are dismissed due to violations or falsified qualifications;

4. The refund and settlement of the annual technical service fee will begin after the termination of this agreement.

(3) For cross-category settlement, the annual fee will be paid according to the category with the highest amount based on the high principle; however, the actual settlement will be based on the standard corresponding to the category with the largest proportion of transaction volume from the date of settlement to the settlement date.

Article 17: Real-time deduction of technical service fees (referred to as "commission"):
