Chapter 1 General Provisions

Article 2 The nature of this association: It is composed of the province’s clothing and apparel industry clusters, industry organizations, professional markets, as well as the production, technology, education and circulation of clothing, shoes and hats, apparel and related accessories and equipment. It is a non-profit province-wide industry organization that is voluntarily formed with related enterprises, has obvious industry and local characteristics, and is not restricted by economic type.
Article 3 The purpose of this association: abide by the constitution, laws, regulations and national policies, independently carry out activities in accordance with the charter, provide services to members, and safeguard the legitimate rights and interests of industry members and the common economic interests; Maintain market order and fair competition, communicate the relationship between members, the government and society, and play the role of other social public interests.
Article 4 The association has been approved by the Guangdong Provincial Department of Civil Affairs for registration and establishment, accepts business guidance from relevant government departments, and accepts the supervision and management of the Guangdong Provincial Department of Civil Affairs, the registration management authority.
Article 5 The association’s activity area: Guangdong Province.

Chapter 2 Business Scope
Article 7 The business scope of the association:
1. Investigate, collect, summarize and analyze the basic situation of the industry work, research the development direction of the industry, and formulate industry development plans. Provide industry economic, technical policy and industry legislative advice to the government, and participate in decision-making consultation and review of major industry issues;
2. Formulate industry rules and regulations, establish industry self-discipline mechanisms, promote equal competition among enterprises, and improve the overall industry quality and safeguard the overall interests of the industry;
3. Assist in the formulation and revision of various industry-wide standards, industry-wide product quality supervision, and organize the activities of famous clothing cities, famous trademarks, famous brand products, and outstanding enterprises , recommendation, selection and commendation of outstanding entrepreneurs and outstanding designers;
4. Promote the application of new technologies, new processes, new equipment and new materials. Organize exchanges on production, management, and technology and provide consulting services. Carry out professional training and talent exchange;
5. Strengthen industry publicity, market development, scientific and technological information exchange, and publish industry publications;
6. 7. Accept entrustment from relevant government departments to carry out activities beneficial to the industry.
Chapter 3 Members
Article 8 The members of this association are members of economic organizations in the industry.
Article 9 Members who apply to join the association must meet the following conditions:
1. Support the association’s charter;
2. Love the industry and have Willingness to join the association;
3. Have a certain influence in the industry;
4. Enterprises and institutions or related social groups engaged in production, technology, education, and circulation in this industry;
5. Hold valid industrial and commercial business licenses and other relevant documents.
Article 10 The procedures for membership membership are:
1. Submit an application for membership;
2. Approved by the Board of Directors or by the Board Secretariat After review and approval;
3. The secretariat authorized by the Board of Directors will issue a membership card.
Article 11 Members enjoy the following rights:
1. The legal representative of the unit member is the official representative attending the meeting and attends the member representative meeting;
2 . Participate in association activities and accept services provided by the association;
3. The right to elect, be elected and vote for the association;
4. The right to criticize, suggest and supervise the work of the association;
5. Give priority to participate in various activities of the association;
6. Membership is voluntary and withdrawal is free.
Article 12 Members shall perform the following obligations:
1. Abide by the Association’s Articles of Association;
2. Implement the Association’s resolutions;

5. Complete the work assigned by the Association;

7. Under the organization of the Association, assist other members in solving production technology, business management, technology development, and talent training obligations on issues such as these.
Article 13 Standards for members to pay membership dues:
1. The president’s unit shall pay membership fees of 50,000 yuan per year;
2. The vice-president’s unit shall pay annual membership dues The membership fee is 10,000 yuan;
3. The governing unit pays an annual membership fee of 5,000 yuan;
4. The general member unit pays an annual membership fee of 2,000 yuan.
Article 14 Members who wish to withdraw from membership should notify the Association in writing and return their membership cards. If a member fails to pay the membership fee or participate in the group activities for one year, he will be deemed to have automatically withdrawn from the membership.
Article 15 If a member ceases production or changes production, goes bankrupt, or is revoked in accordance with the law, he should withdraw from the membership; if a member does not abide by the articles of association of the industry association, he or she will be criticized and educated by the industry association. If a member violates the association seriously, If a member refuses to correct his or her behavior in accordance with the articles of association or rules and regulations, he or she will be removed from the membership after being voted on by the member congress.
Chapter 4: Creation and Removal of Organizational Structure and Persons in Charge
Article 16: The Association shall consist of representatives elected by its members to form a Member Congress. Member representatives are elected by members. The Member Congress is the highest authority in the industry and exercises its powers in accordance with national laws, regulations and the articles of association of the industry association.
Article 17 The Member Congress shall exercise the following powers:
1. Determine the scope and work functions of the association as stipulated in laws and regulations;
2. Elections and Removing the president, vice president, directors, and supervisors;
3. Reviewing the annual work report and annual financial budget and final accounts of the Board of Supervisors;
4. Reviewing the Board’s response to members Proposal for delisting;
5. Make resolutions on matters such as changes, dissolution and liquidation of the association;
6. Change or revoke inappropriate decisions of the board of directors;
7. Formulate or amend the election methods of the charter organization;
8. Decide on termination matters;
9. Decide on other major matters.
Article 18 The Member Congress shall be elected for four years. If the election must be advanced or postponed due to special circumstances, it must be voted by the Board of Directors and submitted to the Guangdong Provincial Department of Civil Affairs for approval. However, the postponement time shall be the latest. The duration shall not exceed one year; the Member Congress shall hold at least one meeting every two years. If the Board of Directors deems it necessary or more than one-fifth of the members propose, an extraordinary Member Congress may be convened.
Article 19 The Member Congress must be attended by more than two-thirds of the member representatives, and its resolutions must be passed by more than half of the member representatives to take effect; Decisions on matters shall be recorded in meeting minutes and announced to members.
Article 20 The Association shall establish a Board of Directors. The number of members of the Board of Directors is one-third of the member representatives. The Board of Directors is a permanent body of the Member Congress and performs its duties in accordance with the resolutions of the Member Congress and the Articles of Association of the Association during the intersession of the Member Congress.
Article 21 The powers of the Board of Directors are:
1. Prepare and convene the Member Congress;
2. Implement the resolutions of the Member Congress, And report the work to the Member Congress;
3. Decide on the specific work and business of the association;
4. Formulate the association's annual financial budget plan, final accounts, changes, dissolution and liquidation, etc.
5. Formulate a plan to increase or reduce the association’s registered capital;
6. Decide on the establishment of various internal institutions of the association, and lead the work of various internal institutions of the association;

7. Decide on the admission of new applicants and the punishment of members, and propose the removal of members;
8. Appoint or dismiss the secretary-general of the appointment system, and decide on the main person in charge of the association branch; According to the nomination of the Secretary-General, appoint or dismiss the Deputy Secretary-General and the main persons in charge of the association's offices and representative offices, and decide on their remuneration and other matters;
9. Formulate and decide on the internal management system of the Association;

Other matters stipulated in the articles of association.Article 22 The Board of Directors shall hold at least one meeting every six months (under special circumstances, it may also be convened by communication); the Board of Directors must be attended by more than half of the directors before it can be convened, and its resolutions must be approved by It can only come into effect if approved by half of all directors. The board of directors shall form minutes of the resolution and announce them to all directors. Board meetings are convened and presided over by the president. If the president is unable to perform his duties due to special reasons, the president shall entrust the vice president or secretary-general to convene and preside over the meeting. More than one-third of the directors may propose to convene the board of directors.
Article 23 The association shall elect standing directors from among the directors as needed and establish a standing board of directors. The standing board of directors shall be responsible to the board of directors. The Standing Council consists of the President, Vice President, and Executive Directors. The number of standing directors shall be one-third of the number of directors. During the period when the directors are not in session, the Standing Council may, with the authorization of the Council, exercise the functions and powers specified in Article 21 of this Article 1, 2, 4, 5, 6, 7, 8 and 9 for at least three months. Convene a meeting; under special circumstances, it can also be convened by communication. Resolutions made by the Standing Council must be passed by more than half of the Standing Directors.
The Standing Council shall keep minutes of its decisions on matters discussed.
Article 124 The rules and procedures for the establishment of branches and representative offices of this association:
1. The secretariat of the industry association shall propose a specific plan for the establishment of branches;
2. Submit the specific plan to the president’s office meeting for discussion and approval;
3. Submit the approved specific plan to the board of directors for review and approval;
4. Report to Guangdong Province Approval by the administrative agency of the Civil Affairs Department.
Article 25 The Association shall establish a Board of Supervisors, which shall be elected by the Member Congress. The term of the Supervisory Board is the same as that of the Board of Directors and can be re-elected upon expiration. The president, vice president, directors, and secretary-general may not concurrently serve as supervisors.
Article 26 The president, vice president, secretary-general, and supervisors of the association must meet the following conditions:
1. Adhere to the party’s line, principles, and policies, and abide by National laws and regulations;
2. Have a greater influence in the business field of the association;
3. The maximum age of the president, vice president, and secretary-general shall not exceed seven years Ten years old, the secretary-general is full-time;
4. Be in good health and able to work normally;
5. Have not received any criminal punishment;
6. Have complete Capacity for civil conduct.
Article 27 The Secretary-General of the Association adopts an appointment system, and the Secretary-General and the President are not produced in the same enterprise. The president may not concurrently serve as secretary-general.
Article 28 The association shall have one president and several vice-presidents. The president is the legal representative of the association; the legal representative of the association does not concurrently serve as the legal representative of other organizations.
Article 29 The president, vice-president and secretary-general of the Association shall be elected for a term of four years and shall not be re-elected for more than two terms.
Article 30 The president of the Association shall exercise the following powers:
1. Convene and preside over meetings of the Board of Directors and Standing Council;
2. Inspect members The implementation of the resolutions of the Congress, the Council, and the Standing Council;
3. Sign relevant important documents on behalf of the Association.
Article 31 The vice president and secretary-general of the association carry out their work under the leadership of the president, and the secretary-general is responsible to the council.
The Secretary-General is full-time and exercises the following powers:
1. Preside over the daily work of the office and organize the implementation of the annual work plan;
2. Organize the formulation and implementation of the annual work plan and budget, Decision;
3. Coordinate the work of branches, representative agencies and entities;
4. Nominate the deputy secretary-general and all offices, branches, representative agencies and entities The main person in charge shall be submitted to the Board of Directors or the Standing Council for decision;
5. The employment of full-time staff of nominated offices, representative agencies, and entity agencies shall be submitted to the president for approval;
6 Handle other daily tasks.
The Secretary-General attends the meetings of the Board of Directors and the Standing Board of Directors.
Article 32 The Board of Supervisors shall exercise the following powers:
1. Report annual work to the Member Congress;
2. Supervise the Member Congress and the Board of Directors election and removal; supervise the implementation of the resolutions of the member congress by the board of directors;
3. Examine the association’s financial and accounting information, and report the situation to the Guangdong Provincial Department of Civil Affairs and the tax and accounting authorities;
< p>4. The supervisors attend the meetings of the board of directors and have the right to raise questions and suggestions to the board of directors;5. Supervise the board of directors' compliance with laws and charters, and act as president, vice president, directors and secretary-general When the behavior of managers harms the interests of the association, they are required to make corrections and report to the relevant government departments of the Member Congress when necessary.
Supervisors shall abide by relevant laws, regulations and the association's articles of association, accept the leadership of the member representative conference, and effectively perform their duties.
Chapter 5 Principles of Asset Management and Usage
Article 33 Sources of funding for the association:
1. Membership dues;
2. Donations;
3. Government funding;
4. Income from activities or services within the approved business scope;

6. Other legal income.
Article 34 When accepting donations, the Association shall abide by laws and regulations and shall not make apportionments or disguised apportionments in any form; donors, sponsors or units, members, and supervisors have the right to inquire about donations from the Association The association should provide timely and truthful responses to inquiries from donors, sponsors or entities, members, and supervisors regarding the use and management of property, and put forward opinions and suggestions.
Article 35 The funds of the association must be used for the development of the business scope and undertakings stipulated in this charter. Property and other income are protected by law, and no unit or individual may encroach, privately divide or misappropriate it.
Article 36 If the president, vice president, directors, supervisors, secretary-general and staff of the association privately divide, embezzle or misappropriate the association's property, they shall be returned and reviewed at the member representative meeting. ; If it constitutes a crime, criminal responsibility shall be pursued in accordance with the law.
Article 37 The Association will implement the unified national accounting system, conduct accounting in accordance with the law, establish and improve an internal accounting supervision system, and ensure that accounting information is legal, authentic, accurate and complete.
The Association accepts tax supervision and accounting supervision implemented by the tax and accounting authorities in accordance with the law.
Article 38 The association shall be equipped with professionally qualified accountants, and accountants shall not concurrently serve as cashiers. Accountants must conduct accounting calculations and implement accounting supervision. When accounting personnel transfer jobs or leave their jobs, they must clear the takeover procedures with the takeover personnel.
Article 39 The association’s asset management shall implement the property management system prescribed by the state and accept the supervision of the member representative conference and the financial department. If the source of assets belongs to state appropriations or social donations or subsidies, they must be subject to the supervision of auditing agencies, and the relevant information must be announced to the public in an appropriate manner.
Article 40 The association must accept the financial audit of the Guangdong Provincial Department of Civil Affairs when conducting annual reports, re-election, changes in legal representatives and liquidation.
Article 41 In accordance with the "Guangdong Provincial Industry Association Regulations", the Association shall submit the previous year's activity report, financial report and current year's activity arrangements to the Guangdong Provincial Department of Civil Affairs before the end of March each year. ; The Association has established a major event reporting system: the Association holds large-scale academic seminars, seminars, and exhibitions, organizes external exchanges, interacts with overseas non-governmental organizations, carries out industry evaluation, standard achievement, and commendation activities, and accepts overseas and social donations, etc. Before the event, report to the relevant government functional departments and the Guangdong Provincial Department of Civil Affairs and go through relevant procedures.
Article 42 The full-time staff of the Association shall implement a full-time appointment system, open recruitment to the public, and enter into labor contracts. Their wages, insurance, and welfare benefits shall be implemented with reference to the relevant national regulations for public institutions. .
Chapter 6 Procedure for Amending the Articles of Association
Article 43: Modifications to the Association’s Articles of Association shall be approved by the Board of Directors and then submitted to the Member Congress for review.
Article 44 The revised Articles of Association of the Association must be submitted to the Guangdong Provincial Department of Civil Affairs for approval within 30 days after being adopted by the Member Congress, and then take effect.
Chapter 7 Termination Procedures and Property Disposal after Termination
Article 45 The association shall be terminated under one of the following circumstances, and shall be proposed by the Board of Directors or the Standing Board of Directors Cancellation motion:
1. Fulfilling the purpose stipulated in the articles of association;
2. The member congress resolves to dissolve;
3. The association is split or merged ;
4. Unable to continue working in accordance with the purposes stipulated in the charter.
Article 46 The motion to terminate the Association must be voted and approved by the Member Congress and reported to the Guangdong Provincial Department of Civil Affairs for review and approval.
Article 47 Before the association is terminated, a liquidation organization must be established under the guidance of the Guangdong Provincial Department of Civil Affairs and relevant units to clear out claims and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. The association should go to the Guangdong Provincial Department of Civil Affairs to complete the deregistration procedures within 15 days from the date of completion of liquidation.
Article 48 The association will be terminated after the deregistration procedures are completed by the Guangdong Provincial Department of Civil Affairs.
Article 49: The remaining property after the termination of the association will be used to develop causes related to the purpose of the association under the supervision of the Guangdong Provincial Department of Civil Affairs and in accordance with relevant national regulations.
Chapter 8 Supplementary Provisions
Article 50 This Article of Association was reviewed and voted on by the Fourth Member Congress on March 15, 2007.
Article 51 The right to interpret this charter belongs to the Council of the Association.
Article 52 This Article of Association shall come into effect on the date of approval by the Guangdong Provincial Department of Civil Affairs
