Business license application process:

First step name approval time: 1-3 working days

Operation: Determine the company type, name, registered capital, After confirming the shareholders and capital contribution ratio, you can go to the Industry and Commerce Bureau to submit an application for verification on-site or online.

Result: The name verification passed, if failed, the name needs to be re-verified.

The second step of submission time: 5-15 working days

After passing the verification, confirm the address information, executive information, business scope, and submit the pre-application online. After passing the online pre-examination, go to the Industrial and Commercial Bureau to submit application materials according to the scheduled time.

Result: Received notification of approval of establishment registration.

Third step: License collection time: On the day of appointment

Extended information: The Sixth Session of the Standing Committee of the Twelfth National People's Congress decided on December 28, 2013 to amend the Company Law, which will come into effect on March 1, 2014.

Instructions for registering a company: The paid-up system has been changed to a subscription system. Changing the company's registered capital paid-in system to a registered capital subscription system is the most prominent highlight of the newly revised Company Law.

According to the newly revised Company Law, unless laws, administrative regulations and decisions of the State Council otherwise stipulate the actual payment of a company's registered capital, the requirement that a company's shareholders (initiators) should start from the date of establishment of the company has been cancelled. The capital contribution must be paid in full within two years, and the investment company can pay in full within five years. The requirement that shareholders of a one-person limited liability company must pay their capital contribution in full at one time has been cancelled.

The shareholders (promoters) of the company independently agree on the amount of capital contribution, method of capital contribution, capital contribution period, etc., and record them in the company's articles of association. This reform is conducive to individual entrepreneurship, can promote the establishment of a credit system in our country, and is conducive to promoting the transformation of resource allocation methods.

A business license is a certificate issued by the industrial and commercial administration authority to industrial and commercial enterprises and individual traders allowing them to engage in certain production and business activities. Its format is uniformly stipulated by the State Administration for Industry and Commerce.

The registration matters are: name, address, person in charge, amount of funds, economic composition, business scope, business method, number of employees, business period, etc.

The business license is divided into original and duplicate, both of which have the same legal effect.

The original copy should be placed in a conspicuous place at the company’s residence or business premises, and the business license may not be forged, altered, rented, lent or transferred.

Industrial and commercial enterprises or self-employed individuals without a business license are not allowed to open their business. They are not allowed to engrave official seals, sign contracts, register trademarks, or publish advertisements. They are not allowed to open bank accounts.
