Chapter 2 Business Scope

Chapter 3 Organizational Structure and Person in Charge
Article 8 The Foundation is composed of 11 directors.
The term of directors of the Foundation is 5 years. When the term expires, they can be re-elected.
Article 9 Qualifications of Directors:
(1) Love and care about the Foundation, and actively provide suggestions for the development of the Foundation and its undertakings;
(2) Have working ability that is consistent with the requirements of the Council;
(3) Be a citizen who has always been ethical, law-abiding, and has full behavioral capacity.
Article 10: The election and removal of directors:
(1) The first board of directors shall be nominated and negotiated by business supervisory units, major donors and sponsors respectively. Sure.
(2) When the Board of Directors is re-elected, the business supervisory unit, the Board of Directors, and the major donors shall jointly nominate candidates and organize a re-election leadership group, and organize all candidates to be elected jointly The new directors.
(3) The removal and addition of directors shall be approved by a vote of the board of directors and reported to the business supervisory unit for review and approval;
(4) The results of the election and removal of directors shall be reported to the registration management authority for record.
(5) The total number of foundation directors who are closely related to each other shall not exceed 1/3 of the total number of directors.
Article 11 Rights and obligations of directors:
(1) Exercise the right to elect, be elected and vote seriously and responsibly;
(2) Participate in or Appoint authorized representatives to participate in board meetings and exercise voting rights;
(3) Provide opinions and suggestions on various activities and internal management systems of the Association;
(4) Exercise seriously and responsibly Decision-making power;

Article 12 The decision-making body of the Foundation is the Board of Directors. The board of directors exercises the following powers:
Formulate and amend the charter; elect and remove the chairman, vice chairman, and secretary-general; (3) decide on major business activity plans, including fund raising, management and use plans;
(4) Review and approve annual revenue and expenditure budget and final accounts;
(5) Formulate internal management system;
(6) Decide to establish offices and branches , representative organizations;
(7) Decide on the appointment of the deputy secretary-general and the main heads of each agency nominated by the secretary-general;
(8) Hear and review the work report of the secretary-general , inspect the work of the Secretary-General;
(9) Decide on the division, merger or termination of the Foundation;
(10) Decide on other major matters.
Article 13 The Board of Directors shall hold two meetings each year. Board meetings are convened and chaired by the chairman.
1/3 of the directors propose that a board meeting must be convened. If the chairman cannot convene the meeting, the proposed directors can select the convener.
To convene a board of directors meeting, the chairman or convener must notify all directors and supervisors 5 days in advance.
