Chapter I General Provisions

Article 1 Name: China Association for Poverty Alleviation and Development (hereinafter referred to as the Association)

English: China Association of Poverty Alleviation & Development

abbreviation: CAPAD

Article 2 This Association is a national non-profit social organization composed of enterprises, social organizations, institutions and other institutions and individuals who support the cause of poverty alleviation and development, and has the legal personality of social organizations.

Article 3 Purpose of this Association: Guided by Scientific Outlook on Development, it aims at eliminating poverty, narrowing the gap between the rich and the poor, promoting common prosperity and building a harmonious socialist society. Cooperate with the government, widely mobilize social forces, carry out poverty alleviation and development work, and make contributions to poverty reduction in China.

this association strictly abides by the constitution, laws, regulations and national policies, and abides by social morality.

article 4 this association accepts the business guidance, supervision and management of the registration authority, the people's Republic of China, the Ministry of civil affairs and the office of the leading group for poverty alleviation and development of the state Council.

Article 5 The domicile of this Association is located in Beijing.

Chapter II Scope of Business

Article 6 The main tasks of this Association are to implement the national poverty alleviation and development policies, mobilize social forces, gather effective resources, play an active role in promoting industrial poverty alleviation and development, developing technical information services for poverty alleviation funds, promoting labor training and transfer in poverty-stricken areas, and strengthening international exchanges and cooperation in poverty alleviation and development, so as to make contributions to the realization of the tasks and objectives of the China poverty alleviation and development program.

Article 7 The specific business scope of this Association is as follows:

(1) To mobilize and guide member enterprises and all sectors of society to carry out industrial poverty alleviation and development in poverty-stricken areas;

(2) actively strive for preferential policies and support from the state in finance, taxation and finance, broaden channels of support such as poverty alleviation funds and technology, explore new mechanisms and new ways of financial poverty alleviation and development, establish poverty alleviation and development funds, and support poverty alleviation and development projects;

(3) learn from international anti-poverty experience, strengthen international exchanges and cooperation with foreign governments, enterprises and international organizations in poverty alleviation and development, including cooperation in introducing foreign capital and technology;

(4) gather and create conditions to carry out poverty alleviation through education, culture, science and technology, information and labor training and transfer in poverty-stricken areas, promote the construction of rural grassroots organizations and talent teams, and carry out poverty alleviation public welfare undertakings;

(5) organizing activities such as publicity, planning, image building, inspection, discussion and exchange;

(6) providing consulting services on relevant laws and policies, funds, technology, information and cooperation for members and society;

(7) organizing theoretical research and investigation activities to help the poor, making suggestions for the government and relevant departments, and providing decision-making suggestions;

(8) to carry out relevant business training;

(9) accepting other businesses entrusted by the government and relevant organizations.

Chapter III Membership

Article 8 Members of this Association are divided into group members, unit members and individual members.

Group members are local poverty alleviation associations or other legally registered social groups.

corporate members are enterprises and institutions with legal personality. All members of the unit are represented by the person in charge of the unit or the personnel appointed by it. If there is any change, it should be replaced by the new person in charge of the unit or its appointed personnel, and inform the secretariat of the association in writing in time.

individual members are entrepreneurs, experts, scholars and other relevant people who are enthusiastic about poverty alleviation and concerned about the poor population and regional economic development. Individual membership must be introduced by 1-2 members of the Association.

Article 9 A member who applies to join the Association must meet the following conditions:

(1) To join the Association voluntarily;

(2) support the articles of association of this association;

(3) voluntary fulfillment of membership obligations;

(4) Enthusiastic about poverty alleviation;

(5) It has certain influence and good reputation in the society and industry.

Article 1 The procedures for membership are as follows:

(1) Submit an application for membership;

(2) discussed and approved by the board of directors;

(3) When the Council is not in session, it shall be discussed and approved by the Standing Council or the secretariat of the Association;

(4) The Council or the Council authorizes the secretariat of the Association to issue membership cards.

Article 11 Members shall enjoy the following rights:

(1) The right to vote, to be elected and to vote of this Association;

(2) to participate in the activities of this association;

(3) the priority of obtaining the service of this association;

(4) the right to criticize, suggest and supervise the work of this association;

(5) voluntary membership and freedom of withdrawal.

Article 12 Members shall perform the following obligations:

(1) Implementing the resolutions of this Association;

(2) safeguarding the legitimate rights and interests of this association;

(3) Complete the work assigned by the Association;

(4) Pay the membership fee as required;

(5) report the situation and provide relevant information to this association.

Article 13 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. If a member fails to fulfill his obligations for one year, it will be regarded as automatic withdrawal.

Article 14 If a member commits a serious violation of the Articles of Association, it shall be removed from the membership after being voted by the Council or the Standing Council.

chapter iv establishment, emergence and authority of the organization

article 15 the highest authority of this association is the member congress. The functions and powers of the members' congress are:

(1) to formulate and amend the articles of association;

(2) to elect and recall directors;

(3) to hear and consider the work report and financial report of the Council;

(4) to formulate and revise the membership fee standard;

(5) to decide on merger, division and termination;

(6) decide on other important matters.

Article 16 A member congress can only be held when more than two-thirds of the members' representatives are present, and its resolution can only take effect when more than half of the members' representatives present vote.

article 17. the member congress is held for 5 years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review and approved by the association registration authority. However, the extension of the term of office shall not exceed one year at the longest.

article 18 the association shall establish a Council. The Council is the executive body of the member congress, leading the Association to carry out its daily work when the member congress is not in session, and being responsible to the member congress.

Article 19 The functions and powers of the board of directors are as follows:

(1) To implement the resolutions of the members' congresses;

(2) to elect and recall the president, vice-president, secretary-general and executive directors;

(3) prepare for the convening of a member representative meeting;

(4) report the work and financial situation to the members' congress;

(5) to decide on the admission or expulsion of members;

(6) to decide on the establishment, alteration and cancellation of offices, branches, representative offices and entities;

(7) to lead the work of various institutions of the Association;

(8) examining and approving major activities, including raising, management and planning of project funds, annual work reports and plans, final accounts and budgets of annual expenditures;

(9) to decide on the establishment and selection of honorary posts;

(1) formulate internal management system;

(11) decide on other important matters.

article 2 the board of directors shall be convened only when more than 2/3 of the directors are present, and its decision shall take effect only when more than 2/3 of the directors present vote.

Article 21 The Council shall meet at least once a year; Special circumstances, can be held in the form of communication.

article 22 the association shall establish a standing Council. The Standing Council is elected by the Council, and exercises the functions and powers of Item 1, 3, 5, 6, 7, 8, 9 and 1 of Article 19 when the Council is not in session, and is responsible to the Council. The number of executive directors shall not exceed 1/3 of the number of directors.

article 23 the standing Council shall be convened only when more than 2/3 of the standing directors are present, and its resolutions shall take effect only when more than 2/3 of the standing directors present vote.

Article 24 The Standing Council shall meet at least once every six months; Special circumstances, can be held in the form of communication.

article 25 the association shall set up a president's office meeting. The President, the Vice President and the Secretary-General are the members of the President's office meeting, and they are collectively led in the form of the President's office meeting, which is presided over by the President or the Vice President entrusted by the President. In principle, the President's office meeting is held once a month, and it can only be held if more than 2/3 members attend the meeting. The deliberation topic must be approved by more than 2/3 members present at the meeting. According to the needs of the work, when the Council and the Standing Council are not in session, the following rights are granted to the president's office meeting: (1) to study and revise the internal management system and submit it to the Council or the Standing Council for discussion and adoption;

(2) to decide on the appointment or dismissal of deputy secretaries-general and heads of offices, branches, representative offices and entities nominated by the secretary-general;

(3) to put forward suggestions on fund raising, management and planning, annual work report and plan, final accounts and budget of annual funds, and submit them to the Council or the Standing Council for discussion and adoption;

(4) to study and determine other matters related to the development of the association.

article 26 the association shall establish a secretariat. The Secretariat is the working body of the Association to handle daily affairs, and the Secretary-General is responsible for it.

article 27 the association shall set up offices, branches, representative offices and entity institutions according to the development needs. Offices, branches, representative offices and entities (collectively referred to as institutions) are institutions that carry out work within the Association and do not have legal personality. The organization works according to the purpose, business scope and work plan of the association. Major issues of the organization need to be approved and implemented by the secretariat of the association and reported to the president's office meeting, accept the supervision and service of the secretariat of the association, and be responsible to the legal person.

Chapter V Qualifications and Authority of the Head of the Organization

Article 28 The president, vice-president and secretary-general of this Association must meet the following conditions:

(1) Adhere to the Party's line, principles and policies and have good political quality;

(2) It has great influence in the society or in the business field;

(3) The highest post-holding age is no more than 7 years old, and the secretary-general is full-time;

(4) Being in good health and able to work normally;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

article 29 if the president, vice-president and secretary-general are over the maximum working age, they must be approved by the board of directors, reported to the competent business unit for review and approved by the association registration authority before taking up their posts.

article 3 the term of office of the president, vice-president and secretary-general of this association is five years, and the term of office may not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than 2/3 members' representatives at the member congress, reported to the competent business unit for review and approved by the association registration authority before taking office.

article 31 the president of this association is the legal representative of this association, and the legal representative signs relevant important documents on behalf of this association. The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.

Article 32 The president of this Association shall exercise the following functions and powers:

(1) Convene and preside over the Council, the Standing Council and the president's office meeting;

(2) check the implementation of the resolutions of member congresses, councils, standing councils and presidents' office meetings.

Article 33 The Secretary-General of the Association shall exercise the following functions and powers:

(1) To implement the decisions of the President and the President's Office;

(2) to preside over the daily work of the office and organize the implementation of the annual work plan;

(3) coordinating the work of branches, representative offices and entities;

(4) proposing to appoint or dismiss the deputy secretary-general, heads of offices, branches, representative offices and entities shall be decided by the president's office meeting;

(5) to decide on the appointment of full-time staff;

(6) handle other daily affairs.

Chapter VI Principles of Asset Management and Use

Article 34 Sources of funds of this Association:

(1) Membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services within the approved business scope;

(5) interest;

(6) Other lawful income.

article 35 this association collects membership dues in accordance with relevant state regulations.

article 36 the funds of this association must be used for the development of business scope and undertakings stipulated in the articles of association, and shall not be distributed among members.

article 37 this association realizes the preservation and appreciation of assets in accordance with the principles of legality, safety and effectiveness.

article 38 this association shall establish a strict financial management system to ensure that the accounting information is legal, true, accurate and complete.

article 39 this association is equipped with accountants with professional qualifications. An accountant may not concurrently serve as a cashier. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the receiver.

article 4 the asset management of this association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and announce the relevant information to the public in an appropriate way.

article 41 before the association changes its term or changes its legal representative, it must accept the financial audit organized by the audit unit recognized by the registration authority of the association and the competent business unit.

article 42 no unit or individual may occupy, privately divide or misappropriate the assets of this association.

article 43 the wages, insurance and welfare benefits of the full-time staff of this association shall be implemented with reference to relevant state regulations.

chapter VII procedures for amending the articles of association

article 44 amendments to the articles of association of this association must be reviewed and approved by the Council and reported to the members' congress for deliberation.

article 45 the revised articles of association of this association shall be submitted to the competent business unit for examination within 15 days after it is adopted by the members' congress, and shall come into effect after it is approved by the association registration authority.

Chapter VIII Termination Procedure and Disposal of Property after Termination

Article 46 If this Association is dissolved by itself or needs to be cancelled due to separation, merger and other reasons

, the Council or the Standing Council shall propose a termination motion.

article 47 the motion to terminate this association must be voted by the members' congress and submitted to the competent business unit for examination and approval.

article 48 before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

article 49 this association shall be terminated after the cancellation of registration by the association registration authority.

Article 5 The surplus property after the termination of this Association shall be used for public welfare undertakings under the supervision of the association registration authority and the competent business unit, in accordance with the relevant provisions of the state, through the following ways:

(1) Continue to perform the signed contracts for funding projects for poor areas and poor people;

(2) If it cannot be handled in the above way, the registration authority of the association shall organize donations to social welfare organizations with the same nature and purpose as the association, and make an announcement to the public.

chapter IX supplementary provisions

article 51 the articles of association were voted by the fourth general meeting on December 1, 21.

article 52 the interpretation of these articles of association belongs to the Council of the association.
