Chapter I General Provisions

Article 1 The name of this Association is Hubei Charity Federation, and the English translation is Hubei Charity Federation (HBCF).

Article 2 This Association is a province-wide non-profit public welfare social organization voluntarily participated by China citizens, legal persons and other social organizations who are enthusiastic about charity. The association is registered according to law and has independent legal personality.

Article 3 Purpose of the Association: Abide by the Constitution, laws, regulations and national policies, abide by social ethics, carry forward humanitarianism, carry forward the traditional virtues of the Chinese nation, respect the elderly and love the young, help the poor, raise charitable funds, carry out social assistance such as helping the elderly, helping the young, helping students and helping the poor, help the disadvantaged groups and promote social fairness and progress.

Article 4 The Association accepts the professional guidance, supervision and management of the Hubei Provincial Civil Affairs Department, which is the registration authority of associations, and the professional guidance of china charity federation.

Article 5 The domicile of the Association is No.399 Xiongchu Street, Hongshan District, Wuhan City, Hubei Province.

Chapter II Scope of Business

Article 6 The business scope of this Association is:

(1) Raise donations. Raise and manage special funds and various charitable funds that meet the purpose of the association; Accept donations from natural persons, legal persons and other organizations; Accept donations from international and non-governmental organizations and individuals from Taiwan Province, Hongkong and Macao; Accept other donations entrusted by the Provincial Civil Affairs Department; Carry out other legal social fund-raising activities. (2) Poverty alleviation. Organize various social activities to help the disadvantaged groups; Participate in poverty alleviation work.

(3) Disaster relief. Assist the government to carry out disaster relief work, undertake disaster relief assistance projects, and receive and distribute money and materials donated by domestic and foreign associations.

(4) Charity assistance. Carry out various charitable relief activities such as helping the elderly, helping orphans, helping the disabled and helping students.

(5) public welfare assistance. Participate in and promote other social charities such as culture, education and health; Organize volunteer teams and carry out various forms of charitable activities.

(6) Exchanges and cooperation. Strengthen the contact and cooperation with domestic and foreign public welfare organizations, and closely communicate and cooperate with Taiwan, Hong Kong and Macao public welfare organizations to provide help and services to people, enterprises and various institutions that set up charity in our province.

Chapter III Members

Article 7 Associations are divided into unit members and individual members.

Article 8 A member applying to join this Association must meet the following requirements:

(a) support the articles of association;

(2) Having the will to join this Association;

(3) Willing to fulfill membership obligations;

(four) enthusiastic about charity, charity in our province has a certain contribution. Units and individuals that have made significant contributions to the Association may be awarded the title of honorary member.

Article 9 The procedures for joining the club are as follows:

(1) submitting an application for membership;

(two) discussed and approved by the Standing Council;

(3) Membership cards shall be issued by institutions authorized by the Standing Council.

Article 10 Members shall enjoy the following rights:

The right to vote, to be elected and to vote;

(two) to participate in the activities of this association;

(three) have the right to suggest, criticize and supervise the affairs of this association;

(four) to obtain the priority of our service;

(five) those who have made outstanding contributions have the right to commend and publicize;

(6) Freedom to join and quit voluntarily.

Article 11 Members shall perform the following obligations

(1) Abide by the articles of association of this Association and implement the resolutions of this Association;

(two) to safeguard the legitimate rights and interests of this association;

(three) to assist the association to raise funds and introduce charitable projects;

(four) to participate in relevant activities organized by the association and complete the work assigned by the association;

(five) to reflect the situation to this Council and provide relevant information;

(6) Pay membership dues according to regulations.

Article 12 When a member withdraws from the meeting, he shall notify the secretariat of the Association in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of the association for one year without justifiable reasons, it will be regarded as automatic withdrawal.

Thirteenth members who seriously violate the Articles of Association shall be removed with the approval of the Standing Council.

Chapter IV Organizational Structure

Article 14 The highest authority of this Association is the members' congress. The functions and powers of the members' congress are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors;

(three) to consider the work report and financial report of the Council;

(4) Deciding to terminate.

(5) adopting proposals and resolutions;

(six) to decide on other major issues.

Fifteenth members' congress can only be held when more than two-thirds of the members are present, and its resolution can only take effect when more than half of the members' representatives are present.

Article 16 The general meeting of members shall be held every four years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be decided by the Standing Council, reported to the competent business unit, and approved by the registration authority of the Association. The extension shall not exceed one year at the longest.

Article 17 The Council is the executive body of the general assembly, leading the Association to carry out its daily work when the general assembly is not in session, and being responsible for the general assembly.

Article 18 The functions and powers of the Council are:

(a) to prepare for the convening of the members' congress;

(two) to report the work and financial situation to the members' congress;

(three) to elect and recall the president, vice president and secretary general of the association; To elect and recall executive directors; Hire honorary presidents and consultants;

(four) the implementation of the articles of association and the resolutions of the members' congress;

(5) Deciding to establish an office and apply for the establishment of branches and entities;

(six) to decide on other major issues.

Article 19 The Council shall meet once a year; Under special circumstances, it can also be held in the form of communication.

Article 20 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall be valid only when more than two thirds of the directors are present.

Article 21 The Association shall establish a standing council. The number of executive directors shall not exceed one third of the number of directors. The Standing Council is elected by the Council, is responsible to the Council, and exercises the following functions and powers when the Council is not in session:

(1) Implementing the resolutions of the Council;

(two) to formulate the annual work plan and financial budget of the association;

(3) Deciding to absorb or recall members and awarding honorary directors and honorary presidents;

(four) to examine and approve the organization of this Association and formulate the working system of this Association;

(five) to prepare for the convening of the Council, put forward the revised draft articles of association and the plan for the production of leading members, and decide on the appointment of deputy secretaries-general and principal responsible persons of various institutions;

(six) to lead the work of the institutions of this Association;

(seven) in recognition of advanced members;

(eight) to decide on other major issues.

Article 22 The Standing Council shall hold a meeting every six months; Under special circumstances, it can also be held in the form of communication.

Article 23 The Standing Council shall be convened only when more than two thirds of the executive directors are present, and its resolutions shall take effect only when more than two thirds of the executive directors are present.

Article 24 When the Standing Council is not in session, important work shall be decided by the president's office meeting. The president's office meeting consists of the president, the vice president and the secretary general. The meeting shall be presided over by the president or the executive vice president entrusted by the president. The functions and powers of the Office of the President are:

(a) Implementing the resolutions of the Standing Council;

(two) to formulate the working system of this association and supervise the implementation of the annual work plan;

(three) to study and decide on major issues in daily work;

(four) to study other matters that need to be decided collectively.

Article 25 The president, vice-president and secretary-general must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the business field of the Association;

(three) with full capacity for civil conduct, good health, can adhere to normal work, the maximum working age is generally not more than 70 years old.

(4) Having not been subjected to criminal punishment of deprivation of political rights;

(5) The Secretary-General is full-time.

Article 26 If the president, vice-president and secretary-general are over the maximum age, they must be approved by the Council, reported to the competent business unit for review and approved by the registration authority of the association before taking up their posts.

Article 27 The term of office of the President, the Vice-President and the Secretary-General shall be five years, and no more than two consecutive terms may be served. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members' representatives at the members' congress, reported to the competent business unit for review, and approved by the registration and management authority of the association before taking office.

Article 28 The executive vice president of this Association is the legal representative of this Association. The legal representative of this Association shall not concurrently serve as the legal representative of other social organizations.

Article 29 The President shall exercise the following functions and powers:

(1) Convening and presiding over the office meetings of the Council, the Standing Council and the President;

(two) to check the implementation of the resolutions of the members' congress, the Council, the Standing Council and the president's office meeting;

(3) Signing relevant important documents on behalf of the Association and examining and approving major issues of the Association. The vice president shall assist the dean in his work, and the executive vice president may exercise the functions and powers of the dean upon the entrustment of the dean.

Article 30 The Secretary-General shall preside over the daily work under the leadership of the President and the Executive Vice-President, and exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(two) the organization of the Council, the Standing Council, the president's office meetings and major events;

(three) the deputy secretary general and the principal responsible persons of all offices, branches and units shall be submitted to the Standing Council for decision;

(four) to decide on the employment of full-time staff in the office;

(5) Handle other daily affairs.

Chapter V Asset Management

Thirty-first sources of funds of the Association:

(1) Membership dues and voluntary sponsorship paid by members;

(2) donations and sponsorship from all walks of life at home and abroad;

(3) Funding from the government and relevant departments;

(4) Income from activities or services provided within the approved business scope;

(5) Interest on the funds of the Association;

(6) Other lawful income.

Article 32 The administrative funds of this Association come from the value-added part of the founding fund, membership fees, special donations of administrative funds, government subsidies, interest on donations, income from the establishment of units, etc. According to the relevant regulations of the state, 5% of the donation will be used as project management funds.

Article 33 The funds of this Association shall be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 34 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.

Article 35 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the relevant handover procedures with the recipient.

Article 36 The asset management of this Association shall implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Article 37 Before an association changes its legal representative, it must accept the financial audit organized by the registration authority and the competent business unit of the association.

Article 38 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 39 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Fortieth amendments to the articles of association of this Association shall be studied and approved by the Standing Council and submitted to the members' congress for deliberation and approval.

Article 41 The revised articles of association of this Association shall come into effect within 15 days after being passed by the members' congress, reviewed and approved by the competent business unit and reported to the registration authority of this Association for approval.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 42 If the association needs to be cancelled due to the completion of its purpose, voluntary dissolution, division or merger, the board of directors shall propose a termination motion.

Article 43 The motion to terminate the association shall be voted by the members' congress and submitted to the Provincial Civil Affairs Department for examination and approval.

Forty-fourth before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 45 this association shall be terminated after the cancellation of registration by the association registration authority.

Forty-sixth after the termination of the property, under the supervision of the provincial civil affairs department, in accordance with the relevant provisions of the state, for the development of the purpose of this association.

Chapter VIII Supplementary Provisions

Article 47 The Articles of Association was adopted by the second general meeting of members on October 30th, 2002/KLOC-0.

Article 48 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 49 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
