Article 1 In order to mobilize the whole society to care for and support the protection of biodiversity (ecosystems, species and genetic genes) and build a beautiful home for mankind, the China Biodiversity Conservation Foundation is established. English name: China biodiversity conservation fund, abbreviated as CBCF.
Article 2 The Foundation is a non-governmental non-profit organization and an independent social group legal person. The foundation accepts donations from home and abroad and manages them.
Article 3 The task of this Foundation is to set up professional funds and award funds, and organize academic cooperation, exchange and training, so as to raise the public's awareness of loving nature and protecting biodiversity and promote the development of biodiversity protection. ? Chapter II Funds
Article 5 The registered capital of the Foundation is RMB100,000 yuan.
Article 6 The sources of funds of the Foundation are:
1. Donations and sponsorship from governments, associations, enterprises, trading companies and individuals at home and abroad;
Second, donations from international friendly people and groups;
Three. Interest charged on funds deposited in financial institutions;
4. Purchase bonds and company stocks.
Article 7 The funds of the Foundation are mainly used for:
First, it is directly used for biodiversity conservation activities related to the purpose and mission of the association;
Second, foreign cooperation and exchange and training;
3. Reward groups and individuals who have contributed to the protection of biodiversity.
Article 8 Fund management:
1. The Foundation implements independent accounting and democratic management;
2. The funds of the Foundation shall be used to finance activities and undertakings that conform to the articles of association, and shall not be used for other purposes;
3. The foundation should set up full-time financial personnel and establish an independent accountability, auditing and supervision system;
Four, the funds, materials and use of the foundation, accept the audit, inspection and supervision of the people's Bank of China, the Ministry of Civil Affairs and other competent departments.
Chapter III Organizational Structure
Article 9 The highest authority of a foundation is the board of directors, which is composed of the chairman, executive vice chairman, vice chairman, secretary general and directors, and the legal representative of the foundation is the executive vice chairman.
The foundation recommends honorary chairman, honorary vice chairman and honorary director.
Article 10 The honorary chairman, honorary vice-chairman, honorary directors and directors shall be elected by all parties concerned through consultation, and the chairman, executive vice-chairman and vice-chairman shall be elected by the directors. The term of office of the media is four years.
Article 11 The chairman shall elect a chairman, several executive vice-chairmen, several secretaries-general and several directors to form a long-term affairs council. The Standing Council shall exercise its functions and powers when the Council is not in session and be responsible to the Council.
Article 12 The Council shall set up an expert committee according to the actual work needs. The expert committee shall have a chairman, vice-chairmen and members, all of whom are directors.
Article 13 The Board of Directors shall have a Secretary-General and a Deputy Secretary-General, who shall be nominated by the Board of Directors and appointed and removed by the Board of Directors.
Article 14 Duties of the Council:
1. Formulate, revise and interpret the articles of association of the Foundation;
2. Elect the chairman, executive vice chairman and vice chairman;
3. Appointment and removal of the Secretary-General and the Deputy Secretary-General;
Four, listen to and consider the work report of the foundation;
Verb (abbreviation of verb) determines the working principles, tasks and plans of the foundation;
6. Decide on other important matters of the Foundation.
Article 15 The honorary chairman understands the work of the Foundation. The chairman, executive vice-chairman and vice-chairman preside over the work of the Foundation, and the secretary-general and deputy secretary-general are responsible for daily affairs.
Article 16 The Foundation shall set up a secretariat and other functional institutions to handle the daily work of the Foundation under the auspices of the Secretary-General and the Deputy Secretary-General.
Chapter IV Supplementary Provisions
Article 17 The Foundation can only terminate its activities after discussion and approval by more than three-quarters of the directors of the Foundation's board of directors and approval by the competent department. The cancellation procedures shall be handled by the Ministry of Civil Affairs.
Article 18 The formulation and revision of the Articles of Association shall come into effect after discussion and adoption by the board of directors, approval by the People's Bank of China and registration by the civil affairs department.
Article 19 The right to interpret these Articles of Association belongs to the Foundation Council.
