Trial Measures for Fund Management of China Guang Cai Foundation

Chapter I General Principles

Article 1 In order to develop social public welfare undertakings, strengthen fund management and safeguard the legitimate rights and interests of donors, beneficiaries and the Association in accordance with the purpose of the Association and the wishes of donors, these Measures are formulated in accordance with the Law of People's Republic of China (PRC) on Donation of Public Welfare Undertakings, the Regulations on the Administration of the State Council Foundation and relevant national laws and regulations on finance and accounting.

Article 2 The term "fund" as mentioned in these Measures refers to all tangible assets (including monetary funds, marketable securities, real estate, equipment and other physical properties) and intangible properties (including patents, trademarks, copyrights and other properties with legal effect and development value) donated by this Association according to law, as well as the value-added income of the above properties.

Article 3 The main tasks of fund management are: raising funds, managing and using donated property, fund value-added operation and financial work, and accepting social supervision. Fund management is organized and implemented by the Fund Management Department of this Association.

Chapter II Sources of Funds

Article 4 The sources of funds of this Association mainly include:

Donations from social groups, enterprises, organizations and individuals at home and abroad;

Free assistance from international organizations and foreign governments;

Financial support from the state and relevant departments;

Other lawful income.

Chapter III Fund Raising

Article 5 In accordance with the purposes and tasks stipulated in the articles of association of this Association, carry out social fund-raising activities, make plans, put forward projects, and vigorously publicize them in order to achieve practical results.

Article 6 Fund-raising activities shall follow the principle of voluntary donation by donors, and shall not apportion, damage social morality or affect the public's enthusiasm for participating in public welfare undertakings.

Article 7 An association may, if necessary, set up a fund-raising organization with the participation of enthusiastic people in society, or cooperate with relevant parties to carry out fund-raising activities. All organizations that jointly raise funds with this Association must obtain prior consent and strictly follow the procedures. Units and individuals who use the name of the association to carry out fund-raising activities without consent shall be investigated for legal responsibility according to law.

Article 8 When accepting donations, the Association shall go through the donation procedures with the donors according to law, including signing donation agreements and issuing financial receipts. The donor shall fulfill the donation agreement according to law and hand over the donated property to the association as agreed.

Article 9 The Association will give thanks and recognition to the donations in support of public welfare undertakings by issuing honorary certificates, conferring honorary titles, media publicity, leaving names to commemorate and other forms. Institutions and individuals that have made outstanding contributions to promoting fund-raising activities shall be given corresponding honorary treatment and appropriate rewards.

Chapter IV Special Funds

Article 10 In order to expand accumulation and effectively develop public welfare undertakings for a long time, the association may set up a special fund named after the donor for fund management.

Eleventh the establishment of special funds must meet the following conditions:

The direction or direct use of special funds should conform to the purpose of the association.

The donation amount of the agreement should be more than 5 million yuan (non-goods equivalent), and the first donation fund must be in place after the agreement is signed.

For special funds with special agreements, the principal system management shall be implemented, and the value-added part shall be used to fund related undertakings. Other special funds shall be managed in a non-principal way and funded according to the agreed targeted use.

The management of special funds shall comply with the provisions of the articles of association and the requirements of these measures, and the financial accounting work shall be the responsibility of the association.

Twelfth, according to the needs, can be set up by the donor, the recipient and the parties concerned, responsible for related matters. The special fund is an integral part of the Association's fund, and its name can reflect the wishes of the donor, but it should be standardized and agreed by both the donor and the recipient.

Chapter V Utilization of Funds

Article 13 On the basis of fully respecting the wishes of the donors, the Association will use the donated property to fund activities and undertakings that meet its purpose as agreed by both parties. The use of donated property shall be promptly fed back to the donor, and inquiries shall be accepted at any time and truthfully answered.

Fourteenth of the donated property use, should follow-up investigation, timely evaluation opinions. This association has the responsibility and obligation to check and urge the donee to seriously implement the relevant requirements, and realize the will of the donor and the efficiency of the use of property.

Fifteenth according to the needs, the use of donated property, should sign a funding agreement with the donee. If the donee violates the agreement, the association has the right to reduce, stop or recover the funded property, and protect the interests of the donor and the reputation of the association according to law.

Article 16 The funds used to finance public welfare undertakings every year shall not be less than the proportion stipulated by the state.

Chapter VI Financial Management

Article 17 The Association shall set up accounting institutions to be responsible for the financial accounting of fund management, and formulate financial management systems and accounting methods according to the relevant national accounting systems.

Article 18 According to the source and purpose, the funds of this Association are divided into two parts: special funds and management organization funds. Special funds refer to donation income and value-added income with directional purposes, while public funds refer to donation income and value-added income without directional purposes.

Nineteenth special funds in accordance with the provisions of the donation agreement targeted use of funding; In principle, the operating expenses shall be allocated by the association according to its purpose.

Twentieth donated materials should be converted into accounts, and a warehouse management system should be established. Deliver it to the recipient in time according to the agreed requirements. Those used in the work of this Association shall go through relevant procedures and be included in the management of fixed assets. If the donated materials are not suitable for funding, they can be legally sold and the income will be included in the fund management.

Chapter VII Fund Operation

Twenty-first strictly abide by the relevant provisions of the state, and actively realize the preservation and appreciation of donated property in accordance with the principles of legality, safety and effectiveness.

Twenty-second in order to strengthen the operation and management of the fund, invite relevant experts or professional institutions to guide and help the association to carry out related business.

Twenty-third matters involving the operation of the fund, we must carry out feasibility studies, listen to the opinions of all parties, and make scientific decisions. The implementation of the business plan must be discussed collectively and approved according to the prescribed procedures.

Chapter VIII Audit Supervision

Twenty-fourth in accordance with the provisions of the state, should be submitted to the relevant competent departments of the fund financial work report and accounting statements, and take the initiative to accept the audit supervision of the relevant competent departments.

Twenty-fifth special funds revenue and expenditure and project implementation results shall promptly notify the donors.

Chapter IX Supplementary Provisions

Article 26 The right to interpret and amend these Measures belongs to the Council of this Association.

Twenty-seventh these Measures shall be implemented as of the date of adoption by the Council meeting.
