Article 1 Shaanxi Charity Federation (SAXcF for short) is a province-wide non-profit public welfare civil society organization voluntarily participated by China citizens, legal persons and other social organizations who are enthusiastic about charity. Registered in accordance with the law, with independent legal personality.
Article 2 This Association shall abide by the Constitution, laws, regulations and national policies, advocate good social ethics, carry forward the humanitarian spirit, carry forward the traditional virtues of the Chinese nation in helping the poor, carry out various forms of charitable relief activities, help unfortunate individuals and needy groups in society, build a harmonious socialist society, and promote social fairness, civilization, progress and harmonious development.
Article 3 The competent business unit of this Association is the Shaanxi Provincial Civil Affairs Department, which accepts its business guidance, supervision and management, and at the same time accepts the business guidance of china charity federation.
Article 4 The meeting place of this Association is located in Xincheng Courtyard, Xi City, Shaanxi Province.
Chapter II Scope of Business
Article 5 The business scope of this Association
(1) Raise donations. To raise and manage special funds and all kinds of funds in line with the purpose of the association; Accept donations from natural persons, legal persons and other social organizations and institutions; Obtain special financial subsidies from the province; Accept donations from international, Hong Kong, Macao and Taiwan non-governmental organizations, charities and individuals; Organize various forms of fund-raising activities.
(2) Disaster relief. Assist the government in disaster relief work; Undertake related projects, receive and distribute disaster relief funds donated by the Association at home and abroad.
(3) Help people in need. Organize various social assistance activities to help the socially disadvantaged groups and participate in poverty alleviation work.
(4) Charity assistance. Carry out various charitable relief activities such as helping the elderly, orphans, the disabled, students and doctors.
(5) public welfare assistance. Participate in and promote social welfare undertakings such as culture, education, health and environmental protection, organize volunteer teams who are enthusiastic about charity, and carry out various forms of charity activities.
(6) Exchanges and cooperation. Participate in and organize charitable exchange activities, strengthen contact and cooperation with overseas countries and regions and international charitable organizations, provide consulting services for people from all walks of life, overseas people and institutions who set up charitable undertakings in Shaanxi, and help plan and implement charitable relief projects in Shaanxi.
(seven) to carry out charity propaganda and popularize charity culture. Strengthen the research on charity theory and practical experience, and explore the development path of charity with China characteristics and Shaanxi characteristics.
(eight) to strengthen ties with charitable organizations in the province, to provide professional guidance for the work of local charitable organizations as members of the association, and to promote the development of local charities.
Chapter III Members
Article 6 Members of this Association are divided into individual members, unit members, permanent members and invited members.
(1) Anyone who is enthusiastic about charity, actively participates in the activities of the Association, recognizes the articles of association of the Association and is willing to fulfill the obligations of membership may become an individual member of the Association upon his own application and approval by the Standing Council of the Association.
(2) All enterprises, institutions and social organizations that are enthusiastic about charity can become members of the association if they recognize the articles of association, are willing to fulfill their membership obligations, submit a written application and get approval from the Standing Council of the association. The representatives of the members of the unit shall be the legal person of the unit or the relevant person in charge entrusted by the legal person. If the legal person changes, the representative of the member of the unit will be changed to a new legal person or its new client, and the times will be reported to the provincial charity for the record.
(3) Those who have obtained the status of promoters or founding members during the founding period of this Association are permanent members of this Association.
(4) Upon the decision of the Standing Council, the Association may invite people from all over the country, Hong Kong, Macao and Taiwan to join the Association voluntarily as invited members.
Article 7 Membership procedures
(1) submitting an application for membership;
(two) discussed and approved by the Standing Council of this Association;
(3) The membership card shall be issued by the Association.
Article 8 Members shall enjoy the following rights:
The right to vote, to be elected and to vote;
(two) to participate in the activities of this association;
(three) to criticize, suggest and supervise the work of this association;
(four) to obtain the necessary association services;
(five) those who have made outstanding contributions can enjoy recognition;
(6) Freedom to join and quit voluntarily.
Article 9 Members shall perform the following obligations:
(1) Abide by the articles of association of this Association and implement the resolutions of this Association;
(two) to safeguard the legitimate rights and interests of this association;
(three) to participate in relevant activities organized by the association and complete the work assigned by the association;
(four) to pay membership fees in accordance with the provisions;
(5) Report the situation to this Council and provide relevant information.
Article 10 When a member withdraws from the club, he shall notify the club in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of the association for one year without justifiable reasons, it will be regarded as automatic withdrawal; Members who seriously violate the articles of association shall be removed with the approval of the Standing Council of the Association.
Chapter IV Organizational Structure
Article 11 The highest authority of this Association is the members' congress. The functions and powers of the members' congress are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors;
(three) to consider the work report and financial report of the Council;
(4) adopting proposals and resolutions;
(five) decided to terminate the association and other major issues. 、
Article 12 Members' congresses are held every five years. If it is necessary to advance or postpone due to special circumstances, it must be studied and decided by the Standing Council of the Association, reported to the competent business unit for approval, and approved by the registration authority of the Association; The extension shall not exceed one year at the longest. Members' congresses can only be held when more than two thirds of the members' representatives are present, and their resolutions can only take effect when more than half of the members' representatives are present.
Article 13 The Council is the executive body of the general meeting of members and leads the work of the Council when the general meeting is not in session. The functions and powers of the Council are:
(a) to prepare for the convening of the members' congress;
(two) to report the work and financial situation to the members' congress;
(3) Electing and dismissing executive directors; To elect and recall principals and vice principals; Hire an honorary president; Awarded the title of honorary vice president;
(four) to implement the resolutions of the members' congress;
(five) to decide on the establishment of offices, branches and entities of the Association;
(six) to decide on other major issues.
Article 14 The board meeting shall be held once a year. Under special circumstances, it can also be held by means of communication. The meeting of the board of directors can only be held when more than two thirds of the directors are present, and its resolution can only take effect when it is approved by more than two thirds of the directors present.
Article 15 The Association shall establish a standing council. The Standing Council is elected by the Council or directly elected by the members' congress. The number of executive directors shall not exceed one third of the number of directors. The Standing Council shall be responsible to the Council and exercise the following functions and powers when the Council is not in session:
(1) Implementing the resolutions of the Council;
(two) to formulate the annual work plan and financial budget of the association;
(three) to consider the motions and reports of this Council;
(4) Proposing the selection scheme of directors, executive directors, vice presidents and presidents, and proposing the appointment scheme of honorary presidents, and submitting them to the Council for deliberation and adoption;
(5) Deciding to award honorary executive directors and honorary directors;
(six) to decide to absorb or recall members;
(seven) put forward the establishment plan of the offices, branches and entities of the Association and submit it to the Council for decision;
(8) Preparing for the convening of the board meeting;
(9) Deciding on other major matters.
Article 16 The meeting of executive directors shall be held once every six months. Under special circumstances, it can be held by communication. The executive directors' meeting can only be held when more than two thirds of the executive directors are present, and its resolution can only take effect if it is approved by more than two thirds of the executive directors present at the meeting.
Seventeenth when the Standing Council is not in session, the important work shall be decided by the president's office meeting. The functions and powers of the Office of the President are:
(a) Implementing the resolutions of the Standing Council;
(two) to formulate the working system of this association and organize the implementation of the annual work plan;
(three) to decide the appointment, removal and employment of the office staff of the Association;
(four) to study the matters that need to be decided collectively in the daily work of the Association.
Article 18 The president's office meeting is composed of the president, the vice-president and the heads of various departments of the Association, and the president's responsibility system is implemented. The president's office meeting shall be presided over by the president or the executive vice president entrusted by the president.
Article 19 A president and vice president must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(2) Having made great contributions and influences in the business field of the Association;
(3) Being healthy and able to work normally.
Article 20 The post-holding age of the president and vice-president is generally no more than 70 years old. If the post-holding age exceeds this limit, it must be approved by the members' congress and reported to the competent business unit and the registration authority of the association for approval.
Article 21 The president is the legal representative of the Association and exercises the following functions and powers:
(a) to convene and preside over the directors' meeting, the executive director's meeting and the president's office meeting.
(two) to supervise and inspect the implementation of the resolutions of the members' congresses, directors' meetings, executive directors' meetings and presidents' office meetings;
(3) Signing relevant important documents on behalf of the Association and examining and approving major issues of the Association. The vice president assists the president in his work. The executive vice president is entrusted by the president to exercise the prescribed functions and powers.
Article 22 The Association shall have an honorary president, an honorary vice president, an honorary executive director and a number of honorary directors.
Chapter V Principles of Asset Management and Use
Article 23 Sources of funds of the Association
(1) membership fees;
(2) donations from all walks of life at home and abroad;
(3) Funding from the government and relevant departments;
(4) Income from charitable performances, sales and other activities or services within the approved scope;
(5) Interest on deposits of the Association;
(6) Other lawful income.
Article 24 In order to ensure a stable source of funds for the Association, the "Shaanxi Charity Association Founding Fund" originally established by the Association was renamed as "Shaanxi Charity Association Permanent Fund", with unchanged capital and only interest.
Article 25 Scope of use of funds
(a) To establish and fund various charities;
(two) to carry out social assistance to help poor groups, families and individuals;
(3) Operating expenses of charitable activities;
(four) other expenses in accordance with the provisions of the articles of association.
Article 26 Ways of using funds
(a) the use of permanent funds or social donations, arrange charitable relief projects, to carry out social assistance;
(two) in accordance with the wishes of donors, with their own donations, targeted implementation of charitable relief projects;
(3) If the donation amount exceeds 6,543,800 yuan, a named fund can be set up according to the wishes of the donor, and the value-added part of the fund can be used to implement charitable projects.
Article 27 The working funds of this Association come from the value-added part of the permanent fund, membership fees, special donations, government subsidies, interest on donations and the income of established units. According to the relevant provisions of the state, a certain proportion can be extracted from the donated funds as the project operation funds.
Article 28 No unit or individual may occupy, privately divide or misappropriate the assets of the Association.
Article 29 The asset management of this Association shall implement the financial management system stipulated by the state, accept the supervision of the members' congress, the Council and the audit department, and publicize relevant information to the society in an appropriate way.
Thirtieth Association shall establish a strict financial management system to ensure that accounting information is legal, true, accurate and complete.
Our association is equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When accounting personnel transfer their jobs or leave their posts, they must go through the handover procedures in time.
Article 31 Before changing its legal representative, an association shall accept the financial audit organized by the registration administration organ and the competent business unit of the association.
Article 32 The wages, insurance and welfare benefits of the full-time staff recruited by this Association shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Supplementary Provisions
Article 33 The Articles of Association was reviewed and approved by the third member congress of Shaanxi Charity Association.
Article 34 The Articles of Association shall be implemented after being examined and approved by the competent business unit and the organization registration authority.
Article 35 The Council of this Association shall be responsible for the interpretation of these Articles of Association.
