Article 2 (Definition)
The social organizations mentioned in these Provisions refer to various associations, societies, research institutes, foundations, federations, fraternity, promotion associations, chambers of commerce and other organizations established by China citizens or legal persons in China within the administrative area of this Municipality according to law and approved and registered by the civil affairs department of this Municipality. Article 3 (Scope of Application)
All units and individuals shall abide by these Provisions when they form social organizations and conduct related activities within the administrative area of this Municipality. Except as otherwise provided by laws and administrative regulations. Article 4 (Competent Department)
The Shanghai Municipal Civil Affairs Bureau (hereinafter referred to as the Civil Affairs Bureau) is in charge of the administration of social organizations in this Municipality. The district and county civil affairs bureaus are specifically responsible for the management of social organizations in their respective regions.
the activities of social organizations shall be led or guided by the relevant competent departments at the same time. Article 5 (Management Principles)
Social organizations must abide by the provisions of laws, regulations and rules, and may not harm the interests of the state, society and collectives or the legitimate rights and interests of other citizens.
social organizations are not allowed to engage in profit-making business activities.
no organization or individual may infringe upon the legitimate rights and interests of social groups. Chapter ii registration administration article 6 (registration of establishment)
the establishment of a city-wide social organization or a social organization across districts and counties shall be subject to the examination and approval of the relevant municipal competent business departments and apply to the civil affairs bureau for registration.
to establish a district or county-level social organization, it shall apply to the district or county civil affairs bureau where it is located for registration after being examined and approved by the relevant district or county-level competent departments.
the establishment of foundations shall be carried out in accordance with the measures for the administration of foundations and the relevant provisions of the state financial authorities. Article 7 (Application and Reply)
To apply for the establishment of a social organization, the following materials shall be submitted to the civil affairs department:
(1) An application for registration signed by the sponsor;
(2) review documents of relevant business departments;
(3) articles of association;
(4) the address or contact address of the office;
(5) Names, ages, addresses, occupations and resumes of the responsible person and major members;
(6) Number of members.
the articles of association shall specify the name, purpose, source of funds, organization, procedures for the creation and terms of reference of the person in charge, procedures for amending the articles of association, procedures for terminating social organizations and other necessary matters.
the materials submitted to the civil affairs department shall not conceal the real situation or resort to deceit.
the civil affairs department shall make a decision on approval or disapproval of registration within 3 days after accepting the application, and give a written reply to the applicant. Article 8 (Certificate of Social Organizations)
If a social organization that has been approved and registered meets the requirements of a legal person, it shall be issued to legal person registration certificate, a social organization, and shall be announced in newspapers and periodicals by the civil affairs department; For those who do not have the qualifications of a legal person, a social organization registration certificate will be issued.
the registration certificate of social organizations shall not be altered, lent or transferred.
if the registration certificate of a social organization is lost, it shall be declared invalid in the newspaper and applied to the civil affairs department for a replacement. Article 9 (Reconsideration of Not Registering)
If an applicant refuses to accept the decision of the district or county civil affairs department not to register, he may apply to the Civil Affairs Bureau for reconsideration within ten days from the date of receiving the written decision. The Civil Affairs Bureau shall make a written reconsideration decision within 3 days from the date of receiving the application for reconsideration and report it to the Shanghai Municipal People's Government for the record.
if the applicant refuses to accept the decision of the civil affairs bureau not to register, he may apply to the Ministry of civil affairs for reconsideration within ten days from the date of receiving the written decision. Article 1 (Registration of Change)
If a social organization changes its name, legal representative or person in charge, address or contact address of an office, it shall be examined and approved by the competent business department, and shall go through the registration of change with the civil affairs department that originally accepted the registration within 1 days from the date of change. Article 11 (Cancellation of Registration)
In any of the following circumstances, a social organization shall apply to the civil affairs department that originally accepted the registration for cancellation of registration:
(1) It is dissolved by itself according to the termination procedures stipulated in the articles of association;
(2) completing the tasks specified in the articles of association;
(3) changing its purpose;
(4) due to the change of administrative jurisdiction, it is inconsistent with the jurisdiction of the civil affairs department that originally accepted the registration;
(5) separation or merger;
(6) changing from an unincorporated social organization to a corporate social organization, or changing from a corporate social organization to an unincorporated social organization;
(7) failing to carry out activities as stipulated in the articles of association within one year.
to cancel the registration, an application for cancellation of registration signed by its legal representative or person in charge, the examination documents of the relevant competent departments and the certificate of debt settlement must be submitted, which will be cancelled after being approved by the civil affairs department that originally accepted the registration and announced in newspapers and periodicals. Article 12 (Fees)
Social organizations should pay registration management fees and announcement fees according to relevant regulations. Chapter iii daily management article 13 (principles of activities)
social organizations must produce leading bodies, control legitimate income and carry out business activities in accordance with the approved and registered articles of association.
if a social organization amends its articles of association, it must be reported to the civil affairs department that originally accepted the registration for approval.
