As a social organization and institutional form, foundation is very different from government and enterprises. They are different from ordinary non-profit organizations, and they are public welfare, non-profit, folk and trust. This is the most basic feature of the foundation.
Non-profit is embodied in the operation and management of the foundation and its corresponding system norms, which are embodied in three aspects:
First, there is a non-profit distribution and income restraint mechanism, which requires the donors and actual trustees of the foundation not to benefit from the property of the foundation and its operation;
Second, there is a non-profit organization operation and management mechanism, which requires the foundation to have a self-control mechanism to effectively avoid higher risks and obtain higher returns;
Third, there is a non-profit property preservation mechanism, which requires the foundation not to change the property and property rights structure by other means than donation.
What is the organization of the foundation?
(1) The board of directors is the decision-making body of the Foundation, with 5 to 25 directors;
(2) For a non-public offering foundation established with private property, the total number of directors of the foundation closely related to each other shall not exceed one third of the total number of directors; Other foundations and persons with close relatives may not serve on the board of directors at the same time;
(3) The Foundation shall have supervisors, whose term of office shall be the same as that of directors, and directors, their close relatives and accountants shall not concurrently serve as supervisors.
