Chapter I General Principles
Article 1 The name of the Association is GDCF: GUANGDONG CHARITY FEDERATION (English name: Guangdong Charity Federation).
Article 2 The nature of this Association: it is composed of organizations and individuals from all walks of life who are enthusiastic about charity, and it is a provincial non-profit public welfare social group with legal personality, which initiates and accepts domestic and foreign organizations and individuals to donate or subsidize property to charity voluntarily, and manages and uses it.
Article 3 The purpose of this association: people-oriented, charity first, helping the poor, helping the orphans and the disabled, fighting the epidemic, helping students to promote education and social welfare; Abide by the national constitution, laws, regulations and policies, abide by social morality, and serve the development of charity.
Article 4 This Association accepts the business guidance, supervision and management of Guangdong Provincial Civil Affairs Department and Guangdong Provincial Administration of Non-governmental Organizations.

Chapter II Scope of Business
Article 6 The business scope of this Association is as follows:
(1) Raising charitable funds and materials;
(2) Organizing various charitable activities;
(three) to assist the government and the people to develop various charitable undertakings;
(four) the establishment of various charitable service institutions;
(five) to carry out charitable exchange activities at home and abroad and in Hong Kong, Macao and Taiwan; Carry out charitable projects according to the wishes of donors.
Chapter III Members
Seventh enterprises, institutions, private enterprises, social organizations and local charities that are enthusiastic about charity and have made significant contributions to charity in this province may apply to become members of this Association.
Article 8 People from all walks of life who are enthusiastic about charity and recognize the articles of association may apply for individual membership.
Article 9 Organizations and individuals who have made significant contributions or donated RMB 200,000 or more and foreign currency RMB 50,000 or more to the Founding Fund of the Association during its establishment are regarded as founding members and individual members of the Guangdong Charity Federation respectively, and enjoy the treatment of permanent members.
Article 10 The membership procedure is:
(1) submitting an application for membership;
(2) discussed and approved by the Council;
(3) issue membership cards.
Article 11 Members shall enjoy the following rights:
The right to vote, to be elected and to vote;
(two) to participate in the activities of this association;
(three) to obtain the priority of our services;
(four) have the right to criticize, suggest and supervise the work of this association;
(5) Freedom to join and quit voluntarily.
Article 12 Members shall perform the following obligations:
(1) Abide by the articles of association of this Association and implement the resolutions of this Association;
(two) to safeguard the legitimate rights and interests of the association;
(three) to complete the work assigned by the association;
(4) Paying membership dues on schedule;
(5) Report the situation to this Council and provide relevant information.
Thirteenth members who violate laws and regulations or violate the articles of association and fail to fulfill their obligations as members shall be removed by the Council or the Standing Council.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 14 The highest authority of this Association is the members' congress. The functions and powers of the members' congress are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors;
(three) to consider the work report and financial report of the Council;
(4) Deciding to terminate.
(5) Deciding on other major matters.
Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives are present to vote.
Article 16 The term of office of the general meeting is five years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the Guangdong Provincial Administration of Non-governmental Organizations for review and approved by the Provincial Civil Affairs Department. However, the term of office shall not be extended for more than one year.
Article 17 The Council is the executive body of the general meeting of members, leading the association to carry out its daily work during the intersessional period and being responsible for the general meeting of members.
Article 18 The functions and powers of the Council are:
(a) to implement the resolutions of the members' congress;
(two) to elect and recall the president, vice president and secretary general;
(three) to prepare for the convening of the members' congress;
(four) to report the work and financial situation to the members' congress;
(five) to decide to absorb or recall members;
(6) Deciding to establish offices, branches, representative offices and entities;
(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;
(eight) to lead the work of the institutions of this Association;
(nine) to formulate internal management system;
(10) To decide on other major matters.
Article 19 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.
Article 20 The Council shall meet at least once a year; Under special circumstances, an exchange meeting can also be held.
Article 21 The Standing Council shall be elected by the board of directors, and its number shall not exceed one third of the board of directors. The Standing Council is composed of the President, the Vice President, the Secretary-General and the Executive Director. When the Board of Directors is not in session, it shall exercise the functions and powers of Item 1, 3, 5, 6, 7, 8 and 9 of Article 18 and be responsible to the Board of Directors.
Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Article 23 The Standing Council shall meet at least once every six months; Special circumstances can also be held by means of communication.
Article 24 The Association shall have a Board of Supervisors, which shall be elected by the members' congresses, and the number shall not exceed one third of the number of the Standing Council, and it shall be an odd number. Directors, executive directors, responsible persons above the Secretary-General and financial officers shall not concurrently serve as supervisors. The term of office of the board of supervisors corresponds to the term of office of the members' congress.
Article 25 The Board of Supervisors shall exercise the following functions and powers:
(a) to check the financial affairs of the association;
(two) to supervise the acts of the executive director and the person in charge of the Secretary-General or above who violate laws, regulations or the articles of association when performing their duties; When its behavior harms the interests of the association, it is required to correct it;
(3) proposing to convene an interim member congress;
(4) Other functions and powers as stipulated in the articles of association;
Supervisors attend the board of directors and the Standing Committee as nonvoting delegates.
Article 26 The Association shall have several honorary presidents, honorary vice presidents and honorary directors, and the appointment system shall be implemented. The term of office is five years, and the members' congress is convened in advance or postponed, and the term of office is changed accordingly, and they can be re-elected.
The main leaders of units that donate 500,000 yuan or more in foreign currency and individuals that donate 654.38+10,000 yuan or more in foreign currency are employed as permanent honorary directors of the Association; The main leaders of units with foreign currency donations of 6,543,800 yuan and above and individuals with foreign currency donations of 500,000 yuan and above were hired as permanent honorary vice presidents of the Association; The main leaders of the units that donated RMB 5 million yuan or more and individuals who donated RMB 6,543,800 yuan or more in foreign currency were hired as the permanent honorary president of the Association. We also employ people who have great influence in the business field as honorary president, honorary vice president and honorary director respectively.
Article 27 The president, vice-president and secretary-general of this Association must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(2) It has great influence in the business field of the Association;
(three) the president and vice president, and the maximum working age is not more than 65 years old; The Secretary-General shall not be over 60 years old;
(4) Being in good health and able to stick to normal work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct.
The qualifications of the supervisors of this Association shall refer to the above provisions except for item (2).
Article 28 The president, vice-president and secretary-general of the Association shall be approved by the Council, reviewed by the Guangdong Provincial Administration of Non-governmental Organizations and approved by the Civil Affairs Department before taking up their posts.
Article 29 The term of office of the president, vice-president and secretary-general of the Association shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it shall be approved by more than two-thirds of the representatives of the members of the general assembly, reported to the Guangdong Provincial Administration of Non-governmental Organizations for review, and approved by the Provincial Civil Affairs Department before taking office.
Article 30 The president of this Association shall be the legal representative of this Association, and the legal representative of this Association shall not concurrently serve as the legal representative of other organizations.
Article 31 The President of this Association shall exercise the following functions and powers:
(a) to convene and preside over the Standing Council and the Council;
(two) to check the resolutions of the members' congress, the Council and the Standing Council.

Article 32 The Association shall have an executive body as the secretariat, and the secretariat may have several departments. The Secretary-General presides over the work and exercises the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Nominating the Deputy Secretary-General and the principal responsible persons of various institutions and submitting them to the Council or the Standing Council for decision;
(three) to decide on the employment of full-time staff in the office;
(4) Signing relevant documents on behalf of the Association;
(5) Handle other daily affairs.
Chapter V Principles of Fund Management and Use
Article 33 The Association shall set up the "Founding Fund" of Guangdong Charity Federation, which is a permanent fund, with only interest and no capital, so as to ensure the long-term existence and development of the Association. Special circumstances need to use the "founding fund", which needs to be decided by the Standing Council.
Article 34 Sources of funds
(a) donations from organizations and people at home and abroad and from Hong Kong, Macao and Taiwan;
(2) Funding from government departments;
(3) Revenue from charity;
(4) unit membership fee;
(5) interest;
(6) Other lawful income.
Article 35 Use of funds
(1) All kinds of charitable activities and institutions that conform to the purpose of this Association; Used for social assistance.
(two) office expenses and full-time staff wages, insurance, welfare, etc.
(three) other expenses in line with the purpose of the association.
Article 36 Fund management
(1) Formulate the Measures for the Management of Funds of Guangdong Charity Federation, establish a strict fund raising, management and use system, and implement democratic management.
(two) the establishment of a special account for charitable funds, establish and improve the financial management system;
(three) regularly announce the use of funds to the public and accept the supervision of relevant departments and society.
Chapter VI Procedures for Amending the Articles of Association
Article 37 Any amendment to the articles of association of this Association shall be approved by the Council and submitted to the members' congress for deliberation.
Article 38 The revised articles of association of the Association shall be submitted to the Guangdong Provincial Administration of Non-governmental Organizations for examination and approval within 15 days after being adopted by the members' congress, and shall take effect after being approved by the Provincial Civil Affairs Department.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 39 If the Association completes its purpose, dissolves or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a termination motion.
Fortieth the motion to terminate the association shall be voted by the members' congress and submitted to the Provincial Civil Affairs Department for examination and approval.
Forty-first before the termination of this association, a liquidation organization shall be established under the guidance of the Provincial Civil Affairs Department and relevant departments to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 42 The Association shall be terminated after the cancellation of registration by the Guangdong Provincial Civil Affairs Department.
Article 43 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the Provincial Civil Affairs Department and the Guangdong Provincial Administration of Non-governmental Organizations in accordance with relevant state regulations.
Chapter VIII Supplementary Provisions
Article 44 The Articles of Association was adopted at the first general meeting on July 6, 2004.
Article 45 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 46 The Articles of Association shall come into force as of the date of approval by the Civil Affairs Department of Guangdong Province.
