6. Protect the fishery environment, rationally utilize fishery resources, and work hard. Reduce the pressure on the breeding environment. Frequently teach scientific breeding techniques to members so that they can fully master ecological, scientific and efficient breeding methods.

7. Assist the government to strengthen industry management, standardize industry practices, and provide benefits to enterprises and enterprises. Chapter 3 Members

Article 7: The members of this association are composed of corporate members and individual members.

Article 8: Members who apply to join the association must meet the following conditions:

(2) Have the intention to join the association;

(3) Business related;

(4) Accept the association management.

Article 9 The procedures for membership are:

(1) Application procedures:

1. Unit membership: The applicant should fill in the "Suzhou Yangcheng Lake" as required Hairy Crab Industry Association Membership Application Form", stamped with the official seal of the unit, and together with a copy of the unit's business license, a copy of the trademark registration certificate or trademark power of attorney, the person in charge of the unit, contact person and other relevant information should be submitted to the Association Secretariat.

2. Individual membership: Applicants fill out the "Suzhou Yangcheng Lake Hairy Crab Industry Association Membership Application Form" as required.

(2) Approval procedures:

1. The applicant shall submit the application form and relevant information to the Secretariat of Suzhou Yangcheng Lake Hairy Crab Industry Association.

2. After receiving the "Membership Application Form" and relevant information, the Association Secretariat will promptly provide preliminary review opinions and determine whether to join the Association after discussion at the Association's Executive Council meeting.

Article 10 Members enjoy the following rights:

(2) Participate in the activities of the Association ;

( 5) Membership is voluntary and withdrawal is free.

Article 11 Members shall perform the following obligations:

(2) Maintain the association’s legitimate rights and interests and reputation;< /p>

(3) Complete the work assigned by the Association and actively participate in various activities of the Association;

(4) Pay membership fees as required;

(5) Report the situation and provide relevant information to the association;

(6) Actively publicize the association’s purpose and mission;

(7) Members should strengthen industry self-discipline and engage in production and business activities honestly.

Article 12: Members who wish to withdraw from membership shall notify the Association in writing and return their membership cards.

Members should pay their membership fees on time (before May 30). Those who fail to pay their membership fees or participate in the activities of the association for more than three months will be deemed to have automatically withdrawn from membership.

Article 13 Members who have seriously violated this Articles of Association, have a negative impact on the work of the Association and the protection of the Yangcheng Lake Hairy Crab brand, and have been sanctioned by national laws, will be expelled from the membership through a vote of the Standing Council.

Chapter 4 Organizational Structure and the Creation and Removal of Responsible Persons

Article 14 The highest authority of the Association is the Member Representative Conference. The distribution of members in the region is determined democratically based on proportion. The powers of the Member Congress are:

(1) Formulate and modify the charter;

(2) Elect and remove directors;

(3) Review the work report and financial report of the Board of Directors;

(4) Decide on termination matters;

(5) Decide on other major matters.

Article 15 The Member Congress must be attended by more than 2/3 of the member representatives, and its resolutions must be voted by more than half of the member representatives present to take effect.

Article 16 The Member Congress shall be held once a year for four years. If the term change needs to be advanced or postponed due to special circumstances, it must be voted by the board of directors, reported to the business supervisory unit for review and approved by the society registration and management authority, but the maximum extension of the term change shall not exceed one year.

Article 17 The Board of Directors is the executive agency of the Member Congress. It performs the daily work tasks of the Association when the Member Congress is not in session and is responsible to the Member Congress.

Article 18 The functions and powers of the Board of Directors are:

(1) Implement the resolutions of the Member Congress;

(2) Elect and remove the president and executive Vice president, vice president, secretary-general, and executive director;

(3) Report work and financial status to the member congress;

(4) Lead the various organizations of the group to carry out work;

(5) Formulate internal management systems;

(6) Decide on other major matters.

Article 19 The board of directors must be attended by more than 2/3 of the directors before it can be convened, and its resolution must be approved by more than 2/3 of the directors present before it can take effect.

Article 20 The Board of Directors shall be held once or twice a year. If additional meetings are needed, the Board of Directors shall decide.

Article 21 The Association shall establish a Standing Council; the Standing Council shall be elected by the Board of Directors. The Standing Council is responsible to the Council.

Article 22 The Standing Council must be attended by more than 2/3 of the standing directors before it can be convened, and its resolutions must be approved by more than 2/3 of the standing directors present before they can take effect.

Article 23 The Standing Council shall be held every six months and may be convened temporarily when necessary.

The powers of the Standing Council are:

(1) Preparing for the convening of the Member Congress;

(2) Deciding on the admission or removal of members;

(3) Decide on the establishment of offices, branches, representative offices and entities;

(4) Decide on the appointment of deputy secretary-generals and principals of each agency;

(5) Propose amendments to the Articles of Association.

Article 24 The president, executive vice-president, vice-president, and secretary-general of the association must meet the following conditions:

(1) Adhere to the party’s line and principles , policy and political quality;

(2) Have a greater influence in the business field of the Association;

(3) Be enthusiastic about the cause of the Association and have a spirit of dedication;

(4) The maximum age of the president, executive vice president, vice president and secretary-general shall not exceed 70 years old, and the secretary-general shall be part-time;

(5) Good health and ability to maintain normalcy Work;

(6) Have not been subject to criminal punishment of deprivation of political rights;

(7) Have full capacity for civil conduct.

Article 25 If the president, executive vice-president, vice-president, and secretary-general of the Association exceed the maximum age for office, they must be voted by the Board of Directors and submitted to the competent business department for review and approval by the association. Can take office only after approval from the registration management authority.

Article 26: The association implements a rotating president system, that is, four executive vice presidents take turns taking turns every year. The maximum term of office for the president, executive vice president, vice president and secretary-general shall not exceed two terms. If the term of office needs to be extended due to special circumstances, it must be approved by a vote of more than 2/3 of the board of directors, reported to the business supervisory unit for review, and approved by the society registration and management authority before taking office.

Article 27 The Secretary-General of the Association is the legal representative of the Association.

Article 28 The president of the Association shall exercise the following powers:

(1) Convening and presiding over the Board of Directors or Standing Council;

(2) Inspect the implementation of the resolutions of the Member Congress, the Council or the Standing Council;

Article 29 The Secretary-General of the Association shall exercise the following powers:

(2) Coordinate the work of branches, representative offices, and entities;

Chapter 5 Principles of Asset Management and Utilization

Article 30: Funding Sources of the Association:

(1) Membership Fees (Membership Fees Standard):

2. Executive Director 15,000 Yuan/year;

3. Director 10,000 Yuan /year

4. Membership is 5,000 yuan/year; individual membership is 2,000 yuan/year.

Article 31 The Association collects membership dues in accordance with relevant national regulations.

Article 32 The funds of the Association must be used for the development of the business scope and undertakings stipulated in this Articles of Association and shall not be allocated among members.

Article 33 The Association shall establish a strict accounting system for private non-profit organizations to ensure that accounting information is legal, authentic, accurate and complete.

Article 34 The Association shall be equipped with professionally qualified accounting personnel. Accountants may not concurrently serve as cashiers. Accountants must conduct accounting calculations and implement accounting supervision. When accounting personnel transfer jobs or resign, they must clear the handover procedures with the person who takes over.

Article 35 The association’s asset management must implement the accounting system for private non-profit organizations stipulated by the state and accept the supervision of the member congress and the financial department. If the source of assets belongs to state appropriations or social donations or subsidies, they must be subject to the supervision of the auditing agency, and the relevant information shall be announced to the public in an appropriate manner.

Article 36 The association must accept financial audits by the society registration and management authorities and business unit organizations before changing its term or legal representative.

Article 37: No unit or individual may encroach, privately distribute or misappropriate the assets of the Association. Article 38 The wages and insurance benefits of the full-time staff of the Association shall be implemented with reference to the relevant national regulations.

Chapter 6 Procedure for Amending the Articles of Association

Article 39: Modifications to the Articles of Association shall be approved by the Board of Directors and then reported to the Member Congress for review.

Article 40 The revised articles of association of the association shall be reviewed and approved by the business supervisory unit within 15 days after being adopted by the member representative meeting, and shall be reported to the society registration and management authority for approval before becoming effective.

Chapter 7 Termination Procedures and Property Disposal after Termination

Article 41 If the Association completes its purpose or dissolves itself or needs to cancel due to division, merger, etc., the director shall The meeting or the Standing Council proposes a motion to terminate.

Article 42 The motion to terminate the association must be voted and approved by the member representative meeting and reported to the business supervisory unit for review and approval.

Article 43 Before the association is terminated, a liquidation organization must be established under the guidance of the business supervisory unit and relevant authorities to clear out claims and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 44 The Association will be terminated after the deregistration procedures are completed by the society registration and management authority.

Article 45 The remaining property after the termination of the association will be used to develop undertakings related to the purpose of the association under the supervision of the business supervisory unit and the society registration and management authority and in accordance with relevant national regulations.

Chapter 8 Supplementary Provisions

Article 46 The amendment to this Articles of Association was discussed and approved by the Board of Directors on December 25, 2013 and submitted to the Member Congress for voting and approval.

Article 47 The right to interpret this charter belongs to the Council of the Association.

Article 48 This Article of Association shall take effect from the date of approval by the society registration and management authority.
