Article 1 Soong Ching Ling Foundation 1982 was established in May to commemorate Soong Ching Ling, honorary chairman of People's Republic of China (PRC). In September, 2005, it was renamed China Soong Ching Ling Foundation after deliberation and approval by the Fifth Council.
Article 2 The headquarters of the Association is located in Beijing, and the English translation is "China Soong Ching Ling Foundation", referred to as "SCLF".
Article 3 As the trademark owner of "China Soong Ching Ling Foundation" and related logos, this Association enjoys the exclusive right; It is necessary to effectively protect the exclusive right to use trademarks from infringement, and strive to safeguard Soong Ching Ling's lofty image and the good reputation of this association.
Chapter II Nature, Purpose and Task
Article 4 This Association has the dual attributes of mass organizations and charitable organizations.
Article 5 The purpose of this Association is: to inherit and carry forward Soong Ching Ling's lifelong efforts to enhance international friendship and safeguard world peace; Carry out cross-strait exchanges to promote the reunification of the motherland; Pay attention to the future of the nation and develop the cause of children.
Article 6 The main tasks of this Association are:
(1) Carry forward the great thoughts and spirits of Sun Yat-sen and Soong Ching Ling, and deeply explore their academic and humanistic values;
(two) to expand exchanges, contacts and cooperation with internationally renowned organizations, public welfare organizations and friendly people;
(3) Contact relatives and friends of Sun Yat-sen, Soong Ching Ling and their descendants, unite patriotic compatriots at home and abroad, and gather talents and intellectual resources;
(4) Promoting multi-field and multi-level exchanges and cooperation with Taiwan, Hong Kong and Macao;
(five) the development of charity, multi-channel and multi-form to raise funds; Pay attention to people's livelihood, help the poor and promote social harmony;
(six) the establishment of public service facilities conducive to the healthy growth of children and the development of maternal and child welfare, and organize related businesses and activities.
Chapter III Management Affairs
Article 7 The directors of this Association must meet the following conditions:
(1) Abide by the articles of association;
(2) Caring for and supporting various undertakings of the Association;
(3) Having a good social image and influence.
Article 8 The procedures for the appointment of directors:
(a) Recommended by relevant organizations and institutions;
(2) Having been deliberated and adopted by the Standing Council;
(3) The certificate of directors shall be issued by the FSC.
Article 9 Rights of directors:
(a) Have the right to vote, to be elected and to vote in this Association;
(two) to participate in relevant activities organized by the association;
(three) to exercise criticism, suggestions and supervision over the work of this association;
(4) Have the right to withdraw from the Council.
Article 10 Obligations of directors:
(1) Abide by the articles of association of this Association and implement the resolutions of this Association;
(two) to safeguard the social reputation and legitimate rights and interests of this association;
(3) Enthusiastic support for various undertakings of the Association.
Article 11 A director's post shall be terminated under any of the following circumstances during his term of office:
(a) due to job changes, the original recommendation unit put forward a new candidate, which will be terminated automatically after approval by the Standing Council;
(two) due to violation of the articles of association, damage the reputation of the association or cause losses to the association. , terminated after deliberation by the Standing Council;
(three) due to violation of law and discipline, it shall be terminated immediately.
Chapter IV Organizational Structure
Article 12 This Association implements democratic management and has a council and a standing council.
Article 13 An association may establish honorary posts such as honorary chairman, special adviser, consultant and honorary director.
Fourteenth according to the needs of the work, you can set up a special committee to carry out related work. The special committee is composed of relevant professionals.
Article 15 The term of office of the Council is five years. The meeting is held every five years, and special meetings can be held when necessary.
Article 16 The functions and powers of the Council:
(a) to formulate and amend the articles of association;
(two) to listen to and consider the work report, fund management and use report and development plan of the Association;
(3) Electing the executive director, chairman and vice chairman;
(four) nominated by the chairman, the appointment and removal of the secretary general and deputy secretary general;
(five) to decide on the major principles, policies and plans for the work of the Association;
Article 17 The Standing Council is the permanent organ of the Council. When the Council is not in session, the Standing Council shall exercise its functions and powers. The term of office of the Standing Council is the same as that of the Council. In principle, the Standing Council meets once a year. Under special circumstances, it can be convened through an interim meeting or other appropriate means.
Article 18 The functions and powers of the Standing Council:
(a) to explain the articles of association and supervise the implementation of the articles of association;
(two) to listen to and consider the work report and the report on the management and use of funds;
(three) to supervise and inspect the implementation of the working principles, policies and plans of this Association;
(four) to decide on the candidates for the principal responsible persons of the special committees.
Article 19 The board meeting and the executive board meeting shall be convened and presided over by the chairman. Important matters related to the work of this association shall be discussed and decided by the chairman's meeting and organized and implemented by the secretary general. The Secretary-General is the legal representative of the Association.
Article 20 The Association shall have supervisors whose requirements and procedures are the same as those of directors. Supervisors shall attend the board of directors as nonvoting delegates and the Standing Council as required by their work. Supervisors can consult the financial and accounting information of the fund and supervise the board of directors to abide by the law and the articles of association.
Chapter v supervision and management of public welfare funds and affiliated assets
Article 21 Management and use of funds:
(a) the fund comes from the donation income of the organization, including voluntary donations from natural persons, legal persons or other organizations, as well as investment income and other legitimate income;
(two) the fund is earmarked, and the use of donated property should respect the wishes of donors; Donations without agreement shall be used for related undertakings that conform to the aims and tasks of the association;
(3) If the donated non-monetary assets cannot be used to meet the aims and purposes of the Association, they can be auctioned or sold, and the proceeds will be used for public welfare undertakings;
(four) in accordance with the principles of legality, safety and effectiveness, to maintain and increase the value of the fund;
(five) the fund is used for public welfare expenditure every year, not less than 70% of the total income of the previous year, and the expenditure for public welfare project management expenses is not more than 8% of the total expenditure of that year;
(6) Establish accounting, auditing and supervisor systems, regularly report the financial status of the fund to the Council and the Standing Council, and accept the supervision of relevant state departments;
(seven) the management and use of public funds information, timely published on the website of the association and published in the relevant media in accordance with the provisions, to accept public inquiries and supervision.
Twenty-second asset supervision and management:
(a) the association has the legal person property rights that will become assets, and exercises the rights of possession, use and disposal according to law;
(2) The Association shall effectively supervise its affiliated enterprises, institutions and economic entities, so as to maintain and increase their value and enhance their comprehensive strength.
Chapter VI Relations with Relevant Institutions at Home and Abroad
Twenty-third international friends, compatriots from Taiwan, Hong Kong and Macao, overseas Chinese or organizations established in memory of Sun Yat-sen and Soong Ching Ling are willing to establish friendly relations with the Association who agree with its purposes and tasks.
Article 24 The Association is willing to strengthen exchanges, deepen cooperation and promote development with relevant institutions commemorating Sun Yat-sen and Soong Ching Ling in China.
Chapter VII Supplementary Provisions
Article 25 The Articles of Association shall be implemented after being reviewed and approved by the board of directors.
Article 26 The right to interpret the Articles of Association belongs to the Standing Council.
