According to Article 23 of the Labor Contract Law, the head office and its subsidiaries are legally independent legal persons, but as the parent company, the head office usually manages and supervises the subsidiaries, including the management of confidentiality, and the confidentiality obligations and responsibilities in the confidentiality contract signed by the head office usually apply to the subsidiaries.
Confidentiality contracts can ensure that business secrets are not leaked to competitors or other unauthorized personnel, thus protecting the core technology and commercial advantages of the enterprise, preventing other personnel from using or copying the intellectual property rights of the enterprise without authorization, establishing trust and cooperation relations, and enabling both parties to have more mutual trust and cooperation in business activities.
