1. Is the tax paid by our OEM or the OEM client?

Taxes are paid separately, and OEM is only a kind of entrustment-OEM relationship, which belongs to the scope of the contract and does not involve the payment of taxes and fees.

In fact, what you produce is only sold by contract to entrusted OEM and OEM sales. Apart from this business relationship, there is basically no other legal connection between you.

2. In addition, what do both parties need to do in the industrial and commercial bureau where our OEM manufacturer is located?

The trademark must be the OEM customer's own trademark, not yours, and the other party's trademark is preferably a registered trademark, which will minimize the risk of OEM, otherwise infringement disputes will easily occur.

If the trademark is not registered, try to let the other party register and protect it, otherwise we will all be in trouble in the future.

3. The key of 3.OEM cooperation is to sign a complete contract.

First of all, the contract should be well written, including the name, domicile, subject matter, the quantity and quality of the subject matter, the supply of raw materials and the requirements for the quantity and quality of raw materials, remuneration, contracting methods, time limit, place and method of performing the contract, acceptance methods and standards, liability for breach of contract and other provisions, so that the rights and obligations of both parties can be based on evidence.

Secondly, the entrusting party should provide legal and effective business license or industrial and commercial registration certificate and other subject qualification certificates. If a copy is provided and an OEM contract is signed through an agent, a legal and valid power of attorney must also be provided.

Third, if OEM involves the use of registered trademarks, the entrusting party should provide legal and effective trademark registration certificates; Where a copy of trademark registration is provided, relevant certificates issued by the entrusting party's local industrial and commercial bureau or corresponding institutions shall be issued.

In short, if you want to cooperate, it is suggested that you find a local lawyer, bring all your information, and let the lawyer make a comprehensive reference to make a contract, which can more effectively safeguard your legitimate rights and interests.
