Chapter I General Provisions

Article 1 Chinese name of this Association: Hebei Pharmaceutical Industry Association. English name: Hebei Pharmaceutical Profession Association (HBPPA for short).

article 2 the nature of this association: approved by the civil affairs department of Hebei province, it is established voluntarily by the Hebei Federation of Industrial Economics (Hebei Federation of Economic Organizations), hereinafter referred to as the Provincial Federation of Industry and Economics, which is engaged in the production, management, research and development, design, education and regional associations of Chinese and western medicines, medical devices, drug packaging, sanitary materials and other products within the jurisdiction of Hebei province, and carries out activities within the jurisdiction of Hebei province.

article 3 purpose of this association: centering on economic construction, facing the market, serving members, industries, society and government. It is a bridge and link between the government and enterprises. It protects the legitimate rights and interests of member units and pharmaceutical enterprises, reflects the problems, difficulties and reasonable demands of enterprises, coordinates the relationship between enterprises and the government, coordinates the relationship between production, circulation and scientific research in the industry, promotes cooperation and exchanges, strengthens industry self-discipline, relies on technological progress, gives full play to the advantages of the industry, and promotes the development of the pharmaceutical industry in our province.

Article 4 This Association has been approved and registered by the Civil Affairs Department of Hebei Province according to law. The competent business unit of this Association is the Provincial Federation of Industry and Economics (the Federation of Provincial Economic Unions), and it is subject to the supervision and management of the Civil Affairs Department of Hebei Province.

Article 5 The meeting place of this Association is temporarily located at No.388 Heping East Road, Shijiazhuang City, Hebei Province.

Chapter II Scope of Business

Article 6 Scope of business of this Association:

(1) Publicize and implement the laws, regulations and relevant guidelines and policies of the state, convey the government's requirements for industries and enterprises, and reflect the legitimate requirements of member units;

(2) entrusted by the relevant departments of the provincial government to assist in organizing the formulation of the industry development plan, participate in the government's decision-making demonstration on the development and reform of the pharmaceutical industry and the interests related to the industry, and participate in the relevant hearings held by the government;

(3) to participate in the feasibility study of major projects in the industry, study relevant policies for the development of the industry, and put forward reasonable suggestions for the development of the industry to the government;

(4) under the guidance of national laws, regulations and policies, organize and coordinate the problems arising in the research and development, production, sales, import and export of products in the industry, assist enterprises in handling international trade disputes, safeguard the legitimate rights and interests of member units, and provide public trust certificates for enterprises; Conducting anti-dumping, anti-monopoly and anti-subsidy investigations on behalf of industry enterprises, or applying to the government for investigation;

(5) organizing and coordinating price disputes within the industry, reflecting the problems, difficulties and reasonable requirements of drug pricing to the competent pricing department of the government, assisting the relevant government departments to do a good job in drug classification management, investigation and research of the medical insurance drug list, and cooperating with the drug supervision department to carry out the preliminary examination of industry access qualifications;

(6) to assist the relevant government departments to do a good job in recommending the evaluation of Hebei famous trademarks, China famous trademarks and famous products; Assist enterprises in technological innovation, improve product quality, increase product market share, guide enterprises to do a good job in cultivating brand-name products, and help enterprises to create brand-name products in Hebei Province and China; Organize and guide enterprises to establish Hebei famous trademarks and China famous trademarks; Assist the relevant government departments to do a good job in the first instance of quality and benefit-oriented enterprises, that is, recommend them;

(7) to assist relevant government departments in evaluating scientific and technological achievements; Organize the development, popularization and application of new products, new processes, new technologies, new equipment and new raw and auxiliary materials;

(8) organize enterprises to participate in investment promotion, exhibition, technical and academic exchange activities at home and abroad, and carry out production, research and development, transformation, circulation and certification consultation for enterprises; Collect and timely release domestic and foreign technical, economic and market information;

(9) Organize the information technology exchange activities of enterprises, accept the entrustment of the government to do a good job in industry statistics and economic operation analysis, and carry out the exchange of technical and economic indicators; Collect industry information and industry trends, publish basic information of pharmaceutical industry in Hebei Province, and feed back industry development trends to member units;

(1) to assist relevant government departments in organizing the formulation of technical and quality standards for local and national products in relevant industries;

(11) coordinate the economic cooperation among member units in production and operation, technical cooperation and competition, and promote the horizontal economic union among members; Coordinate the relationship between members and non-members in the industry, members and other industry operators, consumers and other social organizations;

(12) Supervise the member units to operate according to law, and take disciplinary measures such as industry criticism, notice criticism, expulsion from membership, etc. for members who violate the articles of association and rules of the association, fail to meet the quality standards and service standards, damage the legitimate rights and interests of consumers, and participate in unfair competition, resulting in damage to the collective image of the industry, or suggest the relevant administrative organs to deal with the illegal activities of non-member units according to law;

(13) To be responsible for organizing business training in technology, quality, certification, safety, statistics, finance, marketing, management, laws and regulations related to this industry;

(14) organizing member units to formulate rules and regulations, and supervising compliance;

(15) to undertake relevant matters authorized by laws and regulations, entrusted by government departments and stipulated in the articles of association.

chapter iii membership

article 7 this association is mainly composed of unit members, but also accepts individual members who have certain influence in this industry.

Article 8 A member applying to join this Association must meet the following conditions:

(1) Support and recognize the articles of association of this Association;

(2) voluntarily join this association and support its work;

(3) Individual members have certain influence in the field of pharmaceutical industry.

Article 9 Membership procedures are as follows:

(1) Submit an application for membership;

(2) discussed and approved by the Council of the Association;

(3) membership cards shall be issued by the board of directors or institutions authorized by the board of directors.

Article 1 Rights enjoyed by members:

(1) The right to vote, to vote and to be elected;

(2) to participate in the activities of this association;

(3) Have the priority or preferential right to transfer new technologies and products recommended by the association;

(4) giving priority to all kinds of information materials and publications issued by the association;

(5) have the right to criticize, suggest and supervise the work of the association;

(6) voluntary membership and freedom of withdrawal.

Article 11 Obligations that members should perform:

(1) Abide by the articles of association of the Association, implement the resolutions of the Association and safeguard the legitimate rights and interests of the Association;

(2) Obey the rules and regulations and safeguard the interests of the industry;

(3) Complete the work entrusted by this Association;

(4) Pay the annual membership fee as required;

(5) submit the production, operation, technical and economic statements and provide other information and materials as stipulated by the FSC.

Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of this association for one year without reason, it will be regarded as automatic withdrawal.

article 13 if a member commits any serious violation of the articles of association, it shall be voted by the board of directors to cancel its membership.

chapter iv creation and removal of the organization and responsible persons

article 14 the highest authority of this association is the member congress, and the member representatives are selected by the member units. The functions and powers of the members' congress are:

(1) to formulate and amend the articles of association;

(2) to elect and recall directors;

(3) to review the work report and financial report of the Council;

(4) to discuss and decide on major changes and termination of the association.

Article 15 A member congress can only be held when more than two-thirds of the members' representatives are present, and the resolutions made can only take effect when more than half of the representatives present vote.

Article 16. If a member congress is held for four years, it needs to be changed in advance or postponed due to special circumstances, it must be voted by the board of directors, submitted to the Provincial Federation of Industry and Commerce (the Provincial Federation of Industry and Commerce) for review and approved by the Civil Affairs Department of Hebei Province, but the longest extension of the change is not more than one year.

article 17 the board of directors is the executive body of the members' congress, which leads the association to carry out its daily work during the intersessional period and is responsible to the members' congress. The term of office of directors is four years.

Article 18 The functions and powers of the board of directors are as follows:

(1) To implement the resolutions of the members' congresses;

(2) recommend honorary president and hire consultants;

(3) to elect and recall the chairman, president, executive vice president, vice president and secretary general;

(4) preparing and convening the members' congress;

(5) to examine and accept new members and decide to add directors and vice presidents;

(6) to decide on the establishment of offices, branches, representative offices and entity institutions of the Association;

(7) to decide on the appointment of the Deputy Secretary-General, the principals of various offices, branches, representative offices and entities;

(8) to hear and consider the work report of the chairman's group;

(9) report the work and financial situation to the members' congress;

(1) to lead the work of various institutions of the Association;

(11) to formulate the internal management system of the association;

(12) to decide on other important matters of the association.

article 19 the board of directors shall be convened only when more than 2/3 of the directors are present, and its resolutions shall take effect only when more than 2/3 of the directors present vote.

article 2 the board of directors shall meet at least once a year, and in special circumstances, it may also be convened by means of communication.

article 21 in order to meet the requirements of the socialist market economy, embody the spirit of "entrepreneurs hold meetings" and fully mobilize the enthusiasm of enterprises, this association has established a presidium. The presidium is elected by the Council, and its members are mainly composed of on-the-job leaders of representative enterprises in the industry, collectively referred to as the chairman of the presidium.

the presidium has two executive chairmen, the president of this association is the permanent executive chairman, and the other executive chairman is elected by rotation from the enterprise members of the presidium, with a non-renewable term of one year. The Chairman may be entrusted by the Executive Chairman to preside over specific activities and make external contacts on behalf of the Association.

the meeting of the presidium can only be held when more than 2/3 of the chairmen are present, and the resolutions made can only take effect when more than 2/3 of the chairmen present vote; The meeting of the presidium shall be held at least once a year, and in special circumstances, it may also be held in the form of communication.

article 22 when the Council is not in session, the presidium is the decision-making body for major issues of the association, and exercises the functions and powers of items (1), (3), (4), (5), (6), (7), (9), (1), (11) and (12) of article 18 of the terms of reference of the Council.

article 23 the association shall have a president, an executive vice president (resident), a vice president (non-resident) and a secretary general.

article 24 the president's meeting is composed of the president, the executive vice president, the vice president and the secretary-general. it implements the resolutions of the board of directors and the presidium, and studies and decides on major issues and issues of the association.

the president's office meeting is composed of the president, the executive vice president and the secretary-general. It implements the resolutions of the president's meeting, leads the secretariat, and studies and decides the important work of the Association.

Article 25 The president, executive vice-president, vice-president and secretary-general must meet the following conditions:

(1) Adhere to the Party's line, principles and policies and have high political quality;

(2) It has certain influence in the business field of the Association;

(3) The president, executive vice-president, vice-president and secretary-general have a maximum age of 7, and the secretary-general is full-time;

(4) Being in good health and able to work normally;

(5) Having full capacity for civil conduct.

article 26 if the president, executive vice president, vice president and secretary general of the association are over the maximum working age, they can only take up their posts after being examined by the provincial Federation of Industry and Commerce (the Federation of Provincial Economic and Trade Unions) and approved by the Civil Affairs Department of Hebei Province.

article 27 the term of office of the president, executive vice-president, vice-president and secretary-general is four years, and the term of office is generally not more than two. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members' representatives at the members' congress, submitted to the Provincial Federation of Industry and Commerce (the Provincial Federation of Industry and Commerce) for review and approved by the Civil Affairs Department of Hebei Province before taking office.

article 28 the president is the legal representative. The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.

Article 29 The president of the Association shall exercise the following functions and powers:

(1) To convene and preside over the members' congress, the Council, the presidium meeting, the president's meeting, the president's office meeting and the working meeting of the Association;

(2) to check the implementation of member congresses, councils, presidium meetings, presidents' meetings, presidents' office meetings and association work meetings;

(3) Signing relevant important documents on behalf of the Association.

article 3 the secretariat of this association is the daily office of the Council. The secretary-general presides over the daily work of the Secretariat.

Article 31 The Secretary-General of the Association shall exercise the following functions and powers:

(1) Preside over the daily work of the office and organize the implementation of the annual work plan;

(2) to organize and implement the resolutions of the members' congress, the Council, the presidium meeting, the presidents' meeting, the presidents' office meeting and the working meeting of the association;

(3) coordinating the work of various offices, branches, representative offices and entities;

(4) Nominate the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and entities, and submit them to the Council or the President's Office for decision;

(5) to decide on the employment of full-time staff of all offices, branches, representative offices and entities;

(6) handle other daily affairs.

chapter v principles of asset management and use

article 32 sources of funds of this association:

(1) membership fees paid by member units;

(2) social donations;

(3) financial assistance;

(4) Income from activities and services within the approved business scope;

(5) interest;

(6) Other lawful income.

article 33 the association shall collect membership dues in accordance with the relevant provisions of the state and the province.

Article 34 The funds of the Association shall be used for the following expenses:

(1) The expenses of various activities sponsored by the Association;

(2) office facilities and supplies required by the association;

(3) publishing publications and materials;

(4) other necessary expenses.

the funds of this association must be used for the specified business scope and career development, and shall not be distributed among members.

article 35 financial management

(1) strictly implement the financial management system stipulated by the state;

(2) report the financial revenue and expenditure to the Council;

(3) The income and use of funds must conform to the purpose and business scope of this Association.

article 36 before the association changes its term or changes its legal representative, it must accept the financial audit organized by the Provincial Federation of Industry and Commerce (the Federation of Provincial Economic Unions) and the Provincial Civil Affairs Department.

Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of the Association;

article 38 the wages, insurance, welfare and treatment of full-time staff or employees of the association shall be implemented in accordance with the relevant regulations of Hebei province.

Chapter VI Procedures for Amending the Articles of Association

Article 39 The amendment and explanation of the Articles of Association shall be proposed by the board of directors, and shall be submitted to the members' congress for deliberation after being voted by the board of directors.
