Article 1 Name of this group: CHINA TRADEMARK ASSOCIATION

English translation: China Trademark Association

English abbreviation: CTA

Article 2 China Trademark Association is formed by prestigious enterprises and trademark legal experts voluntarily, and it is professional, national and non-profit to carry out activities related to trademark self-protection, self-improvement, self-development and self-discipline.

article 3 this group shall abide by the constitution, laws, regulations and policies of China, abide by social morality, safeguard the trademark rights and interests of its members according to law, assist its members to create trademarks well known to the public, enhance the trademark awareness of the whole society, improve the quality of goods and services, and promote economic development and prosperity.

article 4 the state administration for industry and commerce is the competent business unit of this association, and this association accepts the business guidance, supervision and management of the state administration for industry and commerce and the Ministry of civil affairs.

Article 5 The domicile of this group is located in Beijing.

scope of business

article 6 the scope of business of this group:

(1) publicizing and implementing the laws, regulations and policies of the state on trademarks;

(2) to guide and assist members to use trademark strategies and tactics to create well-known trademarks;

(3) to safeguard the trademark rights and interests of member enterprises according to law, accept entrustment and provide trademark legal consulting services for member enterprises. To provide evidence for the industrial and commercial administrative organs and judicial organs to investigate and deal with trademark violations;

(4) coordinate the relationship among members and promote exchanges and cooperation. Organize academic activities, train enterprise trademark business personnel, disseminate information on trademark work at home and abroad, popularize advanced theories and successful experiences, and improve the trademark management level of enterprises;

(5) Investigate and study the development trend of trademarks at home and abroad, study the trademark development strategy and major issues in China, report the situation to the relevant government departments and put forward work suggestions;

(6) to accept the entrustment of government agencies, social organizations and enterprises, engage in investigation and research on trademark affairs, and organize relevant social activities;

(7) to carry out international exchanges and cooperation on trademarks among the people;

(8) publishing and distributing materials and publications on trademark business.

article 7 members of this group are divided into unit members and individual members.

(1) unit members: they are composed of enterprises, commercial trademark agencies and other units with high trademark awareness and good economic benefits.

(2) individual members: they are composed of experts or legal workers with considerable attainments in trademark theory.

Article 8 A member who applies to join this group must meet the following conditions:

(1) Support the articles of association of this group;

(2) Have the will to join this group;

(3) It has certain influence in the business field of this group.

Article 9 Application for membership

(1) Submit an application for membership;

(2) After being examined by the organization established by the Council, the Secretary-General may propose to the President, and after being approved by the President and notified to the Standing Council, he can become a member of this group;

(3) Membership cards shall be issued by institutions authorized by the Council.

Article 1 Members shall enjoy the following rights:

(1) The right to vote, to be elected and to vote of this group;

(2) the right to participate in the activities of this group;

(3) get the priority of the group service;

(4) criticism, suggestions and supervision over the work of this group;

(5) voluntary membership and freedom of withdrawal.

Article 11 Members shall perform the following obligations:

(1) To implement the resolutions of the group;

(2) safeguarding the legitimate rights and interests of this group;

(3) Complete the work assigned by this group;

(4) Pay the membership fee as required;

(5) actively participate in the activities organized by this group, reflect the opinions and requirements of trademark work, and provide relevant information.

Article 12 A member who withdraws from the meeting shall notify the group in writing and return the membership card.

if a member fails to pay the membership fee or participate in the group activities for one year, it will be deemed as automatic withdrawal.

article 13 if a member commits a serious violation of the articles of association, he/she will be removed from the membership after being voted by the board of directors or the standing Council.

The organization and the person in charge are elected and dismissed

The highest authority is the general meeting of members, whose functions and powers are:

(1) To formulate and amend the articles of association;

(2) to elect and recall directors;

(3) to review the work report and financial report of the Council;

(4) Deciding to terminate;

(5) to decide on other important matters. Article 15 A general meeting of members can only be held when more than 2/3 of the members are present, and its resolution can only take effect when more than half of the members present vote.

article 16 the general meeting of members is held for four years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review and approved by the association registration authority, but the extension of the general election shall not exceed one year.

article 17 the Council is the executive body of the general meeting of members, leading the group to carry out its daily work during the intersessional period and being responsible for the general meeting of members.

The functions and powers of the Council are:

(1) to implement the resolutions of the general meeting of members;

(2) to elect and recall the president, vice-president and secretary-general;

(3) prepare for the general meeting of members;

(4) report the work and financial situation to the general meeting of members;

(5) Deciding to set up offices, branches, representative offices and entity institutions;

(6) to decide on the appointment of the Deputy Secretary-General and the principal responsible persons of various institutions;

(7) leading the organizations of this group to carry out their work;

(8) to formulate internal management system;

(9) to decide on other important matters.

article 19 the board of directors shall be convened only when more than 2/3 of the directors are present, and its resolutions shall take effect only when more than 2/3 of the directors present vote.

Article 2 The Board of Directors shall meet at least once a year. In special circumstances, it may also be convened by means of communication.

article 21 the group shall establish a standing Council. Elected by the Standing Council, the Standing Council shall exercise the functions and powers in Items 1, 3, 5, 6, 7, 8 and 9 of Article 18 when the Council is not in session, and be responsible to the Council (the number of the Standing Council shall not exceed 1/3 of the number of directors).

article 22 the standing Council shall be convened only when more than 2/3 of the standing directors are present, and its resolutions shall take effect only when more than 2/3 of the standing directors present vote.

Article 23 The Standing Council shall meet at least once a year; Special circumstances can also be held by means of communication.

the president, vice-president and secretary-general must meet the following conditions:

(1) adhere to the party's line, principles and policies and have good political quality;

(2) It has great influence in the business field of this group;

(3) The maximum working age of the president and vice-president is generally not more than 65 years old, and the maximum working age of the secretary-general is generally not more than 6 years old.

(4) Being in good health and able to work normally;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

article 25 the president, vice-president and secretary-general of this association shall be nominated by the competent business unit and elected according to the procedures stipulated in the articles of association; The Deputy Secretary-General shall be nominated by the competent business unit, and the appointment and removal shall be decided according to the procedures stipulated in the Articles of Association.

article 26 the term of office of the president, vice-president and secretary-general of this group is four years. (The term of office of the president, vice-president and secretary-general shall not exceed two terms at the longest) If it is necessary to extend the term of office due to special circumstances, it shall be approved by more than two-thirds of the members of the general assembly, reported to the competent business unit for review and approved by the association registration and management authority before taking office.

article 27 the president of this group is the legal representative of this group.

the legal representative of this group does not concurrently serve as the legal representative of other groups.

article 28 the president of this group shall exercise the following functions and powers:

(1) to convene and preside over the Council (or the standing Council);

(2) check the implementation of the resolutions of the general meeting of members and the Council (or the Standing Council);

(3) signing relevant important documents on behalf of the group;

The Secretary-General of this group exercises the following functions and powers:

(1) Presiding over the daily work of offices and organizing the implementation of annual work plans;

(2) coordinating the work of entities and institutions;

(3) Nominate the principal responsible persons of various institutions and submit them to the Council or the Standing Council for decision;

(4) to decide on the employment of full-time staff in offices and entities;

(5) handle other daily affairs.

Principles of asset management and use

Article 3 Sources of funds for this group:

(1) Membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services within the approved business scope;

(5) interest;

(6) Other lawful income.

article 31 this group collects membership dues in accordance with relevant state regulations.

article 32 the funds of this group must be used for the development of the business scope and undertakings stipulated in the articles of association, and shall not be distributed among the members.

article 33 the group shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.

article 34 this group is equipped with accountants with professional qualifications. An accountant may not concurrently serve as a cashier. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the receiver.

article 35 the asset management of this group must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and announce the relevant information to the public in an appropriate way.

article 36 before the group changes its term or changes its legal representative, it must accept the financial audit organized by the registration authority of the association and the competent business unit.

article 37 no unit or individual may occupy, privately divide or misappropriate the assets of this group.

article 38 the wages, insurance and welfare benefits of the full-time staff of this group shall be implemented with reference to the relevant provisions of the state on public institutions.

Procedures for amending the articles of association

Article 39 Any amendment to the articles of association of this group shall be approved by the board of directors and submitted to the general meeting for deliberation.

Article 4 The revised articles of association of this organization shall come into effect after being examined and approved by the competent business unit within 15 days after being adopted by the general meeting of members, and reported to the organization registration authority for approval.

Chapter VII Termination Procedure and Disposal of Property after Termination Article 41 If the group completes its purpose or dissolves itself or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a termination motion.

article 42 the motion to terminate this group must be voted by the general meeting of members and reported to the competent business unit for examination and approval.

article 43 before the termination of this group, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

article 44 this group shall terminate after the cancellation of registration by the social registration authority.

article 45 the remaining property after the termination of this group shall be used for the development of undertakings related to the purpose of this group under the supervision of the competent business unit and the registration authority of the association and in accordance with the relevant provisions of the state.

article 47 the right to interpret these articles of association belongs to the Council of this group.

article 48 the articles of association shall come into effect as of the date of approval by the registration authority of the association.

It is divided into expert committee, office, member department, legal department, trademark development center of Chinese enterprises, trademark appraisal center of Chinese enterprises, China Trademark Magazine and trademark agency branch of China Trademark Association.
