How to amend the company's articles of association and how to file them

The company's articles of association are the basic documents formulated by the company in accordance with the law and stipulate the company's name, business scope, residence and operation and management system. 1. Application materials:

1. "Company Registration Application Form" signed by the legal representative (with official seal of the company)

2. Signed by the company The "Certificate of Designated Representative or Authorized Agent" (with official seal of the company) should indicate the specific entrusted matters, the authority of the entrusted person, the authorization period and a copy of the designated representative or authorized agent's ID card (signed by the person) ; A copy of the approval document or license;

5. A copy of the company’s business license.

Note: If the above items do not indicate that a copy should be submitted, the original should be submitted; if a copy is submitted, it should be marked "consistent with the original" and have the official seal or signature of the shareholder. If the shareholder's signature is required for the above, if the shareholder is a natural person, he or she shall sign; shareholders other than natural persons shall affix the official seal.

2. Procedures:

Based on: Articles 51, 52, 53, and 54 of the "Regulations of the People's Republic of China on Company Registration and Management" , Article 55, the procedure is as follows:

1. Review and acceptance: The applicant submits the application to the Industrial and Commercial Bureau window of the Municipal Affairs Service Center with relevant materials

2. Approval: Municipal Affairs Service Window of the Industrial and Commercial Bureau of the Central Government

3. Issuance of license: Receive a business license at the window of the Industrial and Commercial Bureau of the Municipal Affairs Service Center

3. Processing time limit:

Legal time limit: 15 working days.

Commitment time limit: completed on the spot after acceptance.

IV. Other provisions:

Charging standard: No fee

Declaration conditions: The modification of the company's articles of association does not involve registration matters.

5. Basis for filing

1. Legal basis:

"Regulations of the People's Republic of China on Company Registration and Management" (June 24, 1994 State Council Issue No. 156, revised on December 28, 2005) Article 37: If the modification of the company's articles of association does not involve registration matters, the company shall submit the revised company's articles of association or amendments to the company's articles of association to the original company registration authority for filing.

2. Basis for implementation:

Article 4 of the "Company Law of the People's Republic of China": The industrial and commercial administrative authority is the company registration authority. Lower-level company registration authorities carry out company registration work under the leadership of superior company registration authorities.

Article 8: The industrial and commercial administration bureaus of districted cities (regions) and county industrial and commercial administration bureaus, as well as the industrial and commercial administration branches of municipalities directly under the Central Government and the district branches of the industrial and commercial administration bureaus of districted cities are responsible for Registration of the following companies within this jurisdiction:

(1) Companies other than those listed in Articles 6 and 7 of these Regulations;

(2) State Administration for Industry and Commerce and companies authorized and registered by the industrial and commercial administration bureaus of provinces, autonomous regions, and municipalities directly under the Central Government.

The specific registration jurisdiction specified in the preceding paragraph shall be stipulated by the industrial and commercial administration bureaus of provinces, autonomous regions, and municipalities directly under the Central Government. However, the joint-stock companies among them are registered by the industrial and commercial administration bureaus of the districted cities (regions).
