After the founder gathered a group of people to set up a team to start work, the issue of company registration was immediately put on the agenda. Company registration seems very simple, just find an agency to handle it. If If you don’t pay attention to it, the journey of digging a hole for yourself will begin! Let’s take a look with Mander Enterprise Server!
1. Naming of font sizes
In the "Enterprise Name Registration Management Regulations", detailed regulations on font size requirements have been made, and there is not much about the compliance of font sizes here. To explain, it is recommended to consider the following points:
(1) If your company is a product type, the company's font size and product name can be considered different, WHY? Because your company is likely to do Multiple products, even if you only make one, may cause the company to switch to other products. For example, the company name of Youku is Heyi Information Technology (Beijing) Co., Ltd., and the company name of 360 is Beijing Qihoo Technology Co., Ltd., which I never expected (sorry to mention this because I am a big fan of theirs). It is Beijing Wanhetianyi Film and Television Culture Co., Ltd.
(2) If you want to use a product brand as the name of your company, it is recommended to check whether the registered trademark and domain name are still there. The best domain names are .com, .com.cn, .net, and .cn. They are all still there. If it has been hoarded by others, consider whether you can afford the price. Chinese domain names are basically useless, don’t be fooled by domain name sellers. I will explain in detail the issue of registered trademarks in the article "IP Protection".
(3) The company name is very important, so once it is chosen, do not change it easily, as that will cost a lot. If you change the company name, it will involve registered trademarks, domain names, copyrights, etc. Changes in various matters consume the company's internal resources.
(4) When submitting a trade name to the Industrial and Commercial Bureau for pre-review, the shareholders must be consistent with your subsequent registration. Otherwise, relevant explanations must be made, and you may need to make an extra trip to the Industrial and Commercial Bureau.
(5) The font size is not the same as a registered trademark. The same font size can be registered by different people in different places (usually in cities). Therefore, if a company uses a font size as its brand, it must Remember to apply for a registered trademark after the company is established.
2. Time of registration
Many people think that it doesn’t matter when to register a company, so they just wait until everything is ready and choose an auspicious day before registering the company. In fact, once the team is stable, the sooner the company is registered, the better.
WHY? Because the company is a legal subject, you have to use this subject to do many things. For example, you have to register and protect the WeChat public account early. The owner of the public account cannot be transferred, and you cannot use it personally. After registering in the form, consider transferring it to the company; if you want to recruit people, for a platform like Lagou, you cannot apply for an account without a business license. In addition, there are AppStore applications, registered trademark applications, etc.
If you want to list on the New Third Board or IPO, the age of the company’s establishment is a rigid requirement. The New Third Board must be 2 years after the company was established. Therefore, in terms of time, the earlier the company should be registered, the better.
3. Company type selection
Company type includes industry (business characteristics) and organizational form, which are explained below:
(1) In the Internet +, this is the case In today's prevailing world, your industry form is best related to the Internet. Try to use Internet technology, information technology, network technology, e-commerce, cultural creativity, etc. as industry characteristics. This will be much higher than your business consulting, trade, industry and trade, etc. , your customers will not think that you are a very traditional and scummy company.
(2) The organizational form is basically a limited company, but it is recommended that you never register a one-person limited company unless absolutely necessary. Although a one-person limited company is relatively simple and hassle-free for shareholders, once you register a one-person limited company, you will have to prepare a financial accounting report at the end of each fiscal year and have it audited by an accounting firm. This will increase your workload a lot. Of course, if your company wants to fully invest in establishing a wholly-owned subsidiary, a one-person limited company is a good organizational form.
(3) I will explain the registration issues of option pool platform companies in subsequent articles.
4. The size of the registered capital
After the revision of the New Company Law in 2006, the registered capital does not need to be paid in and verified, and can be changed to a subscription system. The subscription system stipulates that the registered capital You can transfer it into the company at any time, which makes many entrepreneurs think that the money can be paid at any time. Increasing the registered capital will show that the company is strong and respectable, so they often register 5 million, 10 million or even thousands. Wan's company didn't know it had dug a huge hole for itself.
Because even if it is a subscription, the money will have to be filled in sooner or later, and if the company has a dispute during the operation process and causes a lawsuit for compensation, the court will let you recover your subscribed capital. of. In other words, although the company's registered capital is subscribed, it cannot be too arbitrary.
For example, if the company's registered capital is 10 million, you account for 70%, which means you have subscribed 7 million. If the company has liabilities of 50 million in the future and the company's assets are insolvent, you, as a shareholder, must The subscribed capital contribution is limited to RMB 7 million, and the joint liability for repayment shall be borne. If your company has a registered capital of 1 million, you will only be jointly and severally liable for 700,000, even if the company owes 100 million. This is not alarmist, there have been many similar cases in China.
Of course, the smaller the registered capital, the better. For example, if you register a company with 30,000 yuan, it will usually be disliked by banks, customers, etc.
In addition, if the industry you are engaged in requires pre- and post-approval, you must pay attention to the amount of registered capital to meet the approval requirements. For example, if you want to be a national SP (such as SMS agency) ), the registered capital is required to be more than 10 million.
As a supplement, many traditional enterprises like to make their registered capital very large. A very important reason is that Party A requires hard targets for the size of the registered capital when bidding, so they like to register 10.01 million or 100.01 million. company, because Party A sometimes requires the bidding company to require more than 10 million (not including 10 million). This paragraph is beside the point.
Then the question is, what is the appropriate amount of registered capital? For entrepreneurial companies that need continuous financing, I personally suggest that the amount should be between 30-100 according to the expected financing size. For example:
(1) You have 3 partners, all of whom are silk. They don’t have much money. Their equity ratios are 70%, 20% and 10% respectively. They plan to invest in the seed or angel round. If you want to raise 2 million yuan, it is recommended that you use 1 million registered capital.
(2) After negotiating with seed or angel investors, you plan to sell 20% of the equity and invest 2 million after the investment. The investors in the first round are basically individuals. You can ask the investors to invest 2 million. Of the investment money, 300,000 will be transferred to the company's account as a capital increase (not a share transfer), the other 1.7 million will be transferred to you personally, and 500,000 will be reserved as off-book expenses without invoices. The remaining 1.2 million will be paid at 70%, 20% and The 10% ratio is allocated to the founding shareholders, and these shareholders pay it to the company's accounts respectively.
(3) In this round, the investors and original shareholders actually increased their capital. In the end, the registered capital became 1.5 million, and all shareholders paid in.
There are some points to note in this process. For example, investment funds are usually transferred from personal cards to company bank accounts. Please be sure to indicate "investment funds" to fully demonstrate that you have realized the subscription, otherwise it will be very difficult in the future. It is difficult to tell whether you are personally borrowing money or investing money.
In addition, the external investor’s actual investment is 2 million, but the industrial and commercial registration only invested 300,000. In the future, he will suffer some losses when transferring equity and pay more personal income tax, but the earlier it is The return on investment for investors is usually very high, and it can’t be different from this small amount.
5. Other points of note
Although the company registration process is now simple, I still recommend finding an agency to handle it, so that you can avoid detours because you prepare the materials yourself. There will still be many details that are not clear, and it will take time to go to the industrial and commercial bureau several times (for example, when many people handle it by themselves, they will draft a "shareholders' articles of association" based on their actual situation, instead of following the standard template of the industrial and commercial industry. Some local industrial and commercial areas will not accept this situation, and some will make you wait for a few more days). At present, agency fees usually only cost a few hundred yuan, which allows you to save time and invest in starting a business.
In addition to helping you prepare materials, the agency will also run errands for you. Except for the need to bring your ID card to the site when engraving the seal, you basically don’t have to run around yourself.
The company registration process usually takes about 3-4 weeks. If sometimes for financing needs, you need to get the money as soon as possible. At this time, the agency will also take effect immediately. Spend more money to expedite it. Usually You can get your business license the next day.
