If only the name of the enterprise is changed, but the legal representative, taxpayer, business address, etc. If there is no change, you only need to bring a new business license and a copy of the original tax registration certificate to the tax authorities to fill in the tax registration form for tax registration change (provided that the enterprise name on the business license and organization code certificate has been changed), and submit the filled and unfilled invoices (including those purchased from the tax authorities or applied for self-printing) to the tax authorities.
The new invoice special seal can be engraved first, but it must be consistent with the changed enterprise name, otherwise it will cost money. If the tax exemption certificate has not expired, it may not be changed, because the tax authorities have changed the tax registration on the basis of your original tax registration, and the corresponding tax exemption certificate has also been transferred to your changed tax registration; If it has expired, you need to apply to the tax authorities for tax exemption again.
Matters needing attention in the change of enterprise name are as follows:
1. The name change of an enterprise needs to be renamed, so industrial and commercial changes are needed;
2. The company's business license has the company name, and the name change leads to inconsistency with the company name on the business license, so the business license needs to be changed;
3. After the change of industry and commerce, it is necessary to re-engrave the seal that has been filed with a new license. It is worth noting that the old seal needs to be cancelled within the specified time;
4. After the name is changed, the bank account opening license and credit code need to be changed. Bring a new certificate, official seal, corporate seal and financial seal to the bank for change;
5. If the company has applied for a trademark, according to the provisions of the Trademark Law, the trademark certificate needs to be changed after the company is renamed;
6. In addition, there are other changes related to the company name and other documents. After renaming, these files need to be changed accordingly.
"Regulations of the People's Republic of China on the Administration of Company Registration" Article 27 When applying for registration of change, a company shall submit the following documents to the company registration authority:
(1) An application for change registration signed by the legal representative of the company;
(2) resolutions or decisions on changes made in accordance with the Company Law.
(3) Other documents required by the State Administration for Industry and Commerce.
Where the company's change of registration matters involves the revision of the articles of association, it shall submit the revised articles of association or amendments to the articles of association signed by the company's legal representative.
Where laws, administrative regulations or decisions of the State Council require approval to change registered items, relevant approval documents shall also be submitted to the company registration authority.
Article 28 Where a company changes its name, it shall apply for registration of change within 30 days from the date when the resolution or decision on change is made.
Article 26 Where a company changes its registered items, it shall apply to the original company registration authority for registration of change.
Without the change registration, the company shall not change the registered items without authorization.
