Is the secretary of the board all right?
The secretary of the board of directors shall be nominated by the chairman and appointed or dismissed by the board of directors. Directors or other senior managers of the company may concurrently serve as the secretary of the board of directors of the company.

The secretary of the board of directors shall be responsible to the company and the board of directors and perform the following duties:

(1) Be responsible for timely communication and contact between the company and relevant parties and the exchange and other securities regulatory agencies, and ensure that the exchange can get in touch with them at any time;

(2) Handling the information disclosure affairs of the company, urging the company to formulate and implement the information disclosure management system and the internal reporting system of major information, urging the company and relevant parties to fulfill their information disclosure obligations according to law, and handling the disclosure of regular reports and interim reports to the exchange according to regulations;

(3) Coordinate the relationship between the company and investors, receive investors' visits, answer investors' inquiries and provide investors with information disclosed by the company;

(4) Prepare the board of directors and shareholders' meeting according to legal procedures, and prepare and submit the documents of the board of directors and shareholders' meeting for consideration;

(5) Attending board meetings, making minutes and signing them;

(VI) To be responsible for the confidentiality related to the company's information disclosure, formulate confidentiality measures, urge all members of the board of directors of the company and relevant insiders to keep secrets before the relevant information is officially disclosed, and take remedial measures in time when insider information is leaked and report to the Exchange;

(7) Be responsible for keeping the company's register of shareholders, register of directors, shares held by controlling shareholders, directors, supervisors and senior managers, and meeting documents and minutes of the board of directors and shareholders' meeting;

(8) Assisting directors, supervisors and senior management personnel to understand laws, administrative regulations, departmental rules, these Rules, other provisions of the Exchange, the Articles of Association, and their duties as stipulated in the listing agreement;

(9) To urge the board of directors to exercise its functions and powers according to law; If the resolution to be made by the board of directors violates laws, administrative regulations, departmental rules, these Rules, other provisions of the Exchange and the Articles of Association, it shall remind the directors attending the meeting and invite the supervisors attending the meeting to express their opinions; If the board of directors insists on making the above resolution, the secretary of the board of directors shall record the opinions of the relevant supervisors and their individuals in the minutes of the meeting and report to the exchange immediately;

(10) Other duties required by the Company Law and the Exchange.
