Private equity funds are managed by fund managers, who are generally fund management companies, so private equity funds are not legal persons, and private equity fund managers belong to legal persons. Private equity fund legal person cannot be an industrial company legal person. According to Article 57 of the General Principles of the Civil Law of People's Republic of China (PRC) and the national laws, a legal person is an organization with civil rights and capacity for civil conduct, which independently enjoys civil rights and undertakes civil obligations according to law.
