Article 1 The name of this group is China Literature Foundation, which is translated into English as China Literature Foundation, or CLF for short.
Article 2 This group is a professional non-profit organization in the national literary circle, and it is also a mass friendly group that contacts people at home and abroad to help China's literary career voluntarily.
Article 3 The Foundation strictly abides by the Constitution, laws, regulations and national policies, and follows social ethics, with the aim of prospering literary creation, cultivating literary talents, promoting academic exchanges at home and abroad, promoting the development of China literature, and further improving the cultural quality of the whole nation.
Article 4 The Foundation accepts the professional guidance, supervision and management of the Chinese Writers Association and the Ministry of Civil Affairs.
Article 5 The domicile of the Foundation is in Beijing.
Chapter II Scope of Business
Article 6 The business scope of the Foundation:
(a) to accept donations and special funding for China literature at home and abroad;
(two) to raise literary welfare funds from all walks of life;
(three) to set up various undertakings to provide medical care, rest, creation and other welfare services for writers throughout the country;
(four) the establishment of newspapers, publishing houses and other cultural undertakings that are conducive to promoting the development of China literature;
(5) Holding national or international literary awards and literary projects.
Chapter III Members
Article 7 The members of this Foundation are divided into unit members and individual members.
Article 8 A member who joins the Foundation must meet the following conditions:
(1) Supporting the articles of association of the Foundation;
(2) Having the will to join the foundation; Make economic contributions to this foundation or be enthusiastic about this cause and make achievements.
Article 9 The procedures for joining the club are as follows:
(1) Nominated by the foundation board or two or more foundation directors;
(2) discussed and adopted by the Council; The membership card will be issued by the foundation.
Article 10 Members shall enjoy the following rights:
(1) The right to vote, to be elected and to vote of the Foundation;
(two) to participate in and supervise the work of the foundation;
(3) Enjoy the priority of various welfare undertakings of the Foundation;
(4) Units and individuals that have made significant contributions to the Foundation will be commended in various forms and given material and spiritual rewards;
(5) The Foundation employs legal and economic consultants, and establishes an independent accounting and auditing system to supervise and inspect the use of funds to ensure that the economic interests of all members and donors are not infringed; Joining is voluntary and quitting is free.
Article 11 Members shall perform the following obligations:
(1) Implementing the resolutions of the Foundation;
(two) to safeguard the legitimate rights and interests of the foundation;
(three) to complete the work assigned by the foundation;
(four) to reflect the situation to the foundation and provide relevant information; Assist the association to raise funds from all walks of life; Support the organization of various literary and artistic public welfare undertakings.
Twelfth members 1 year do not participate in the activities of the association, as an automatic withdrawal.
Article 13 If a member seriously violates the Articles of Association or the national laws, he shall be removed from the membership after being approved by the board of directors or the general meeting of members.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 14 The authority of the foundation is the board of directors. The Council hired several honorary chairmen and advisers. The Council is elected by the members of the Association and people from all walks of life who are enthusiastic about the prosperity of Chinese literature at home and abroad through consultation, which is equivalent to the members' congress of the Association. The duties of the Council are:
(a) to formulate and amend the articles of association;
(two) to lead and supervise the various departments of the Foundation to complete various tasks;
(3) to adjudicate on major administrative affairs;
(four) to consider the work report and financial report of the meeting of the presidium; To elect and recall the president, vice-president and director-general.
Article 15 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than half of the directors present vote.
Article 16 The term of office of the board of directors is five years. If it needs to be changed or postponed in advance due to special circumstances, it must be reported to the competent business unit for review and approved by the registration authority of the association.
Article 17 When the board of directors is not in session, the foundation meeting composed of the president and the vice-president decides on major issues of the foundation and is responsible to the board of directors.
Article 18 The board of directors is the executive body of the board of directors. Under the guidance of the general assembly, he is responsible for leading the foundation to carry out its daily work and being responsible to the Council.
Article 19 The functions and powers of the board of directors are:
(1) Implementing the resolutions of the Council;
(2) Preparing for convening the Council;
(3) To report the work and financial situation to the Council;
(4) Deciding to establish offices, branches, representative offices and entities.
Structure;
(five) to decide on the appointment of the deputy director-general and the principal responsible person of each institution;
(6) To lead the work of foundation institutions;
(seven) to formulate internal management system; Handle other daily affairs.
Article 20 A meeting of the board of directors can only be held when more than two thirds of the directors are present, and its resolutions can only take effect when more than two thirds of the directors are present.
Twenty-first members of the presidium shall meet at least once a year; Under special circumstances, an exchange meeting can also be held.
Article 22 The president, vice-president and director-general of a foundation must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(2) It has great influence in the national literary world;
(3) The maximum working age of the president, vice-president and director-general shall not exceed 70 years in principle, and the director-general shall be full-time;
(4) Being in good health and able to take part in work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct.
Article 23 If the president, vice-president and director-general of the foundation are over the maximum working age, they shall be submitted to the board of directors for voting and approval, and shall be examined by the competent business unit and approved by the association registration authority before taking up their posts.
Article 24 The term of office of the President, Vice-President and Director-General of the Foundation is five years. If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two-thirds of the directors of the Council, reported to the competent business unit for review, and approved by the registration authority of the association before taking office.
Article 25 The legal representative of the Foundation may be the Director-General with the authorization of the President, and can be appointed only after being examined by the competent business unit and approved by the association registration authority. The legal representative of the foundation does not concurrently serve as the legal representative of other organizations.
Article 26 The President of the Foundation shall exercise the following functions and powers:
(a) Convene and preside over or authorize the Director-General to convene and preside over the Council;
(two) to check the implementation of the resolutions of the Council and the meeting;
(3) To authorize the Director-General to sign relevant important documents on behalf of the Foundation.
Article 27 The Director-General of the Foundation shall exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Coordinating the work of branches, representative offices and entities;
(3) Nominating the Deputy Director-General and the principal responsible persons of all offices, branches, representative offices and units, and reporting to the Council or the competent business unit for approval;
(four) to decide on the employment of full-time staff of offices, representative offices and entities;
(5) Handle other daily affairs.
Chapter V Principles of Fund Raising, Management and Use
Twenty-eighth sources of funds of the foundation:
(a) the support and donations from groups and individuals at home and abroad who are enthusiastic about the development of China literature;
(2) Income from activities or services provided within the approved scope;
(3) interest; Other lawful income.
Twenty-ninth fund funds earmarked for the development of China literature, respect the wishes of donors, reasonable arrangements.
Article 30 A foundation shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.
Article 31 The Foundation is equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 32 The property management of a foundation shall strictly implement the financial management system stipulated by the state, accept the supervision of the board of directors, financial departments, audit institutions and all sectors of society, and publish relevant information to the society in an appropriate manner.
Thirty-third before the foundation changes or changes its legal representative, it must accept the financial audit organized by the registration authority and the competent business unit of the association.
Article 34 No unit or individual may occupy, privately divide or misappropriate the assets of the Foundation.
Article 35 The wages and insurance benefits of the full-time staff of the Foundation shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Procedures for Amending the Articles of Association
Article 36 The amendment of the Articles of Association of the Foundation shall be approved by the Council.
Article 37 The revised Articles of Association of the Foundation shall come into effect within 05 days after it is approved by the board of directors, agreed by the competent business unit and reported to the registration authority of the association for approval.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 38 if the foundation has achieved its purpose or needs to be revoked for various reasons, the general assembly will propose a motion to terminate it.
Article 39 The motion to terminate the foundation shall be approved by the Council and submitted to the competent business unit for examination and approval.
Fortieth before the termination of the foundation, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to deal with the creditor's rights and debts and the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 41 The Foundation shall be terminated after the cancellation of registration by the association registration authority.
Article 42 The remaining property after the termination of the Foundation shall be used for the development of undertakings related to the purpose of the Foundation under the supervision of the competent business unit and the organization registration administration organ in accordance with the relevant provisions of the State.
Chapter VIII Supplementary Provisions
Article 43 The Articles of Association was adopted by the third board meeting on February 6, 2000.
Article 44 The right to interpret the Articles of Association belongs to the Foundation Council.
Article 45 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
