Chapter I General Provisions
Article 1 These Articles of Association are formulated for the purpose of establishing the legal status and code of conduct of China Electric Power Enterprise Federation (hereinafter referred to as "China Electricity Federation"), safeguarding and safeguarding its legitimate rights and interests, and gradually standardizing and developing China Electricity Council in accordance with the principle of marketization and in accordance with relevant national laws and regulations.
Article 2 The Chinese name of China Electricity Council is China Electric Power Enterprise Federation; The English name is CHINA ELECTRICITY COUNCIL, abbreviated as CEC.
Article 3 The China Electricity Council (CEC) is a self-disciplined national trade association with national power enterprises and institutions and power industry organizations as the main body, including representative enterprises and industry organizations in power-related industries, and is a non-profit social group legal person.
Article 4 The purpose of CEC is to serve its members according to their needs, represent their interests, reflect their voices and safeguard their rights and interests according to law; Implement industry self-discipline management according to industry regulations to serve the development of the whole industry; Accept the entrustment of the government and serve the government and society.
CEC abides by the Constitution, laws, regulations and national policies, and abides by social ethics.
article 5 in accordance with the principle of streamlining efficiency, the ITU has established permanent offices (hereinafter referred to as the headquarters of the ITU) and other service organizations to establish and improve the service network. Article 6 The China Electricity Council is headed by the State Electricity Regulatory Commission (hereinafter referred to as SERC) and is subject to the supervision and administration of the Ministry of Civil Affairs, the registration authority.

Chapter II Scope of Business
Article 8 The scope of business of the China Electricity Council is mainly:
(1) To study the reform and development of the power industry, put forward policy and legislative suggestions, and participate in the formulation of the development plan and system reform of the power industry;
(2) to formulate and supervise the implementation of industry rules, establish industry self-discipline mechanism, and maintain industry order;
(3) reflect the demands of members and industry enterprises, provide legal services and safeguard the legitimate rights and interests of members and industry enterprises;
(4) Attending relevant hearings organized by government departments; Participate in handling relevant disputes in international trade affairs;
(5) organize and carry out related work such as industry environmental protection and resource conservation;
(6) organizing the professional skill appraisal, education and training in the industry; In accordance with the provisions of the state, organize the qualification evaluation of professional and technical positions;
(7) organizing and participating in the evaluation, popularization and application of scientific and technological achievements in the industry; Organize the research on modern management, and be responsible for the evaluation, popularization and application of enterprise management achievements; Carry out relevant consulting services; (eight) to carry out international exchanges and cooperation, the introduction of intelligence;
(9) developing industries and social welfare undertakings and managing China Electric Power Education Foundation; Holding exhibitions and technical exchanges and cooperation; Editing and publishing industry publications, electric power history, etc.;
(1) authorized by the competent authority, entrusted by government departments and relevant institutions, to be responsible for industry statistics and industry information release, to carry out industry legal education, to carry out power standardization and power construction quota, and to be responsible for industry reliability management; Complete the relevant work assigned by the competent unit;
(11) entrusted to manage relevant industry associations; Guide the development and construction of electric power industry associations.
Chapter III Membership
Article 9 The ITU adopts the unit membership system.
Article 1 A unit member who applies to join the CEC shall meet the following conditions:
(1) A legally established electric power enterprise or institution, an electric power industry organization and a representative enterprise or industry organization in the electric power-related industry;
(2) support and abide by the constitution of the China Electricity Council;
(3) voluntarily join the CEC and apply for membership.
Article 11 Membership procedures:
(1) Submit an application for membership;
(2) discussed and approved by the executive Council of China Electricity Council;
(3) membership cards shall be issued by China Electricity Council.
Article 12 Members shall enjoy the following rights:
(1) The voting right, the right to vote and the right to stand for election of the China Electricity Council;
(2) Participate in relevant meetings or activities of the ITU;
(3) to obtain the priority of various services provided by China Electricity Council;
(4) the right to criticize, suggest and supervise the service work of China Electricity Council;
(5) participating in the formulation of important management systems of the China Electricity Council;
(6) voluntary membership and freedom of withdrawal.
Article 13 Members shall perform the following obligations:
(1) Abide by the Constitution of the China Electricity Council, and implement the resolutions of the China Electricity Council and the power industry regulations;
(2) to safeguard the legitimate rights and interests of China Electricity Council;
(3) Complete the work entrusted or assigned by the China Electricity Council;
(4) Pay the membership dues in full and on time according to the standards and requirements adopted by the members' congress;
(5) provide important information, research results, important suggestions and relevant materials for the reform and development of the unit to the ITU.
Article 14 A member who applies to withdraw from the meeting shall notify the Association in writing and return his membership card, which will be announced after being reported to the Standing Council of the ITU by the headquarters of the ITU.
if a member fails to pay the membership fee for two consecutive years or fails to participate in the meetings and activities of the association for a long time, it will be deemed as voluntary withdrawal, and it will be announced after being reported to the Standing Council by the headquarters of the China Electricity Council.
Article 15 If a member commits a serious violation of the Articles of Association, it shall be removed from the membership by the vote of the Standing Council of China Electricity Council and announced.
chapter iv organization and personnel
article 16 the highest authority of the ITU is the national member congress. Member representatives of the National Congress of Members shall be elected through consultation by the electric power industry associations of provinces (municipalities directly under the Central Government and autonomous regions) in accordance with the measures stipulated by the China Electricity Council; Special circumstances are produced by the headquarters of the China Electricity Council in consultation with relevant enterprises and institutions.
Members' representatives should be broadly representative.
Article 17 The functions and powers of the National Congress of the ITU are as follows:
(1) To formulate and amend the articles of association of the ITU;
(2) to elect and recall members of the Council of the China Electricity Council;
(3) to elect the honorary chairman of the China Electricity Council; (four) to review and approve the work report of the Council and the report on the use of membership fees;
(5) Deciding to terminate;
(6) to decide on major issues submitted for decision by the Council.
Article 18 The National Congress of Members shall be convened only when more than two-thirds of the members' representatives are present, and its resolutions shall take effect only when more than half of the legitimate members' representatives present at the meeting vote.
Article 19 The term of office of the National Congress of Members is five years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be examined and approved by the SERC, voted by the Council of the China Electricity Council and reported to the Ministry of Civil Affairs for approval. The longest extension shall not exceed one year.
Article 2 The Council of the China Electricity Council is elected by the National Congress of Members, and is the executive body of the National Congress of Members. It leads the work of the Council when the National Congress of Members is not in session and is responsible to the National Congress of Members.
the term of office of the Council of China Electricity Council is the same as that of the National Congress of Members.
Article 21 The functions and powers of the Council are:
(1) To implement the resolutions of the National Congress of Members;
(2) to elect and recall the chairman, executive vice-chairman, vice-chairman, secretary-general and executive directors;
(3) Prepare for the convening of the National Congress of Members;
(4) to decide on the employment of consultants of China Electricity Council;
(5) report the work and the use of membership fees to the National Congress of Members;
(6) to decide on the admission or expulsion of members;
(7) Deciding to set up offices, branches, representative offices, professional (management) committees and entities;
(8) leading the work of various institutions of the China Electricity Council;
(9) Deciding to add or adjust some directors or standing directors, but the amount of adding or adjusting directors shall not exceed 1/5 of the total number of directors elected by the members' congress;
(1) To consider the work report of the Standing Council;
(11) Deliberating and deciding on the annual work plan of ITU;
(12) to formulate necessary management systems and decide on other major issues.
article 22 the board of directors shall be convened only when more than 2/3 of the directors are present, and its resolutions shall take effect only when more than 2/3 of the directors present vote.
article 23 the board of directors generally meets once a year. under special circumstances, it can be convened by means of communication.
Article 24 The Standing Council of the China Electricity Council shall be elected by the Council and be responsible to it. When the Council is not in session, exercise the functions and powers of Article 21, paragraphs 1, 3, 4, 6, 7, 8, 11 and 12. The Deputy Secretary-General of China Electricity Council shall be appointed by the Standing Council.
The term of office of the Standing Council of China Electricity Council is the same as that of the Council.
article 25 the standing Council shall be convened only when more than 2/3 of the standing directors are present, and its resolutions shall take effect only when more than 2/3 of the standing directors present vote.
article 26 the standing Council shall be convened at least once every six months, and it shall be convened at any time upon the proposal of the chairman of the board of directors; Under special circumstances, it can be held by communication.
article 27. according to the needs of work, the ITU shall set up the working institutions of the headquarters of the ITU, branches, professional (management) committees, research institutes, consulting institutions and information service networks.
Article 28 The qualifications of the chairman, executive vice-chairman, vice-chairman and secretary-general of the CEC are as follows:
(1) Adherence to the Party's line, principles and policies and good political quality;
(2) it has high prestige in the power industry;
(3) Being in good health and able to work normally;
(4) Having never been deprived of political rights;
(5) Having full capacity for civil conduct.
Article 29 The highest post-holding age of the chairman of the China Electricity Council shall not exceed 7 years old; In accordance with the principle of moderate rejuvenation of the working team, the executive vice chairman, full-time vice chairman and secretary general are generally not over 6 years old at the time of the general election.
Article 3 The term of office of the chairman, executive vice-chairman, vice-chairman and secretary-general of the China Electricity Council is the same as that of the Council of the China Electricity Council, and they may not serve for more than two consecutive terms.
Article 31 The chairman of the China Electricity Council is the legal representative of this Council. The legal representative of the China Electricity Council does not concurrently serve as the legal representative of other social organizations.
Article 32 The chairman of the CEC shall exercise the following functions and powers:
(1) Convene and preside over the Council and the Standing Council;
(2) Check the implementation of the resolutions of the National Congress, the Council and the Standing Council;
(3) Signing relevant important documents on behalf of China Electricity Council;
(4) to lead the work of the CEC headquarters.
Article 33 The executive vice chairman of the China Electricity Council shall assist the chairman to preside over the daily work of the China Electricity Council.
the full-time vice-chairman and secretary-general of China Electricity Council assist the chairman and executive vice-chairman to complete their responsibilities.
Article 34 The China Electricity Council shall allocate its full-time staff according to the principle of combining the old, middle-aged and young. Full-time staff of this department shall take temporary training in member units. Trial part of the staff appointment system, part of the staff appointed by member units, and regular rotation.
Chapter V Asset Management and Use
Article 35 The sources of funds for the ITU are:
(1) membership fees;
(2) service fees for special businesses serving the industry;
(3) Income from activities or services within the approved business scope;
(4) accepting fixed subsidies or government subsidies for services entrusted by the government;
(5) donations from domestic foreign enterprises, institutions, organizations and individuals;
(6) interest income;
(7) other lawful income.
Article 36 The funds of the China Electricity Council must be used for the business scope and career development stipulated in the Articles of Association, and shall not be distributed among members. The use of annual membership fees and special service funds shall be audited by social intermediary accounting firms and reported to the Council.
Article 37: The China Electricity Council shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data; Strengthen the financial supervision of branches, ensure that the financial management of affiliated institutions operates in accordance with relevant state regulations, and be audited.
Article 38 The China Electricity Council shall be equipped with accountants with professional qualifications. An accountant may not concurrently serve as a cashier. Accounting personnel must conduct accounting and exercise accounting supervision according to regulations. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the receiver.
Article 39 The asset management of the China Electricity Council shall implement the financial management system stipulated by the state and accept the supervision of the National Congress of Members and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and announce the relevant information to the public in an appropriate way.
Article 4 Before changing its legal representative, the China Electricity Council must accept the financial audit organized by the Ministry of Civil Affairs and the State Electricity Regulatory Commission.
article 41 no unit or individual may occupy, privately divide or misappropriate the assets of the CEC.
Chapter VI Revision of the Articles of Association
Article 42 The revision of the Articles of Association shall be proposed by the General Department of the China Electricity Council, reviewed by the SERC, discussed by the Standing Council and approved by the Council, and then adopted by the National Congress of Members in accordance with Article 18 of the Articles of Association. The articles of association shall be submitted to the Ministry of Civil Affairs for approval within 15 days after the amendment is passed.
article 43 when it is really necessary to amend some articles of the articles of association due to great changes during the term of office of the National Congress of Members, the General Department of the China Electricity Council will put forward suggestions on the basis of listening to the opinions of member units, submit them to the SERC for examination and approval, and then submit them to the Standing Council for discussion, which will consider and pass them in accordance with the provisions of Article 22 of the Articles of Association and report them to the Ministry of Civil Affairs for approval as required.
Chapter VII Termination
Article 44 If the ITU has fulfilled its purpose or dissolved itself or needs to cancel due to separation or merger, the board of directors shall propose a termination motion.
Article 45 The motion of termination of the China Electricity Council shall be submitted to the SERC for examination and approval, and shall be voted by the National Congress of Members.
article 46 before the termination of the CEC, a liquidation organization shall be established under the guidance of the SERC and relevant authorities to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 47 The CEC shall be terminated after the cancellation of registration by the Ministry of Civil Affairs.
article 48 the remaining property after the termination of the ITU shall be used for the development of undertakings related to the purpose of the ITU under the supervision of the SERC and the Ministry of civil affairs in accordance with the relevant provisions of the state.
chapter viii supplementary provisions
article 49 the articles of association were voted by the 4th national congress of the China electricity union on December 16th, 24.
Article 5 The power to interpret these Articles of Association lies with the Council of the China Electricity Council.
article 51 the articles of association shall come into force as of the date of approval by the Ministry of civil affairs.
