(1) Can foreign-invested fund management enterprises and domestic-funded fund management enterprises registered in China be allowed to raise and set up limited partnership overseas equity funds (hereinafter referred to as "overseas LP") according to law?
1. Whether to limit the contribution ratio of overseas LP to a certain proportion (such as 50%) of the total subscribed capital of the fund;
Ii whether overseas LP needs to have certain qualifications;
3. Whether foreign-invested fund management enterprises and domestic-funded fund management enterprises that raise and set up overseas equity funds need to have special qualifications.
(2) Whether it is possible to facilitate the settlement of overseas equity funds that meet certain conditions, so that a certain amount of foreign currency investment can be directly settled into RMB;
(3) Whether overseas equity funds that meet certain conditions can be managed as domestic enterprises so that their foreign investment is not restricted by foreign-invested enterprises.
The second is the restriction on state-owned assets participating in private equity investment funds.
At present, China's central enterprises refer to the enterprises (hereinafter referred to as enterprises) that the State-owned Assets Supervision and Administration Commission of the State Council (hereinafter referred to as SASAC) performs the responsibilities of investors; State-funded enterprises mainly refer to wholly state-owned enterprises and state-funded companies, as well as state-owned capital holding companies and state-owned capital shareholding companies.
According to the current Partnership Enterprise Law, a wholly state-owned company, a state-owned enterprise, a listed company, a public institution or a social organization may not become a GP (general partner, similar to a professional manager). Judging from this, China's state-funded enterprises can only participate in investment fund matters as LP (that is, limited partners, which contribute but do not directly participate in investment).
