How to invest in a company with a trademark?

Trademark right is an important intangible property right. With the development of the economy, more and more rights holders use the right to use their registered trademarks as an investment tool to participate in production and business activities. It is a common way to invest in investor shares with the right to use trademark rights. If the right to use a trademark is invested in shares, the essence is that the trademark owner participates in the production and operation of the investor by paying shares. In this case, the trademark owner shall sign a trademark license contract with the investee, stipulate the relevant contents in the contract, and file it with the Trademark Office. If there is a dispute over the use of a trademark as an investment license for an investee, the equity dispute between the trademark owner and the investee should first be resolved. If the original investee continues to use the registered trademark after the trademark owner withdraws its investment, the trademark owner will have the right to pursue its legal liability.

Legal Basis

Article 268 of the "People's Republic of China and Civil Code" The state, collectives and private individuals shall invest in the establishment of companies or other enterprises in accordance with the law. According to the law, one can contribute capital to establish a limited liability company, a joint stock company or other enterprises. When real estate or movable property owned by the state, collectives, or private individuals is invested in an enterprise, the investor shall enjoy the rights and perform obligations such as asset income, major decision-making, and selection of managers according to the agreement or the proportion of capital contribution.
