1.8. During the period specified in this contract, Party B shall not interfere with or hinder Party A's normal use of Party B's stills and portraits.

1.9. After Party A pays remuneration to Party B in accordance with the provisions of this contract, Party B has no right to interfere with whether Party A actually uses Party B's stills and portraits.

1.10. Party A has the right to copy Party B's stills and portraits and use them worldwide in any way and on any media, but must be used for the purposes stipulated in this contract.

1.11. Party A independently and legally enjoys the complete copyright of the film and television dramas including photos and portraits. After the creation of the film and television drama is completed, the photos and portraits will form an integral part of the content and images of the film and television drama. All the rights and interests obtained by Party A as a result have nothing to do with Party B.

1.12. Party A’s use of the portrait from the film should also obtain the written consent of the copyright owner (if any) of the portrait from the film. Party B shall try its best to assist Party A in obtaining the necessary written permission from the copyright holder of the stills and portraits, and the relevant costs shall be borne by Party A.

Article 2 Statement and Warranty

2.1. Both parties declare, represent and guarantee to each other as follows: the party is an independent legal person legally established and validly existing or a natural person with full capacity; the party has the legal qualifications to sign this contract. The license mentioned in this contract complies with the provisions of laws and regulations; the party has the ability to perform its obligations under this contract, and such performance of obligations does not violate the restrictions of any legal document or agreement that is binding on it. Once this contract is legally signed and delivered, it will constitute a legal and effective binding force on the party and is enforceable.

2.2. Party A must use the stills and portraits in accordance with the purposes stipulated in the contract. Without the consent of Party B, the stills and portraits may not be rented or lent to others for use. During the use of the stills and portraits, Party A should pay attention to safeguarding Party B's property rights and personal rights and interests, and ensure that the content and images of film and television dramas including the stills and portraits will not have any negative impact on Party B such as insulting or slandering Party B.

2.3. Party B guarantees that Party A will not infringe the legitimate rights and interests of others such as reputation rights, privacy rights, portrait rights, etc. due to the use of the above stills and portraits. If Party A's use of the above stills and portraits within a reasonable scope infringes upon the legitimate rights and interests of others or causes any disputes, controversies, lawsuits or other legal proceedings, Party B shall bear the relevant legal responsibilities and compensate Party A for any and all consequences arising therefrom. Losses, including but not limited to reasonable legal fees and expenses, etc.

Article 3 Liability for breach of contract

3.1. Party A and Party B shall properly exercise their rights and perform their obligations to ensure the smooth performance of this contract. Any party that violates any provision under this contract shall bear liability for breach of contract; if it causes losses to the other party, it shall compensate the other party for all economic losses suffered thereby.

3.2. If Party A fails to perform or fails to perform its obligations stipulated in this contract as agreed, it shall bear corresponding liability for breach of contract, as follows: ① If Party A fails to pay the license fee to Party B as scheduled, Party A shall pay Party B the overdue license fee for each day overdue. ____ one thousandth of the usage fee shall be used as liquidated damages; ② If this contract is terminated due to Party A's reasons, Party A shall pay Party B the unpaid license fee regardless of the progress of the work.

Article 6 Obligation of confidentiality

6.1. Without the written consent of the other party, neither party shall disclose this contract and all information related to this contract to any third party. 6.2. Article 7 Force Majeure

7.1. If any party to this contract fails to perform all or part of its obligations under this contract due to the impact of a force majeure event, the performance of such obligations shall be suspended while the force majeure event prevents its performance.

7.2. The party claiming to be affected by a force majeure event shall notify the other party of the occurrence of the force majeure event in writing in the shortest time possible and provide the other party with information on such force majeure event and its duration within ten days after the occurrence of the force majeure event. Appropriate evidence and written information that the contract cannot be performed or performance needs to be postponed. The party that claims that a force majeure event renders its performance of this Contract objectively impossible or impractical shall be responsible for making all reasonable efforts to eliminate or mitigate the impact of such force majeure event.

7.3. When a force majeure event occurs, both parties shall immediately decide how to implement this contract through friendly consultations. After the force majeure event or its impact is terminated or eliminated, both parties must immediately resume performance of their respective obligations under this contract. If force majeure and its effects cannot be terminated or eliminated, causing any party to the contract to lose the ability to continue to perform the contract, the parties may negotiate to terminate the contract or temporarily delay the performance of the contract, and the party experiencing force majeure does not need to bear responsibility for this. If force majeure occurs after the party delays performance, it cannot be exempted from liability.

7.4. The term force majeure as used in this contract refers to an event that is beyond the reasonable control of the affected party, is unforeseen, or is unavoidable and insurmountable even if it is foreseeable, and occurs after the signing date of this contract, which prevents that party from performing all or part of this contract within a certain period of time. Any event that becomes objectively impossible or impractical. Such events include but are not limited to natural disasters such as floods, fires, droughts, typhoons, earthquakes, and social events such as war (whether war has been declared or not), riots, strikes, government actions or legal regulations, etc.

Article 8 Notice and Service

8.1. All notices, documents, information, etc. sent or provided by Party A and Party B to each other for the performance of this contract shall be delivered by mail, fax, or email according to the correspondence address, fax, or email listed in the first part of this contract; if either party Any change of address or change of telephone number or email must be notified in writing to the other party. Otherwise, notices, documents, and materials sent to the mailing address or fax or email system listed in the first part of this contract will be deemed to have been effectively delivered.

8.2. If it is delivered by mail, it will be deemed delivered on the date the other party signs for it; if the date of receipt is unclear, it will be deemed delivered three days from the date the letter is sent or posted. If delivered by fax or email, notices, documents, materials and other data messages shall be deemed delivered when they enter the other party's system; if notices, documents, materials and other data messages are unclear when they enter the other party's system, they shall be deemed delivered by fax, document, information and other data messages. Article 9 Dispute Resolution and Applicable Law

9.1. The formation, validity, interpretation, performance and resolution of disputes of this contract shall be governed by the laws of the People's Republic of China.

9.2. Any dispute arising out of or related to this contract shall be resolved by both parties through negotiation; if the negotiation fails, it shall be resolved in accordance with the following □1/□2 method (choose one of the two):

Article 11 Interpretation of Contract

The text of this contract is provided by Party A and Party B, who have taken reasonable measures to draw the other party's attention to the clauses that exempt or limit its liability and explain them; both parties A and B have fully understood the contents of each clause of this contract and reached an agreement through negotiation.

11.2. The understanding and interpretation of this contract shall be based on the purpose of the contract and the original meaning of the text. The title of this contract is only for the convenience of reading and shall not affect the interpretation of this contract.

Article 12 Validity and Signing of Contract

12.1. This Contract shall be binding upon each party's successors and assigns.

12.2. The failure of any party to this contract to promptly exercise its rights under this contract shall not be deemed a waiver of such rights, nor shall it affect such party's exercise of such rights in the future.

12.3. If any provision of this contract is wholly or partially invalid or unenforceable for whatever reason, or violates any applicable law, that provision will be deemed deleted. However, the remaining provisions of this contract shall remain valid and binding.

12.4. This contract is made in four copies, each party holds two copies, and has the same legal effect.

12.5. This contract has been signed and sealed by both parties, and the date of last signature and seal shall be the effective date of this contract. If matters not covered in this contract need to be revised or changed, both parties shall sign a supplementary contract. The supplementary contract shall have the same legal effect as this contract.

12.6. Any modification of this contract will be invalid unless confirmed in writing signed by both parties.

Article 13 Contract Attachments

13.1. Matters not covered in this contract shall be implemented in accordance with relevant laws and regulations. If laws and regulations do not provide for them, Party A and Party B may enter into a written supplementary contract. The attachments and supplementary contracts to this contract are integral parts of this contract and have the same legal effect as this contract.

13.2. The words filled in the blanks in this contract, its attachments and supplementary contracts have the same legal effect as printed words.

13.3. The attachments to this contract are as follows: Attachment 1: Specific description of “Party B’s Stills”.
