After the cancellation of the company, the trademark can still be transferred. According to the provisions of Article 23 of the Regulations for the Implementation of the Trademark Law of People's Republic of China (PRC), if the exclusive right to use a registered trademark is transferred for reasons other than transfer, the party accepting the exclusive right to use a registered trademark shall go through the formalities for the transfer of the exclusive right to use a registered trademark at the Trademark Office with relevant supporting documents or legal documents. The cancellation of the company conforms to the transfer of the exclusive right to use a trademark for reasons other than transfer.
Two, after the cancellation of the company, to apply for trademark transfer, you need to submit the following documents:
1. Application (signed by both parties and signed by all shareholders of the cancellation party)
2. Power of Attorney (signed by both parties and signed by all shareholders of the cancellation party)
3. Certificate of consent to transfer (signed by both parties and signed by all shareholders of the cancellation party)
4. Shareholder qualification certificate (signature of shareholder ID card or business license)
5. Copy of cancellation of company license, cancellation certificate, resolution of shareholders' meeting and liquidation report (issued by the Industrial and Commercial Bureau with official seal)
During the liquidation period, the liquidation group may affix its official seal instead of the signatures of all shareholders.
In order to promote the normal transfer of trademarks and stipulate the contents of the transfer agreement, the following documents can be prepared separately:
1. Transfer Agreement (signature and seal of shareholders)
2. Original notarized transfer statement (signed and notarized by notary office)
