Chapter 1 Instructions for Settlement

Article 1 Taobao Mall has not authorized any agency to provide agency investment services, and the application process for settlement is and related charging instructions are subject to the official investment page.

Article 2 Taobao Mall has the right to return customer applications based on other factors including but not limited to brand demand, company operating conditions, service levels, etc.; at the same time, Taobao Mall has the right to require customers to provide information during the application and subsequent operation stages. Other qualifications; Taobao Mall will update investment standards from time to time based on the development trends of various industries, relevant national regulations and consumer purchasing needs.

Article 3 Please be sure to ensure the authenticity of the relevant qualifications you provide during your application for settlement and subsequent operations (if the relevant qualifications you provide are provided by a third party, such as trademark registration certificates, authorization letters, etc., please be sure to Verify the authenticity and validity of the documents first), once false qualifications are discovered, your company will be included in the list of non-honest customers, and Taobao Mall will no longer cooperate with you;

Article 4 Taobao Mall will not It accepts applications from individual industrial and commercial households, and does not accept applications from non-mainland Chinese enterprises;

Article 5 Taobao Mall will not accept trademark registration certificates or trademark acceptance notices issued by the State Trademark Administration for the time being. Brand store applications (except for imported goods in some categories), and applications for pure graphic trademarks are not accepted;

Chapter 2 Taobao Mall store types and related requirements

Article 6 Flagship stores are stores opened by merchants on Taobao Mall with their own brands (trademarks in R or TM status) or with exclusive authorization from the rights holders.

(1) Flagship stores can have the following situations:

1. Operate a flagship store of its own brand products;

2. Operate multiple Private brand goods and each brand belongs to the same actual controller;

3. Flagship store opened by the owner of a store-type brand (service trademark);

Article 7 Monopoly A store is a store opened by a merchant on Taobao Mall with authorization documents for other people's brands (trademarks with R or TM status).

(1) Specialty stores have the following situations:

1. Operate a specialty store authorized to sell branded goods;

2. Operate multiple authorized stores Specialty stores that sell branded goods and each brand is owned by the same actual controller;

The second point of the specialty store is only open to Taobao Mall’s active invitation.

(2) The authorization document issued by the brand (trademark) right holder shall not have geographical restrictions, and the authorization validity period shall not be earlier than December 31, 2012;

Article 8 Specialized Stores , stores that operate products from two or more brands (trademarks with R or TM status) under the same investment category on Taobao Mall. Only one franchised store can apply for one investment category.

Specialized stores have the following situations:

1. Specialized stores that operate two or more other people’s brand goods;

2. They both operate other people’s brand goods. Specialized stores that also operate private brand products;

3. Specialized stores that operate two or more private brand products;

Chapter 3 Qualification Standards for Taobao Mall Application

Chapter 4. Store Opening Restrictions

Article 10. Brand Settlement Restrictions,

(1) Identical or similar to Taobao’s existing brands, channels, businesses, categories, etc.;

(2) Ending with “网” or “网品” Brands;

(3) Brands containing industry names or common names;

(4) Brands containing names of famous people and places;

Eleven Cross-category business restrictions for stores,

(1) Flagship stores, specialty stores,

1. Brands that hold a trademark registration certificate can apply for the approved use of their trademark registration certificate The first-level categories included in the products;

2. Brands that hold a trademark registration application acceptance notice are not allowed to operate across categories on Taobao Mall. Under the same category, you can apply for the first-level category of Taobao Mall according to the corresponding trademark registration acceptance notice;

(2) Specialty stores are not allowed to operate across major categories on Taobao.

Article 12: There are restrictions on the same entity opening multiple Taobao Mall stores.

(1) Taobao Mall has a store that has been operating for more than three months at the time of settlement and meets the assessment of trial operation. Standard;

(2) Product overlap: it is required that the brands and products sold between stores must not be repeated;

Article 13 Restrictions on the same entity re-entering Taobao Mall,

(1) Those who have serious violations of regulations or falsified qualifications and are kicked out of Taobao Mall will be permanently restricted from entering;

(2) Those who fail to renew the contract, trial operation or quarterly elimination on time will be restricted from entering within 6 months ;

(3) If the merchant voluntarily withdraws twice within a year, entry is restricted within 6 months;

Article 14 Renewal Restrictions,

End of the year 12 On March 31, if the fees and information for the previous year and the next year have not been replenished, the store will supervise and restrict renewal for the next year.

Chapter 5 Taobao Mall Margin/Annual Fee/Rate Standard

Article 15 Margin:

Merchants must pay a deposit to operate on Taobao Mall. It is mainly used to ensure that merchants operate in accordance with the rules of Taobao Mall, and is used to pay liquidated damages to Taobao Mall and consumers in accordance with the "Taobao Mall Service Agreement" and relevant rules when merchants violate regulations. The 2012 deposit for renewed merchants must be paid in one lump sum before December 26, 2011; the newly signed merchants must pay the 2012 deposit in one lump sum when their application for settlement is approved. The deposit varies according to the nature of the store, and the amount is as follows:

(1) Brand flagship store and specialty store: 100,000 yuan for TM trademarks, 50,000 yuan for all R trademarks;

(2) Specialized stores: 150,000 yuan with TM trademark, 100,000 yuan with all R trademarks;

(3) Special category description,

1. Store For flagship stores, the deposit is 150,000 yuan;

2. For specialty stores that operate imported goods that have not applied for registered trademarks in mainland China, the deposit is 150,000 yuan;

3. " The categories "Books/Magazines/Newspapers", "Music/Films/TV/Celebrities/Audiovisuals" and "Performances/Food, Drinks and Entertainment Discount Coupons" do not involve brand attributes and do not have specialty store types, so the deposit collection method is: 50,000 yuan for flagship stores and 50,000 yuan for specialty stores. 100,000 yuan;

4. The deposit for the categories of "Online Games and QQ", "Telephone Communications" and "Travel" is 10,000 yuan;

(4) When the deposit is insufficient , merchants need to make up the balance within 15 days. Taobao Mall that fails to make up the balance will supervise the merchant's store until the balance is made up.

Article 16 Annual technical service fee (hereinafter referred to as "annual fee"):

Merchant operating on Taobao Mall must pay an annual fee. The annual fee amount is based on the first-level category and is divided into two levels: 30,000 yuan or 60,000 yuan. For detailed annual fee standards corresponding to each first-level category, please refer to the "Taobao Mall Annual Fee List for Various Categories". Renewal merchants must pay a one-time annual fee for 2012 before December 26, 2011; newly signed merchants must pay a one-time deposit for 2012 when their application is approved.

(1) Annual fee refund: In order to encourage merchants to improve service quality and expand business scale, Taobao Mall will conditionally refund annual technical service fees to merchants. The refund method refers to two indicators: dynamic consumer rating ("DSR") and annual sales. The refund ratio is 50% and 100%. The specific standard is that the average DSR during the agreement period (including expiration and unexpired termination during the period, and the actual operating period is less than one year, shall be based on the actual operating period) is not less than 4.6 points; and it meets the requirements of the "Taobao Mall Various The annual sales volume corresponding to the annual technical service fee amount and the refund ratio of each level in the "Project Rate and Annual Fee List". The annual fee refund will be based on the entire year of 2012.

(2) Annual fee settlement,

1. If you withdraw early or are dismissed due to violations in accordance with the rules, the annual fee will not be refunded;

2 . According to the agreement, notify the other party to terminate the agreement, clear out the trial operation, and according to the actual operation period, the annual fee return policy will be evenly divided into natural months to calculate the specific annual fee that should be returned;

3. The first time you settle in One month's annual fee is waived, but the transaction volume base used to calculate the fixed annual fee at the end of the year will be accumulated from the first day of opening the store.

(3) For cross-category settlement, the annual fee will be paid according to the category with the highest amount based on the high principle; however, the actual settlement will be based on the standard corresponding to the category with the largest proportion of transaction volume from the date of settlement to the settlement date.

Article 17 Technical Service Fee Rate ("Rate"):
