What are the responsibilities of corporate legal counsel?
(1) Daily legal affairs 1. Consultation and suggestions on common legal issues of the company; 2. Participate in contract negotiation, formulate negotiation strategies and plans, and draft and review commercial contracts; 3. Participate in drafting and modifying the company's rules and regulations or legal documents on personnel management, financial management, labor and employment, contract management, etc. 4. Conduct legal training for employees and management to improve employees' legal awareness and enhance managers' legal awareness; 5. Drafting and reviewing the industrial and commercial registration materials, articles of association and other legal documents of the newly registered company; 6. Review the company's trademark registration, patent application and other legal documents related to intellectual property rights, and provide lawyers' opinions for relevant legal affairs; 7. Provide legal affairs guidance related to the company's operation and management and tax laws and regulations; 8. Give legal opinions on the company's major business decisions, and conduct legal analysis and demonstration on major projects; 9. Attend the board of directors of the company as nonvoting delegates, and analyze and demonstrate the legal issues involved in the topics of the board of directors; 10. Provide lawyers' opinions on the legality of corporate governance structure (including board structure, shareholders' meeting structure and board of supervisors structure). (2) Legal affairs of major business activities 1. Participate in the merger and division activities of the company, demonstrate its legal feasibility and operability, draft and modify specific legal documents, and participate in the negotiation and supervision of the implementation of the whole activity; 2. Participate in the company's bidding activities, participate in project negotiations, issue legal opinions on bidding activities, and make project tenders; 3. Participate in the company's shareholding system reform or asset reorganization, issue legal opinions, draft and review relevant legal documents; 4. Participate in the company's acquisition and anti-acquisition, cooperate with the company in legal argumentation and analysis, draft and review relevant legal documents, and handle relevant legal affairs; 5. Participate in the selection and negotiation of investment projects, design investment plans, and assist in finding investment opportunities and investment partners; 6. Participate in other important economic activities such as financial leasing and asset transfer, and handle relevant legal affairs.
