Article 3 Nature of the Foundation: The Foundation is a non-political, non-religious and non-profit-making internal family organization spontaneously formed by members of Li Qin Liangzhuang family. The Foundation is a free service organization and does not provide any services to the outside world.
Article 4 Sources of funds: membership fees paid by members of Li's Qinliangzhuang Family Foundation and sponsorship from people with lofty ideals in the family.

Chapter II Service Scope of the Foundation
Article 6 Functions and service scope of the Foundation:
(a) Organize the annual general meeting of all members.

(3) Commend and reward school-age members of their families who have been admitted to key colleges and universities above senior high school, and foundations with learning difficulties can fund or organize social donations.

Chapter III Organizational Structure and Functions
Article 7 The organization chart of the Foundation:
Article 8 The Foundation has a general meeting of members and a board of directors, which is composed of all members and is the highest authority of the Foundation.
Article 9 The duties of the general meeting of members are as follows:
(1) Electing members of the Council;

Article 10 The board of directors shall be elected by the general meeting of all members. The function of the Council is to organize members to hold meetings to discuss family-related matters raised by family members. After full discussion, the members of the Council form a resolution to vote.
Article 11 A meeting of the board of directors can only be held when more than two thirds of the members are present. The resolution of the Council meeting shall be valid only if it is adopted by more than two-thirds of the members present at the meeting.
Article 12 Resolutions on the following major issues shall be valid only after all members vote.
(1) Amending the Articles of Association;
(2) Major fund-raising and investment activities stipulated in the articles of association;
(3) Dissolving the Council;
(4) Division, merger or termination of the foundation.
Article 13 The Council is the decision-making body of the Foundation and exercises the following functions and powers:
(a) to formulate and amend the articles of association;
(two) to elect and recall the president, vice president and secretary general;
(3) Disqualification of incompetent members

Article 14 Membership of the Board of Directors:
(a) love public welfare undertakings, identify with the purpose of the foundation, care for and support the work of the foundation, and voluntarily serve the foundation;
(2) Having a strong sense of responsibility for public interests and being able to participate in litigation independently and objectively on the principle of fairness, impartiality and openness;
(3) Strong deliberation, decision-making ability and interpersonal communication ability;
(4) Being in good health, being able to work normally and having full capacity for civil conduct.
Article 15 Rights and obligations of members of the board of directors:
(1) Members have the right to attend all meetings of the Board. Members can fully express their opinions at the meeting of the board of directors and exercise the right to vote on matters that need to be voted;
(two) the chairman has the right to question the draft or other materials submitted by the meeting to the Council for discussion, and ask the drafter entrusted to draft the document to make an explanation;
(3) Members have the right to consult the relevant documents of the Foundation and inquire about the relevant work of the Foundation, and have the right to propose to the President to convene an interim meeting or a special meeting.
(four) members should understand the purpose of the foundation and the operation mode of various activities and projects carried out by the foundation, and be familiar with the relevant laws and regulations of non-profit organizations;
(5) Members shall abide by the relevant laws and regulations of the State and the articles of association of the Foundation, implement the resolutions of the Council, earnestly perform their duties and safeguard the interests of the Foundation and its Council;
(six) members should actively participate in the deliberation meeting, and prepare opinions on the topic, and actively put forward relevant suggestions or opinions;
(seven) members should understand the basic situation and needs of the foundation and make contributions to the development of the foundation and its various undertakings;
(8) Members shall support the work of the Foundation and establish a benign interactive relationship with all members of the Council.
Article 16 The term of office of members of the board of directors is 3 years. After the expiration of their term of office, they were re-elected. In case of re-election, members can choose to be re-elected or leave office.
Article 17 Duties of the President, Vice-President and Secretary-General of the Council:
(1) Responsibilities of the President: Be fully responsible for the work arrangement and plan of the Foundation, lead family members to implement the relevant regulations of the Foundation, lead to hold Foundation meetings and negotiate related matters, lead to hold family dinners and related activities, understand and master the relevant situation of the Foundation and deal with it in time.
(II) Duties of the Vice-President: Responsible for collecting, checking and recording the membership dues paid by each family member, managing the funds of the Foundation and the subsidies from all walks of life, and settling every expenditure of the Foundation. Chapter IV Membership Conditions and Membership Fee Standards of the Foundation
Article 18 Membership scope: Anyone who is related to Li and has reached the age of 18 can join the Li Family Foundation as a member.

Chapter V Rights and Obligations of Members
Article 20 Rights of Members
(a) Participating in various activities organized by the Foundation;

(four) to consider the use of funds of the Foundation;
(five) to elect and be elected as the board of directors or other members of the foundation;

(seven) other rights granted by the foundation and the articles of association.
Article 2 1 Obligations of Members
(1) Abide by national laws, regulations and policies, respect social morality and abide by the provisions of the articles of association of the Foundation;
(2) Pay the corresponding membership dues on schedule every year;

Chapter VI Management and Use of Foundation Funds
Article 22 Membership dues and talent sponsorship of family funds shall be managed by the board of directors, and the principle of decentralized management of bank cards and passwords shall be implemented, which shall be kept by the president and vice presidents respectively (the bank cards shall be kept by the vice president and the passwords shall be kept by another vice president, and the president and treasurer shall be responsible for the whole process supervision and establish account books for registration). When necessary, the board of directors of the foundation may discuss and adjust the payment of membership fees by amending the articles of association according to the specific circumstances.
Article 23 All expenses of the foundation must be decided by the foundation board.
Article 24 The temporary use of foundation funds shall be announced by the Secretary-General.

Twenty-sixth payment date is scheduled to be completed before the annual meeting. All their dues will be credited to the foundation account.

Article 32 All foundation members must attend the dinner without special circumstances, and they need to ask for leave from the board members or the president due to business trip, illness and other reasons.
Chapter VIII Termination and Disposal of Surplus Property
Article 33 A foundation shall be terminated and dissolved under any of the following circumstances:
(a) to complete the purpose stipulated in the articles of association;
(two) unable to continue to engage in public welfare activities in accordance with the purposes stipulated in the articles of association;
(3) Division or merger of foundations.
Thirty-fourth after the dissolution of the foundation, the property shall be liquidated, and the remaining property after liquidation shall be donated by the representative of the president to the social welfare organization with the same nature and purpose as the foundation, and shall be announced to the family members.

Chapter IX Others

Article 37 The board of directors shall publicize widely, deepen family unity and cohesion, and carry out various social activities to promote harmony and prosperity.
Chapter X Supplementary Provisions

Article 39 The right to interpret the Articles of Association belongs to the Council.
Article 40 The Articles of Association shall come into effect as of the date of voting by the board of directors.
